From investment to operation, from contract to dispute
We manage property, business or share transfer processes for hotels, holiday villages and tourism facilities. We address the legal needs of initial negotiations, legal review, contracts, closing and post-handover business management together.
We address hotel leases, operation and management agreements, and franchise and brand use terms. Provisions on term, consideration, security, maintenance, renewal, termination and return of the facility are reviewed.
We assess the legal dimension of tourism certificates, business licenses, zoning and land use status, and inspection processes. Administrative sanctions and applications are addressed according to the type of business and the nature of the specific transaction.
We review agency–hotel relations, allotment and guarantee agreements, package tour and online booking terms. Cancellation, refund, performance of services and payment disputes are assessed together with the relevant records.
We address employment contracts, seasonal work, working hours and the termination of employment. Employment of foreign staff and labor disputes are assessed according to the specific working arrangement.
Guest complaints, performance of services, and claims of injury or loss of property are reviewed from a legal perspective. Compensation claims, the business’s liability and insurance connections are assessed together with the records of the incident.
We address guest and employee data, camera systems, reservation systems and online sales processes. Legal needs relating to commercial communication, digital platform agreements and trademark rights are assessed.
We review supplier agreements, receivables, payment disputes and insurance claims. Legal follow-up of tax disputes is handled within the relevant transactions and documents.
For breaches of contract, we assess negotiation, mediation, litigation and enforcement options. The need for interim legal protection and the procedure to be followed are determined separately, depending on the nature of the matter.
The goals of the buyer or seller, the structure of the facility and the company, and options such as property sale, business transfer or share transfer are assessed. Confidentiality arrangements, preliminary discussions, a letter of intent and the negotiation framework are established.
Title deed (tapu) records and encumbrances, zoning and land use status, licenses, tourism certificates, existing contracts, employment relations and disputes are reviewed. Legal due diligence is carried out in coordination with financial and technical reviews.
The country in which the foreign buyer or seller is located, representation authority, governing law, document language and, where necessary, translation, apostille or certification requirements are assessed. Payment, security and dispute resolution provisions are structured according to the transaction.
The sale price and payment schedule, conditions precedent, representations and undertakings, security and allocation of liability are negotiated. Signing, required approvals and transfer procedures are legally coordinated within the closing timetable.
The physical handover of the facility, inventory and handover minutes, contracts to be transferred and post-closing obligations are followed. Deficiencies, undertakings and post-sale claims are addressed within the framework of the contract.
Contracts, employee and supplier relations, brand use and regulatory compliance processes appropriate to the new business or management model are arranged. Legal coordination required by management is maintained from handover through the continuation of the business.
For transactions in Türkiye, Turkish law and conditions specific to the type of transaction are the basis. Matters requiring foreign law are separately assessed for coordination with the competent legal advisers in the relevant country. Financial, technical and operational tasks, and the scope of legal services, are determined at the outset of the engagement.
Before any dispute arises, contracts, authority structures and business practices are reviewed. Legal risks are identified; priority measures, notifications and a follow-up schedule are prepared together with the business.
Day-to-day legal questions of tourism companies and businesses, corporate resolutions, commercial contracts and official correspondence are addressed under ongoing legal advisory. Legal assessment is provided to management before decisions are made.
Relations with staff, agencies, suppliers and guests, together with licensing, personal data and inspection processes, are monitored jointly. The scope of regular legal advisory, special transactions and dispute follow-up is clarified in the service agreement.
The request, the parties, the business structure and any applicable time limits are identified. We assess whether there is any circumstance that prevents us from taking on the matter.
The scope of services, fees, expenses and mutual obligations are clarified. Advisory work and matters requiring separate follow-up are specified in the agreement.
The necessary contract, authorization and documents are completed. Acceptance of the matter is separately communicated in line with the conditions foreseen in the agreement.
Procedures are carried out within the accepted scope of work. Developments, required decisions and steps expected from the client are shared.
We manage the legal process from the initial consultation and confidentiality arrangements through legal review and contract negotiations to closing and handover. Post-sale undertakings and the transition to business management are included in the agreed scope of services. Governing law, the position of foreign parties and the necessary country-specific procedures are assessed separately.
In addition to following handover, inventory, contract transfer and post-sale obligations, ongoing legal advisory can be provided for business management. Staff, supply, agency and regulatory compliance processes are addressed with a preventive law approach. The scope and fee terms of continuing services are determined by agreement.
Depending on the nature of the transaction, title deed and land use information, existing licenses and tourism certificates, lease or operation agreements, the scope of the transfer and records relating to ongoing disputes may be reviewed. The definitive list of documents is prepared once the condition of the facility and the planned transaction have been determined.
The assessment examines the name of the agreement together with the duties actually undertaken, operational control, sharing of revenue and expenses, staffing, brand use and liability provisions. The appropriate contract structure is determined according to the parties’ actual business model.
The agreement and its annexes, reservation confirmations, cancellation terms, correspondence, payment records and documents relating to the provision of services are reviewed together. At the first consultation, it is sufficient to share a list of the relevant records; a secure method for sharing documents will be communicated separately.
Prepare the full notice and any attachments, the date of service or of becoming aware of it, inspection minutes and previous correspondence. State the dates and time limits contained in the notice at first contact; for urgent or time-limited matters, call our main line directly.
The scope is set by assessing the business’s activities, the volume of contracts, its staff structure and the follow-up it requires. Regular legal advisory and the scope and fees for litigation, enforcement or separate transactions are clearly defined in the agreement.
