GÜNEŞ & GÜNEŞ LAW FIRM

Agriculture, Greenhouse Farming and Food

Legal support for growers, greenhouse operators, food processors and businesses across the supply chain.

From land and investment to production, product delivery and placing products on the market: contracts, food safety, inspections and disputes.

Based in Antalya · Serving all of Türkiye

A modern greenhouse with tomato production, harvest crates and surrounding farmland.

OUR APPROACH TO THE SECTOR

We look at the relationships running from land to market as a whole

In agricultural and food businesses, one decision affects several relationships. Land rented for a greenhouse may carry usage conditions that affect the production investment; the quality criteria for a product can affect its delivery, payment and insurance claim. We build the legal review by understanding the business’s operations and the path the product follows.

The liability of the producing, processing, storing, transporting and distributing parties is not the same. As Güneş & Güneş Law Firm, we treat legal due diligence before an investment, day-to-day operational advice and follow-up of disputes that have already arisen as separate needs, and we keep the connection between them.

Growers and greenhouse operators

Field and garden production, protected cultivation, producer organizations and agricultural investment relationships.

Food and supply businesses

Food processing, packaging, storage, cold chain, input supply, distribution and sales relationships.

Investors and exporters

Land and facility investment, partnerships, business transfers, cross-border sales and transactions connected with Türkiye.

OUR LEGAL PRACTICE AREAS

Legal services for agricultural, greenhouse and food businesses

The scope of the work is set by the product, the activity, the facilities and the role of each party. Several areas may need to be assessed together for the same business.

Land, greenhouse and facility relationships

Land acquisition and leasing, rights of use, greenhouse installation, infrastructure and facility agreements are reviewed. Ownership, partnership, use restrictions, investment costs, maintenance and the condition of the facility at the end of the contract are considered together. A land registry record alone does not show whether the planned activity is permitted.

Real Estate Law

Contract production and inputs

Production volume, quality, purchase obligations, price setting, harvest schedule and delivery terms are clarified. For claims of defect, delay or loss relating to seed, seedlings, fertilizer, equipment and other inputs, the assessment is based on the contract, usage conditions and records.

Contract Law

Supply, sales and cold chain

Product acceptance, rejection criteria, samples, weighing, packaging, temperature and delivery records are aligned with the contract. Storage, transport, distribution, returns, shrinkage and payment responsibilities are separated; for perishable goods, notice and evidence needs are given priority.

Food safety and traceability

Depending on the activity, the legal dimension of registration or approval, product information, labeling, traceability and placing-on-the-market obligations is reviewed. In cases of non-compliant products and recall processes, the responsibility of the parties is assessed. Technical production, analysis and laboratory work fall within the duties of the relevant specialists.

Product Safety and Liability

Inspections and administrative procedures

Inspection reports, sampling and analysis documents, requests for a written statement of defense, activity restrictions and sanction decisions are examined. For each file, the type of act, the date of notification, the competent authority and the available application route are determined; the necessary objection, lawsuit and interim protection options are assessed.

Administrative Law and Courts

Agricultural insurance and claims

For product, greenhouse, business and liability insurance, the policy period, insured asset, coverage, exclusions, deductibles and notice conditions are reviewed. Loss assessment, payment and grounds for rejection are evaluated. The conditions of the Turkish Agricultural Insurance Pool (TARSİM) and of other insurance relationships are not used in place of one another.

Insurance and Reinsurance Law

Environment, water and operating permits

Depending on the nature of the activity, the legal framework for environmental permits, water use, waste, discharge and neighbor relations is assessed. Land, facility and production decisions are reviewed together with the related procedures of the competent authorities; technical suitability and engineering work are carried out separately.

Environmental Law and Permits

Employees and employment relations

Seasonal and permanent employment, subcontracting employer (alt işveren) and outsourcing relationships, wages, working arrangements and occupational health and safety obligations are addressed. In workplace accidents and employee disputes, the actual relationship, records and responsibilities are examined rather than relying on the name of the contract alone.

Employment Law

Export and international sales

International sales, delivery terms, quality and document requirements, customs, payment security and rejection of the product are assessed. Transactions in Türkiye and the product and import conditions of the destination country are kept separate; where foreign law is needed, coordination is arranged with the authorized advisers in that country.

International Trade and Customs

Company, partnership and facility transfers

Ownership structure, representation powers, financing agreements, and share or business transfers are reviewed from a legal standpoint. It is not assumed that real estate, equipment, stock, employees, contracts and permits pass automatically with the same transaction; the transfer terms and post-transfer responsibilities are determined.

Brands, data and agricultural technology

Product brands, packaging, use of geographical indications and technology agreements are addressed. In greenhouse automation, software, data access and maintenance relationships, licensing, continuity of service and responsibilities are reviewed; the processing of employee and customer data is assessed separately.

Receivables and commercial disputes

Claims arising from non-delivery of goods, defective performance, unpaid price, unjustified deductions and termination of the contract are assessed. Negotiation, any required prior application, mediation, lawsuit, enforcement or arbitration options are determined by the parties’ status, the contract and the nature of the dispute.

FROM INVESTMENT TO OPERATION

We structure the land and facility decision together with the production plan

The production calendar and the legal transaction calendar need to support each other. A usage or permit issue identified in the pre-signing review can be reflected in the contract terms in good time.
  1. Legal due diligence before investment

The planned product and activity, the use status of the land or facility, the authority of the parties and existing contracts are determined. Permit, infrastructure and technical review needs are separated; the legal consequences of a sale, lease or partnership option are compared.

  2. Contract and transfer

Price, payment security, delivery, equipment and stock, employee relations, required procedures before public authorities and closing conditions are clarified. Remedying deficiencies, the transfer date and the parties’ declarations are tied to specific obligations.

  3. Operation and follow-up

Post-transfer notifications and contract adjustments, production and supply relationships, and continuing obligations are placed in a follow-up plan. Legal support can continue during the operating period within the scope agreed.

PRODUCT, RECORDS AND TIMING

Preserving the trail of the same batch in a damage or product dispute

For perishable products, the review does not stop at the contract. It must be clear which product batch, which date and which conditions an analysis result, photograph, temperature record or delivery report belongs to. Disconnected records can make it harder to assess liability and loss.

If there is damage, product rejection or an inspection notice, state the date of the event and of the notice in your first communication. Preserve the integrity of existing records; necessary preservation of evidence, insurance notice, notice to the other party and application deadlines should be assessed without delay. Necessary food safety measures should not be postponed while waiting for a legal consultation.

  • Product and batch information
  • Harvest, delivery and event dates
  • Storage and transport conditions
  • Samples, analyses and correspondence

PREVENTIVE LAW

Regular legal support for the business’s daily decisions

A legal work plan can be set up around the production season, the supply calendar and the way the business is organized. Contract drafts, permit and obligation tracking, employment relations, personal data and the documentation of receivables are assessed within this plan.

The matters to be handled in ongoing legal advisory, the communication arrangement and reporting are agreed from the outset. It is explicitly determined whether new investments, facility transfers or separate lawsuits fall within the scope. Legal advice does not replace agronomic advice, food analysis, technical inspection or financial audit.

OUR APPROACH

We define the scope and priorities by understanding the business

  1. Business and initial needs

The product, facility, production and delivery chain, the parties involved and upcoming dates are identified. Conflicts of interest and suitability to take on the matter are assessed.

  2. Documents and roadmap

Land, production, supply and payment records are reviewed together. Legal options, missing documents and the need for technical or financial expertise are separated.

  3. Scope and acceptance of the work

The scope of the service, fees and separate costs, the contract, and the necessary authorizations and documents are clarified. An initial communication or the sending of documents alone does not constitute acceptance of the matter.

  4. Implementation and reporting

The procedures and deadlines of the accepted work are tracked, and developments are shared on the agreed schedule. For international matters connected with Türkiye, coordination of documents and local advisers is planned separately.

PREPARING FOR THE INITIAL CONSULTATION

A short summary and a list of relevant documents are enough at first

You do not need to send the entire business archive with your first application. Explain your need and any upcoming deadline; the method for secure sharing of detailed documents is determined afterwards.
  • A short description of the product and activity, and your role as producer, buyer, processor or distributor.
  • Information on the land, greenhouse or facility, and related sale, lease, partnership and use contracts.
  • Production, input, supply, sales, storage or transport contracts and orders.
  • Relevant records, approvals and permits; the inspection report, letter from the authority and notification date.
  • If there is a dispute: product batch, delivery, sample, analysis, photograph, payment and correspondence records.
  • If insurance is involved: the policy, damage information, notices and assessment letters.
  • The legal support you expect; for consultations from abroad, the country, city and a suitable time.

FREQUENTLY ASKED QUESTIONS

What people ask about in agriculture, greenhouse farming and food

Is buying or leasing land enough for setting up a greenhouse?

The ownership or lease relationship and the suitability of the planned activity are reviewed separately. The nature of the land, the conditions of use, the facility to be built and the related permits should be assessed together. This review can be carried out before the contract is signed.

Which terms should be clearly written into a contract production agreement?

The product and quantity, quality, supply of inputs, price or calculation method, harvest, delivery, acceptance and rejection criteria, and payment terms should be spelled out. Unexpected loss of production, delay, notice and dispute resolution are also set out according to the concrete relationship. Model contracts issued by the Ministry of Agriculture and Forestry (Tarım ve Orman Bakanlığı) are reviewed for the relevant type of production.

Are food business registration and approval the same procedure?

No. Depending on the business’s activity and product group, the scope of registration or approval is determined. A document issued for one business does not mean that all of its products and activities are automatically covered. The applicable conditions are reviewed separately when starting an activity or changing its scope.

Which documents matter when a product is rejected or spoils?

Along with the contract and order, the delivery, weighing, temperature, sample and analysis records for the same batch, and the parties’ correspondence, are important. The reason for and date of the rejection should be determined; notice, preservation of evidence and deadlines for asserting rights should be assessed without delay.

Is every greenhouse or crop loss covered by TARSİM?

Automatic coverage cannot be assumed for every loss. The insured asset, product, period, risks, exclusions, deductible and notice conditions in the policy are reviewed together. The scope of the greenhouse structure, the products within it and other elements is assessed against the policy and the current terms.

Are the responsibilities of a producer and a distributor the same?

The parties’ roles, actual activity, contracts and position in the product chain may differ. Food safety, product information, storage, delivery and damage claims are each assessed against the obligations of each party; a conclusion is not drawn from the commercial title alone.

What should I do when I receive an inspection or sanction letter?

Keep the entire letter, its attachments and the notification information, and identify the related activity, batch and inspection records. Since the application route and deadline may vary according to the type of decision, state the upcoming date in your first communication. A general consultation response time does not extend legal deadlines.

How is the rejection of an export product abroad assessed?

The sales and delivery terms, product and batch information, analyses, border or buyer notifications, transport records and payment status are reviewed together. The buyer, carrier and insurer relationships are kept separate. If an assessment under the destination country’s law is needed, coordination with a local authorized adviser is planned.

Can I consult from outside Antalya or from abroad?

Yes. In-person consultations are held at the Antalya office, and online consultations via Zoom or WhatsApp are possible. Communication in Turkish, English, German and Russian is available. International appointments are confirmed by stating the local time in your city together with Türkiye time.

When will I receive a response to my consultation request?

We will respond to your request within 48 hours. The scope of the consultation and, where applicable, its fee are communicated before your appointment is confirmed. For urgent matters or those requiring special timing, you can reach our client relations assistant via the main line or WhatsApp. This response time is not a commitment to deliver a detailed legal opinion.
