Corporate risk and management
We assess company decisions, authorities and the risks in day-to-day workflow together.
- Risk inventory and action plan
- Ongoing advisory and outsourced legal department
- Shareholding and family-company arrangements
SUPPORT FOR LEGAL DECISIONS
Preventive legal advisory makes it possible to see legal risks and plan appropriate measures before a decision is made or a transaction is carried out. In addition to the text of a contract, signing authority, employee practices, data flows, collection and official notification arrangements are reviewed. The service is intended for companies and investors as well as for individuals about to carry out a significant asset or contract transaction.
As Güneş & Güneş Law Firm, we offer either a project-based review for a single transaction or ongoing advisory that accompanies a regular workflow. At the first consultation, we clarify the priority need, upcoming dates, the scope of documents and the appropriate working model. The commercial decision is made by the company’s competent body; the legal work clarifies the options and their consequences.
If there is an official notification (tebligat), a data breach, an action directed at an operating permit, or evidence that could be lost, state this in your first contact. Do not delete or alter records; do not carry out unauthorized access or bulk data transfers. Submitting a web form does not stop an application time limit and does not mean that follow-up of the file has been undertaken.
OUR PRACTICE AREAS
We assess company decisions, authorities and the risks in day-to-day workflow together.
We review the contract process from before signing through obligation tracking to collection.
We match human resources practices and company policies with duties and processes.
We address data flows, technology contracts and the legal side of incident response.
We assess rights and obligations in investments, permits, immovable property and intellectual assets.
We evaluate the cause of the event, the time limits and the evidence, and prepare solution options.
PRE-TRANSACTION ASSESSMENT
| Decision or event | Issues to be assessed before the transaction |
|---|---|
| Before a contract is signed | Authority, obligations, payment, security, liability, termination and dispute resolution |
| Before a shareholding or investment decision | Company structure, share rights, obligations, permits, lawsuits and exit mechanism |
| Before action is taken regarding an employee | Documentation, procedure, equal treatment, personal data, termination and compensation risk |
| When a receivable begins to be overdue | Evidence, default, security, asset risk, mediation, litigation and enforcement options |
| When an inspection or an administrative notification arrives | Authority, time limit, documents, defense, application and the possibility of a stay of execution |
| When a data or cyber incident occurs | Incident record, evidence, notification, contracts, data subjects and communication with the authority |
| Before a new product, campaign or digital service | Consumer, advertising, electronic message, data, intellectual property and competition rules |
| When the possibility of a dispute emerges | Time limits, proof, correspondence, interim protection, negotiation and ability to collect |
SCOPE, OBLIGATION AND TIME LIMITS
| Distinction | Meaning in practice |
|---|---|
| Legal risk analysis and commercial decision | The report supports decision-making. The decision of the competent body and the company’s statutory obligations continue; it is not a guarantee of zero risk or of the absence of disputes. |
| Ongoing advisory and litigation follow-up | The scope of litigation, enforcement, mediation, administrative applications and coordination abroad is determined separately. Ongoing advisory does not automatically include every matter. |
| Policy document and actual compliance | Preparing a text does not by itself show that compliance has been achieved. Adoption by the competent body, allocation of duties, training, an implementation record and updating are all required together. |
| Legal review and technical / financial audit | Tax calculation, independent audit, valuation, engineering or cybersecurity testing are separate specialist work. The attorney assesses the legal consequences of the findings. |
| KVKK processing condition and explicit consent | Explicit consent is not requested for every processing activity. The statutory condition suited to the activity is determined together with the purpose, the amount of data, retention and security measures. Transfer abroad is assessed separately. |
| Connection to Türkiye and foreign law | Translation or the presence of a foreign shareholder does not by itself create authority to represent in every country or bring a matter within the scope of the GDPR. The country, the activity and the applicable law are reviewed separately. |
Under Article 7/a of Law No. 7201 on Notification, electronic notification is deemed to have been served at the end of the fifth day following the date on which it reaches the electronic address. Preserve the National Electronic Notification System (UETS) record, the delivery information and the document together. This rule does not apply to every KEP message or email; the time limit for a response or lawsuit is calculated separately according to the relevant procedure. PTT explanation of UETS (PDF) (opens in a new tab).
Under Article 12/5 of the Personal Data Protection Law No. 6698, in the event of a personal data breach, the data controller must, without delay and within 72 hours at the latest after learning of the breach, notify the Personal Data Protection Board (Kurul). Notification to the affected persons is made as soon as is reasonable after they have been identified. Missing information may be completed in stages without delay; if there is a delay, its reason is explained. Determine the duties of the technical team and the legal team together. Board Decision No. 2019/10 (opens in a new tab).
SPECIFIC WORK AND LEGAL LIMITS
The review is limited according to the company’s field of activity, organization, employee structure, contractual relationships, obligations and priority need. The work below is carried out according to the agreed scope of service.
A legal risk review does not consist merely of listing disputes experienced in the past. Determining which process or document deficiency caused the same problem to recur, and building a workable correction plan, is a core part of preventive work.
Where the company has no in-house legal unit, the service can be carried out through an outsourced legal department model whose scope is set in writing. In companies with an in-house legal unit, a second opinion, periodic capacity or support for high-risk transactions can be provided in specific areas.
The technical application of company decisions in commercial books, accounting records or tax calculations is the responsibility of the relevant professionals. Legal advisory focuses on the authority, decision, contract, registration and liability consequences of the transaction and, where necessary, is carried out in coordination with the financial adviser (mali müşavir) or the independent auditor.
The aim of contract management is not merely to prepare a good text. Who in the company will approve the contract, how obligations will be monitored, how changes will be recorded and which evidence will be preserved in the event of a breach must also be planned together.
Commercial terms cannot be used in the same way in every contract. The company’s position in the market, the nature of the counterparty, whether the transaction is directed at consumers and its impact on competition law must also be assessed separately.
The legal security of collection is built, more often than not, not after the debt is overdue but at the offer, delivery, acceptance, invoice and security stages. The validity and enforceability of the chosen security should be assessed according to the specific transaction structure.
Before a dismissal decision is made, as well as the reason for termination, how the process is documented, the defense and notification requirements, the principle of equal treatment and the personal data rules should also be examined. Not every employment relationship and type of termination is subject to the same procedure.
Compliance work does not consist of adapting standard policy texts taken from the internet to the company. The policy needs to be adopted by the competent body, announced to employees, applied, violations recorded and, when necessary, updated.
It is not the right approach under KVKK compliance to obtain explicit consent for every data processing activity. The processing condition, purpose, data minimization, retention period, transfer and security measures must be determined for each activity concerned.
The firm does not carry out technical cybersecurity testing or software audits. Technical detection of the incident is carried out by the relevant experts; the legal work focuses on the evidence, notification, contract, liability and dispute consequences.
Legal due diligence does not replace financial, tax, technical or independent audits. Depending on the nature of the transaction, these workstreams must be carried out in parallel with the relevant experts.
In transactions with a foreign connection, merely translating a contract is not enough. The mandatory provisions of Turkish law, expert opinions on tax and financial consequences, the dispute resolution mechanism and the enforceability of the decision must be assessed together.
Time limits for applications and lawsuits against administrative acts are often short and special in nature. When an official notification or inspection record reaches the company, legal review should not be delayed.
An internal investigation should not be conducted on a presumption of guilt. Personality rights, private life, employment-law safeguards, data protection rules and the reliability of evidence must be considered together.
Preventive law does not mean that a lawsuit will not be filed when necessary. The aim is for the company, when a dispute arises, to have a file system that documents its rights, protects time limits and keeps solution options open.
Work for individuals is not a commitment to prevent every dispute that may arise in the future. The aim is for the person to see, before the transaction, the consequences of the document they will sign, the obligation they will assume and the legal instruments they can choose.
WORK ACCORDING TO NEED
More than the size of the business, the legal obligations it undertakes and the impact of the transaction matter. One can begin with a single contract of a newly established startup or a limited-scope review; for company groups, work covering several units can be planned.
Written, scoped outsourced legal support can be provided to a company with no in-house legal unit; a second opinion, a specific project or periodic capacity support to one with an existing legal unit.
The legal consequences of decisions such as immovable property, suretyship, investment, power of attorney, and family and inheritance planning can be reviewed before the transaction. Review the scope for individuals.
FROM THE REVIEWED DOCUMENT TO PRACTICE
The company’s shareholding structure, management and signature arrangements, field of activity, revenue model, critical customers, supply chain, employee structure, permits and existing disputes are identified.
Contracts, employee processes, receivables, personal data, licenses, corporate decisions and other critical areas are reviewed. Risks are classified by probable impact, likelihood of occurrence, time and possibility of correction.
In order of priority, contracts, resolutions, authority arrangements, policies and procedures are prepared or updated. The responsible unit, target date and required expert support are determined.
It is determined which transaction will go to legal review at which amount, risk or subject threshold. Clear workflows are set up for contract approval, employee transactions, receivables follow-up, data and administrative notification processes.
When a dispute arises, evidence is preserved, time limits are identified, and negotiation, mediation, arbitration, litigation, enforcement or administrative application options are assessed together.
Ongoing matters, critical dates and legal changes are reported regularly. Policy, contract and training content is updated according to new risks.
The work plan is not completed merely by preparing documents. The person responsible for each task, the competent decision-making body, the target date and the proof of completion are determined. Periodic reviews address open tasks and practices that could give rise to the same risk again.
How the transaction was sold, approved, delivered, documented and collected is examined. The legal effects of the options and workable corrections are explained for management; document and process deficiencies that lead to a risk of recurrence after a lawsuit or crisis are also assessed.
IMPACT, LIKELIHOOD AND TIME
| Priority | General criterion | Planned step |
|---|---|---|
| Critical | Imminent loss of rights, interruption of activity or permit, significant asset or data risk. | Priority legal assessment according to the time frame of the event; notification of management, preservation of records and an intervention plan. |
| High | Significant financial, administrative or dispute impact in the near term. | Correction containing the responsible unit, required decision and target date. |
| Medium | Recurring or potentially growing deficiency in documents and processes. | Document/process revision, implementation record and follow-up check. |
| Monitoring | A matter that may gain importance through a change in legislation or activity. | Review at agreed intervals and tracking of changes. |
A risk level is not a definitive result or a commitment on service response time. Statutory deadlines can take precedence over a risk that appears low. The scope of work is set so that every record contains the finding, supporting document, legal effect, recommendation, responsible person, target date and proof of closure.
WORK WITH AN AGREED SCOPE
The timetable and the list of outputs of the review are determined in writing after the volume of documents and the priorities are seen. Every document and report is prepared only for the areas actually reviewed and included in the scope of service; without seeing how the company actually operates, a standard document set is not used as is.
PREPARING FOR A CONSULTATION
Party information is for the conflict-of-interest check. In your first message, do not send a detailed company archive, employee file, health data, password or trade secret.
Not all documents are requested for every matter. The scope and the method of secure sharing are agreed; unnecessary personal data is filtered out. Do not make later changes to existing documents; indicate missing items in a separate list.
ENGAGEMENT, FEES AND CONFIDENTIALITY
An application does not by itself begin representation or time-limit tracking. The parties and conflict of interest, the scope of the work, authorization, communication and fee terms are assessed. In ongoing advisory, the contact persons, the reporting interval and the method of conveying priority matters are determined separately.
The extent to which litigation, enforcement, mediation, applications to authorities, attendance at meetings and coordination abroad fall within the scope is clarified in writing.
The fee is determined according to the nature of the work, the volume of documents, the scope of the review and the working model. Court fees, notary, translation, court-appointed or technical expert, travel and foreign adviser expenses are separate from the service fee; the work and expenses that will arise are explained separately. The first contact is not a promise of a free, comprehensive legal review.
The independent auditor, financial adviser, tax adviser, engineer, valuation or occupational safety expert and digital forensics team are each responsible for their own review. The firm assesses the effect of the expert’s findings on the legal action and strategy.
Company secrets, commercial information and personal data are handled under the principles of professional secrecy and data security. Access is limited to the team and scope the work requires. Secure document sharing is determined after acceptance of the matter and the necessary checks. Review our confidentiality and information security approach.
