Production and purchase contract
Reflecting the product, quality, price, delivery, advance payment, insurance and production risks correctly in the contract.
Review the scopeIn agriculture and food activities, a single contract does not meet every legal need. The right to use the land, the conduct of production, delivery of the product and the food business’s obligations toward public authorities are subject to different rules. An inspection concerning food safety and a buyer’s refusal to accept the product are not resolved through the same application route.
As a producer, greenhouse operator, investor, cooperative, food business operator or supplier, we assess the contract, permit and dispute processes you need. In the first stage, the type of your activity, the legal status of the land, the stage the product has reached and, if any, the date of notification or of the damage are determined. For packaging and cold storage businesses, hotels, restaurants, retailers and exporters as well, the scope of work is determined according to the nature of the activity.
DEADLINE AND DOCUMENT CHECK
Photographs, delivery records, samples and policy information quickly become important in case of damage to the product or greenhouse. The time limits for insurance notification, laboratory objection and administrative application differ from one another. If you suspect unsafe food, do not wait for a legal consultation before taking the necessary protective measures and making the required notifications to the competent authority.
Telephone and contact informationYou can select the heading that fits your need and review the scope of the service and the topics addressed in the initial assessment.

| Subject | First legal distinction | Record to review |
|---|---|---|
| Contract production | Agricultural production contract and mediation as a special condition precedent to litigation | Signed contract, product and delivery records |
| Land / greenhouse use | Lease, produce lease, rights in rem and administrative permission to use | Title deed, contract, plan and permits |
| Food inspection | Distinction between administrative measure, fine and criminal investigation | Report, analysis, decision, notification |
| Product price / loss | Status of the parties, defect, fault and adequate causal link | Invoice, analysis, delivery and correspondence |
| Agricultural insurance | Policy year, insured asset, coverage and exclusions | Policy, notification and appraiser’s report |
An objection to an inspection decision does not by itself allow the product to be placed on the market. Nor does the termination of a contract automatically remove public-law obligations relating to the land or facility.

The main regulations reviewed as of October 4, 2026 are below. The start of implementation, the date of announcement and the transitional provisions are assessed together.
The Regulation on the Protection and Use of Agricultural Land was published and entered into force. Applications concerning land class, agricultural structures and non-agricultural use should be assessed under the new text. A later transitional regulation published by the Ministry brings applications made before the entry into force under the former regulation; for this reason the date of application is preserved separately.

According to the Ministry’s announcement, the B-Prescription began nationwide after the pilot implementation. Producer registration, the sale of plant protection products and application records are reviewed together. The scope of the prescription for risky active substances and of the producer record book for risky products is determined separately; the same obligation is not assumed for all products.

The Ministry’s provincial directorate announcement states these dates as the ordinary application period for the 2027 production year. Changes to land and product, initial applications and renewals are checked separately. Later announcements and exceptions specific to the file are also followed separately.
Legal basis: 2027 production year ÇKS announcement
The amendment the Ministry announced in December 2025 updated the rules on notification periods, the definition of insurance and certain types of production. Old contract templates should not be used unchanged. The provisions of the Agriculture Law on insurance, contractual penalties and mediation as a condition precedent to litigation should also be read together with the contract.

The mandatory requirement covers food sales and mass catering establishments. The business’s QR code is displayed where the consumer can see it. The QR code is not a document showing that the product is organic or that all safety conditions are met; registration, approval and product obligations continue separately.

Coverage of the greenhouse, crop and equipment, as well as loss notification and the second assessment process, are checked through the policy. They apply together with the general conditions, the tariff and the instructions. The documents appropriate to the insurance period and the date of the loss should be used as the basis.
Legal basis: TARSİM 2026 Greenhouse General Conditions
Sending a consultation request does not replace a loss notification, an objection or filing a lawsuit, and does not stop time limits.
Item B.1 of the 2026 State-Supported Greenhouse Insurance General Conditions provides for a loss notification no later than 24 hours after becoming aware of the loss. Under B.4, if there is a disagreement over the amount of the loss, a second assessment may be requested in writing within 7 days of the transmission of the Loss Assessment Information Form (Hasar Tespit Bilgi Formu). These cannot be generalized to all agricultural insurance; check the policy.

Preserve the batch, quantity, location, temperature and delivery records of the product. Consider appropriate sampling and technical assessment without delay. If there is a food safety risk, the obligations that prevent the product from reaching the consumer take priority; sale of a dangerous product cannot continue for the purpose of preserving evidence.
Legal basis: Law No. 5996 on Veterinary Services, Plant Health, Food and Feed
Prepare the report, analysis, sample and decision attachments together with the date of notification. A fine, suspension of the activity and a public announcement may not be the same act. The authority for application, the time limit for filing an action and the payment schedule must be determined according to the legal basis of the decision; a single time limit does not apply to all files.

Under Article 13 of Law No. 5488, mediation is a condition precedent to litigation in actions arising from an agricultural production contract. The mediator concludes the process within two weeks of being appointed; in a case of necessity, the mediator may extend it by at most one week. This special rule does not apply directly to every product sale or lease dispute.

Advice, preparation of applications and follow-up of disputes are assessed together, according to the nature of the request, the position of the parties and the stage of the relevant procedure.
The type of product, the planting or cultivation plan, quantity, quality criterion, place and schedule of delivery, determination of the price, advance payment and input support are regulated together. The model contract of the Ministry of Agriculture and Forestry (Tarım ve Orman Bakanlığı) that fits the activity, and the registration obligations, are checked. Before looking at the name of the contract, the obligations the parties actually undertake are determined.
Provisions on force majeure, loss of yield, rejection of the product, refusal to buy or sell, and contractual penalties are reviewed within their statutory limits. The insurance obligation under Law No. 5488 is addressed separately; it is not assumed that every risk is covered by the same policy. The current rules, including the 2025 amendments, are checked according to the date of the contract.
We clarify the terms of a fixed price, a price formula, advance payment, in-kind input support and set-off. How product classification affects the price, the limit of the purchase commitment and shrinkage calculations are determined in the contract. A documentation and evidence system is set up for unilateral price changes, unclear deductions and quality objections raised after delivery.

The title deed, co-ownership in shares, usufruct or other rights in rem, the lessor’s authority and restrictions on the land are assessed. The rules on the protection of agricultural land and on non-agricultural use are reviewed separately for the features of a greenhouse, storage area, packaging area or ancillary facility. Building a greenhouse is not treated as exempt from permits in every case.
The term of use, the nature of the produce lease, irrigation and energy costs, maintenance, existing crops, ownership of structures and equipment, and the terms of early termination and eviction are clarified. The position of removable equipment compared with investment attached to the land at the end of the lease, and claims for expenses, are shown separately in the contract.
For a greenhouse or agricultural facility investment, we research, for the specific location and activity, whether an agricultural land use permit, building and workplace procedures, and water and energy connections are required. Soilless production, geothermal heating or the addition of a packaging facility may give rise to different permit needs. It is not assumed that one record or an opinion of an authority takes the place of other permits.
We assess the position of owners, co-owners and tenants in the processes of identifying uncultivated agricultural land, announcing it and leasing it for agricultural purposes. Whether the land is actually within the scope, actual production records and local announcements are reviewed. Leasing, payment of the rental income to the rightful holder and the end of use are addressed separately from a transfer of ownership.

The consistency of the contracts on land acquisition, greenhouse construction, automation, heating, irrigation and operating services is reviewed. Delivery, acceptance, warranty, delay and performance criteria are written into the contract together with the data of the technical specialists. A legal review does not replace an engineering calculation or a technical conformity report.
Revenue sharing between the investor and the operator, financing, security, management authority and exit conditions are determined. The structure of the cooperative or company, the responsibilities of its members and the effect of transferring the operation on the contracts are assessed. The conditions for benefiting from support or incentives are reviewed separately according to the current rules of the relevant program.
In agricultural support, TKDK/IPARD and other investment programs, we review the application conditions and the post-acceptance commitments from a legal standpoint. The implementation of the project, the procurement arrangements, notice of changes and repayment claims are assessed with the current call documents of the relevant program. The preparation of an application, or its appearing suitable, does not mean that support will be allocated.
We define duties and responsibilities in the relationship with an agricultural adviser, technical operator, maintenance company or production manager. The yield commitment and the duty of care, advice and authority to implement, and data sharing are written separately. In cases of deficient service, faulty implementation or loss of information, the link between the contract, the technical report and the loss is examined.

In purchase, sale, commission, storage and transport relationships, the delivery, acceptance, weighing and quality control of the product, and the document by which payment will be proved, are regulated. If there is a cold chain or storage failure, the chain of responsibility is examined. Notice obligations in commercial sales are separated from consumer transactions.
Where loss is alleged to arise from seed, seedlings, fertilizer, a plant protection product or equipment, the source of the product, the conditions of application and the cause of the loss are investigated. The batch number, label, usage record, analysis and expert examination are placed in an evidence system. If spoilage of the harvest or product could destroy the evidence, timely preservation of evidence is considered.
In claims of an unpaid product price, unjustified deductions, non-delivery or defective inputs, we review the contract and the commercial records. The debtor, the basis of the receivable, the due date and the security are determined. The options of formal notice (ihtar), mediation, enforcement proceedings or a lawsuit are assessed taking into account the type of relationship, the mandatory application rules and the prospects of collection.
Legal basis: Law No. 6098, Turkish Code of Obligations
We match the Farmer Registration System (ÇKS) and the other production records that fit the activity with the declared land, product and operator information. The place of applications such as the Registration System for Protected Plant Production in the greenhouse file is assessed. Production planning, support conditions and registration calendars are not treated as the same process; they are followed by season and product.
We assess how the registration, supply, prescription and application record of a plant protection product relate to the production process. The obligations under the B-Prescription are checked separately for the product and the applicator. In disputes between the pre-harvest waiting period, a residue finding and the buyer’s specification, legal support is provided to preserve the records and determine responsibility.
We review the contracts, controls, certificates and traceability documents on which claims about organic products and good agricultural practices rest. Organic production and good agricultural practices are separate systems; a document for one does not by itself provide the other. The scope and validity of the certificate, its suspension or cancellation, and the consequences for marketing the product are assessed together.

In the trade in vegetables and fruits, we assess the scope of Law No. 5957 and the hal registration and notification obligations according to the type of transaction. The relationship between the producer, merchant and commission agent is reviewed together with the product ID, deductions, settlement of accounts and delivery documents. The hal arbitration board route and other application options are determined by the nature of the dispute and the current monetary threshold.
For perishable products, we examine responsibility for transport, storage, packaging and delivery along the chain of contracts. Temperature records, vehicle and warehouse movements, the condition of the packaging and reservations made at delivery are assessed as evidence. At which stage the loss arose, and the claim to be directed against the carrier, the warehouse keeper or the insurer, are determined separately.
In an export contract, we assess the quality standard, residue limit, documents, delivery and payment responsibility. Conformity procedures in Türkiye and the import conditions of the destination country may differ. In the case of rejection at the border, waiting, destruction or return, documents and applications are coordinated with the buyer, carrier, insurer and the relevant specialists.
In contract food manufacturing, private-label products, dealership and distribution relationships, we align the production standard with commercial responsibility. The confidentiality of the formula and production information, packaging approval, use of the brand and the end of supply are regulated. In case of a nonconforming product, the sharing of records, recall costs and the conditions of recourse between the parties are determined.

The responsibility of the food business operator in the stages of production, processing, storage, distribution and sale is determined according to the specific activity. The need for registration or approval, hygiene, traceability, labeling and informing the consumer are examined together. Handing the work over to another business by contract is not regarded as transferring the statutory responsibilities in full.
In case of a suspicion of unsafe food, a nonconforming analysis or a consumer complaint, distribution and stock records are assessed batch by batch. Withdrawal from the market, recall where necessary, notification to the competent authority and the obligations to communicate with commercial parties are determined. The technical assessment of the food risk is carried out with the relevant specialists, and the legal process on the basis of the necessary documents.
We review the product label, declaration of contents, allergen information, date marking, origin and promotional statements together with the regulations the product is subject to. Information obligations for internet sales, menus and packaging are also covered. Whether a nutrition or health claim may be used is assessed by product and by claim; misleading assurance statements are removed.
In files linked to the detection of imitation or adulteration, public announcements, product safety and consumer losses, we review the procedures and evidence. The conditions for administrative sanctions, private-law compensation and a possible criminal investigation are separated. The roles of the producer, importer, distributor and seller are determined with specific records, and a defense and application plan is prepared.
Legal basis: Law No. 5996 on Veterinary Services, Plant Health, Food and Feed
Depending on the type of activity, agricultural records, food business registration/approval procedures and permits relating to the facility and land use are screened. A plan is prepared for keeping the records that may be requested at an inspection, the authority of the responsible persons and the steps to remedy deficiencies. Having only a tax or trade registry record does not mean that all activity permits have been obtained.
The inspection report, the sampling method, the analysis result, the request for a defense statement and the basis of the sanction are examined. The application routes for seizure of the product, suspension of the activity, administrative fines and other measures are determined separately. Because the competent authority and time limit may vary with the type of decision, a single objection period is not applied to all measures.
Legal basis: Law No. 5403 on Soil Conservation and Land Use · Law No. 5996 on Veterinary Services, Plant Health, Food and Feed · Administrative Procedure Law No. 2577 (İYUK)
The policy year, the registration of the product or greenhouse asset, the scope of coverage, exclusions, deductibles, coinsurance and the sum insured are checked. It is not assumed that the greenhouse construction, cover, technical equipment and product are insured under the same scope. State-supported agricultural insurance and other production insurance are assessed separately.
The loss notification date, how the risk materialized, maintenance and record-keeping obligations, and the appraiser’s findings are examined. The grounds for rejection or partial payment are compared with the policy and the general conditions. The options of objection, lawsuit or arbitration are assessed with regard to the policy, the parties and the conditions for applying to arbitration; a single notification period or an automatic arbitration route is not accepted for all agricultural insurance.
We examine the effect of hail, flood, storm, frost, disease or a water cut on the contract and on liability. Not every production loss automatically ends the obligation. The options of adjustment, termination or compensation are determined by assessing, with technical data, the foreseeability of the event, the duty to take precautions, notification, the possibility of performance and the conduct to reduce the loss.

The legal nature of the relationship with seasonal workers, labor intermediaries, subcontracting employers (alt işveren) or service providers is determined. Occupational health and safety, working conditions, wages and social security obligations are addressed together with the features of the activity and the workplace. It is not assumed that the same scope of labor law applies to every workplace in agricultural work.
The permits and obligations required for waste, packaging, fertilization, water use, discharge and effects on neighboring properties are examined. Administrative inspection is separated from private-law claims for loss. For a product that is exported, if the food and plant health requirements of the destination country are relevant, they are assessed separately with local advisers and technical specialists.
Legal basis: Labor Law No. 4857 · Environment Law No. 2872
In actions arising from an agricultural production contract, the rule under Law No. 5488 that mediation is a condition precedent to litigation is checked. Other lease, commercial receivable or consumer disputes are assessed according to their own conditions precedent to litigation. Administrative inspection decisions cannot be removed through this contractual mediation route.
The need for preservation of evidence is assessed before the product spoils, the harvest, removal or a change to the facility. Claims for price, loss, contractual penalty, termination or annulment of an administrative act are separated according to their bases. The conditions for interim measures and a stay of execution are examined separately; making an application does not mean that the act stops by itself.

Review the related areaAt the first consultation, we identify the legal nature of the request, the existing documents, the missing information and the need for priority action. The scope of the consultation and of the work that follows are agreed separately.
We learn your status as producer, investor, operator or buyer, and the location of the product, land and business. By separating the dates of notification, damage, harvest and delivery, we determine the priority step.
We assess the contract, title deed, records, permits, policy and inspection file together. We identify the missing documents, the legal regime that applies and any need for technical review.
We explain the options of contract revision, application to an authority, negotiation, mediation or litigation, with their time, costs and possible risks. We define the boundary between legal and technical tasks.
Within the agreed scope, we prepare contracts, formal notices, defense statements and application documents. We coordinate the verification of product and production data by the authorized persons and the flow of documents.
Within the scope of the work undertaken, we carry out correspondence with authorities, negotiations, preservation of evidence, mediation, litigation or enforcement proceedings. We share important developments and the decisions that are required.

Güneş & Güneş Law Firm, founded in Kemer on March 18, 1999 and based in Antalya since 2007, provides advisory and representation services for legal needs in all 81 provinces of Türkiye. Depending on the location and nature of the file, a work plan is created through an in-person or online consultation.
In matters involving a foreign element, transactions under Turkish law are assessed. Where a transaction is needed in another country, the appointment, authority and fee scope of a local legal adviser are determined separately.
Greenhouse farming, fresh fruit and vegetable production, food supply to tourism businesses and export relationships in Antalya are addressed together with the actual production and trade conditions of the file. In files elsewhere in Türkiye, digital work, local procedures and, where necessary, field coordination are planned. The need for an on-site review and for a technical specialist is determined file by file. Service coverage across Türkiye does not mean that there are offices in other cities.
Communication in Turkish, English, German and Russian supports the flow of documents and information with foreign investors, buyers and suppliers. Where the foreign-law dimension of an export or investment is needed, coordination is arranged with attorneys authorized in that country.
For a start, a short summary showing the subject and the time limit is sufficient. Documents you do not have can be identified after the initial assessment.
You do not need to send identity numbers, medical reports, records relating to children or your entire file in the first application. The information shared is handled only for the purpose of legal assessment and only to the extent necessary. Detailed documents are requested after the need and a secure method of sharing have been determined. Preserve original documents and electronic metadata unchanged; do not send access passwords. Review our approach to confidentiality and information security. Learn about secure document sharing.
The attorney’s fee is determined by taking into account the scope of the advisory work, application, contract work or litigation and the effort the matter requires. The fee, expenses and, where applicable, expert, translation, notary or external adviser costs are explained before the engagement; the work undertaken is defined in writing.
A first response to your consultation request is given within 48 hours. This response does not mean that the file has been reviewed in full or that a representation relationship has been established. If there is an approaching objection or litigation deadline, state this at the start of your application; do not wait for a reply for time-limited steps.
The legal assessment does not replace the technical review of agricultural engineers, food engineers, veterinarians, laboratories, insurance appraisers or other authorized specialists. When needed, the scope of the technical report, the engagement, delivery and information sharing are coordinated.
A law firm does not issue a technical conformity certificate on production yield, laboratory results, product safety or certification. It assesses the effect of a technical finding on the contract, liability and application routes.
Important developments in the contract, application to an authority or dispute, the documents needed and the options that require a decision are shared. The method of communication and the work schedule are determined together. No assurance of an outcome, collection, permit or resolution within a given period is provided.
Production and supply contracts, land and greenhouse relationships, permits, food safety, inspections, sanctions and insurance disputes are addressed together. Depending on the file, there may be private-law, administrative, commercial, employment and criminal-law dimensions. The activity and the problem are identified in the initial assessment.
Not every sale of a product is contract production. The nature of the relationship is determined by examining the obligations before production, the activity the producer undertakes and the special regulation that applies.
The parties, the product and place of production, quantity and quality, inputs, price, advance payment, delivery, acceptance, payment, insurance, force majeure and termination provisions should be clear. The model and minimum conditions set by the Ministry should be adapted according to the current regulation and the type of production.
In actions arising from an agricultural production contract under Law No. 5488, applying to a mediator is a condition precedent to litigation. Different claims, such as an objection to an administrative sanction, should not be confused with this scope.
Article 13 of Law No. 5488 regulates the insurance obligation for the product or production asset subject to the contract. Which insurance applies is determined by the type of production and the current regulation. It is not assumed that the insurance obligation disappears by itself when the matter falls outside the scope of TARSİM.
The reason for giving up, the scope of the contract, the suitability of the product and the force majeure provisions are examined. Article 13 of the Agriculture Law regulates a special contractual penalty for refusing to buy or sell other than in cases of force majeure. Validity, amount and the other rights that may be claimed should be assessed on the specific contract.
The quality and acceptance method in the contract, sampling and analysis records, the time of delivery and the notice of rejection are examined. For perishable products, preserving evidence and the steps that prevent the loss from growing are assessed together.
The title of the contract is not decisive by itself. The transfer of only a right of use and the transfer of the right to operate and obtain the produce may have different consequences. The type of lease and the rules on termination are determined by examining the land, equipment, existing crops, maintenance and the right to harvest.
No. The right of use, ownership of the facility and equipment, maintenance, water and energy, investment costs, the condition of the product and the terms of termination must also be determined.
The nature of the investment, the owner’s consent, the contract provisions, whether it can be removed and the reason for termination are assessed. Not every investment is automatically reimbursed. Before installation, who bears the cost, which elements will be left at the end of the lease and the terms of payment should be determined in writing.
The nature of the land, the characteristics of the structure and the relevant use and permit regime must be examined. Carrying out agricultural activity does not provide a general permit or exemption for all structures.
The rule in Law No. 5403 concerns the seasonal leasing of land within its scope; it is not a transfer of ownership. Non-cultivation for two consecutive years, identification, announcement and the other conditions are examined. The rental income belongs to the owners; the specific announcement and objection process is assessed separately.
No. Support may depend on the product, region, production period, planning and program conditions. ÇKS or another production record does not by itself show that entitlement has been acquired for each support. The application date and the relevant program documents should be checked separately.
Registration in the system, monitoring of sales, the prescription and the producer record book are different obligations. The scope should be determined separately for the product, the active substance, the producer and the applicator. The products the business uses are compared with the current Ministry regulations and system announcements.
The invoice is an important record; however, the product batch, label, conditions of application, analysis and the cause of the loss are also important. Causation may require technical examination.
No. They rest on different production and control systems. It should be examined which product, area, operator and period the document covers. The statements that may be used on a product label or in promotion should not give a broader assurance than the scope of the document and the relevant regulation.
A registration or approval procedure applies according to the business’s activity and product group. They are not documents that can be used in place of one another. A change of activity, a new product line, a relocation or a transfer of the business may require the existing document to be reassessed.
No. The scopes of the business registration or approval and of the permits relating to the workplace, facility, environment and land use are different. The list of requirements is prepared according to the activity carried out.
No. The QR code, which gives access to business and inspection information, is not a certificate of the product’s conformity in every respect. The display obligation at sales and mass catering establishments applies separately from product safety and the operator’s responsibility.
It does not remove it by itself. Whether the sample comes from the same batch, the conditions of collection and storage, the method and the authority of the laboratory are examined. If an objection or witness sample (şahit numune) procedure can be applied to the official result, it should be used within the time limit; it is not assumed that the same procedure exists for every analysis.
The product and batch should be identified, distribution records preserved, and the risk assessed with the competent technical persons. The operator’s obligations to stop placing the product on the market, withdraw it, recall it and inform the competent authority are assessed. A commercial dispute does not postpone the necessary food safety measures.
No. The legal function of the dates and the rules that apply to the relevant product are different. Labeling, storage conditions and the safety of the product are examined together. Assessing the date information alone may lead to a wrong conclusion about whether the product is fit for sale or consumption.
A fine and another administrative act may have been applied together or separately. A single authority or time limit cannot be stated without examining the basis of the decision, the type of sanction and the related acts. The assessment should be made without delay with the decision and the notification document, and the payment and application calendars should be kept separate.
As a rule, an objection or a lawsuit does not stop the act by itself. By examining the type of measure and the special regulation, a stay of execution or another interim protection request is assessed if necessary.
The enforcement option is determined by assessing the basis of the receivable, its due date, the nature of the document and the debtor’s objections. If a lawsuit has to be filed, a mediation condition may come into question depending on the type of relationship. Enforcement proceedings and a condition precedent to litigation are not the same stage; provisions specific to contract production are checked separately.
Coverage depends on the policy, the insured asset, the risk, the exclusions and the deductibles. It should not be assumed that the greenhouse, the product and the equipment are all insured against every loss.
No. The notification and objection rules should be checked in the current general conditions of the relevant line of business and in the policy provisions. When you learn of a loss, preserve the records and do not delay the notification to the insurer.
The policy and endorsements, confirmation of the loss notification, dated photographs, technical records, the appraiser’s report and the assessment form should be kept. The notification and second assessment periods are explained in the priority steps section above. A record of the measures taken to prevent the loss from growing and of the expenses incurred should also be kept.
Not always. The way the contract regulates the event, its effect on performance, its foreseeability and the duties to take precautions and give notice are examined. Impossibility, excessive difficulty of performance, force majeure and insurance coverage are separate institutions. The same event does not produce the same result in every contract and policy.
The destination country’s residue limits, health and plant health requirements, and labeling or document rules may differ. A stricter quality standard may also have been agreed with the buyer. The grounds for rejection, the product batch and the allocation of risk and expenses in the contract are examined together.
Production, supply, investment and operating contracts can be prepared by assessing the cooperative’s power of representation, its field of activity and its relationship with its members. The authority required to act on behalf of members is checked separately.
