Legal advisory for manufacturing and industrial companies

As GÜNEŞ & GÜNEŞ LAW FIRM, we provide legal support to industrial companies from the planning of production investments through the operating period. We assess supply, manufacturing, sales and employee relations together with the day-to-day activities of the business.

Our aim is to make legal risks visible at the contract and decision stages, to clarify rights and obligations, and to determine the appropriate legal course in the disputes that arise.

Legal work in machinery, metal, automotive supply, textiles, food, packaging, chemicals and other manufacturing activities is shaped by the characteristics of the product and the facility. Sector-specific technical issues are addressed together with the relevant specialists.

Legal services in manufacturing and industry

We address the legal needs of the investment, supply, production and sales chain together.

Production facility investment and transfer

We conduct legal due diligence in the purchase, leasing, or company or business transfer of factories and production facilities. We assess how the real estate, machinery, licenses, contracts and employee matters affect the structure of the transaction, and we arrange the transfer and delivery terms.

Raw material and supply contracts

We prepare provisions on quantity, quality, technical specifications, delivery schedule, price changes, payment and security. We address supply interruptions, delays, defective goods and alternative supply terms in line with the needs of the production process.

Contract manufacturing and production agreements

In contract manufacturing, private-label production and subcontractor relationships, we arrange quality, acceptance, intellectual property rights and the sharing of liability. We set out the use of molds, drawings, samples and production information, as well as return and confidentiality obligations after the contract ends.

We also arrange the ownership, use, return and delivery conditions of molds, equipment, raw materials, semi-finished products and goods held by the supplier or contract manufacturer.

Machinery, automation and maintenance

We review machinery purchase, installation, commissioning, performance acceptance, warranty and maintenance contracts. We structure the contractual framework for software licenses, spare parts, service periods and claims that may arise from production downtime.

Sales, distribution and export

In domestic and cross-border sales, dealership and distribution contracts, we arrange delivery, transfer of risk, payment, security and dispute resolution. We assess the applicable law and mandatory rules on a transaction-specific basis.

Product safety and liability

Depending on the product and the company's role, we review the legal dimension of technical regulations, traceability and contractual liabilities. In product complaints, corrective actions and recall processes, we provide legal support coordinated with the relevant technical specialists.

Employee relations and occupational safety

We address employment contracts, shift and working arrangements, subcontracting employer (alt işveren) relationships, workplace practices and termination processes from a legal perspective. In workplace accident and occupational safety disputes, we help evaluate records and responsibilities.

Permits, environment and administrative procedures

Depending on the nature of the production activity, we assess the legal dimension of permit, license, environmental and waste management obligations. We work together with technical advisors in administrative inspections, sanctions and application processes.

Trade secrets, technology and personal data

We prepare confidentiality and licensing provisions for production methods, technical drawings, know-how, software and trade secrets. We review the legal processes concerning the processing of employee, visitor, customer and supplier data.

In R&D collaborations, employee inventions, technology transfer and licensing relationships, we assess provisions on ownership of rights, usage authority, confidentiality and consideration.

Preventive corporate counsel

We provide regular legal advisory services on management decisions, signing authorities, standard contracts, collections, personnel and compliance processes. We prioritize legal risks and provide periodic briefings to management within the agreed scope.

We assess information sharing with competitors, industry meetings, dealerships, exclusivity and sales terms from a competition law perspective.

Receivables, security and insurance

We assess commercial receivables, security, contractual penalties and damage claims. In the event of loss or work stoppage, we work on the insurance policy, notices, evidence and claims that may be directed to the relevant parties.

Where a supplier or customer faces payment difficulties, we assess options for protecting receivables, security, products and equipment, shifting to alternative supply, and terminating the contract.

Dispute resolution and litigation

For disputes arising from supply, manufacturing, sales, employment relations and administrative procedures, we assess negotiation, mediation (arabuluculuk), arbitration and litigation options. We plan legal steps for the preservation of evidence (delil tespiti) and the prevention of loss of rights according to the specific facts.

In supply interruptions, machinery failures, defective production and delivery delays, we consider legal options for preserving evidence, notices and business continuity.

From facility investment to the production and operating phase

  1. 01 · Investment and legal due diligence

The acquisition or use model of the facility, the parties, and existing rights and obligations are determined. Legal due diligence is coordinated with financial and technical reviews, and critical permit and contract items are identified.

  2. 02 · Contract, transfer and delivery

Price, payment, security, transfer conditions, machinery and equipment lists, and delivery records are prepared. The continuation or transition of existing employee and contractual relationships is assessed on a case-by-case basis.

  3. 03 · Operations and ongoing follow-up

A legal framework is set up for supply, manufacturing, sales, maintenance and personnel relationships. Contract renewals, claims, administrative procedures and disputes are followed within the agreed scope.

Preventive law and ongoing corporate counsel

We provide regular advisory services for the legal needs that accompany the daily decisions of a production business. Purchase and sales contracts, signing authorities, personnel processes, trade secrets and collection arrangements are reviewed together.

Legal status and risk briefings may be provided at a frequency agreed with business management. Priority topics, document flows and responsible contact persons are clarified in the service agreement.

Request and preliminary assessment

The subject of the investment, the parties, objectives and timelines are determined. Conflicts of interest and matters that could prevent the acceptance of the engagement are reviewed.

Frequently asked questions about manufacturing and industry

Which documents should be preserved first when production stops or a supplier fails to deliver?

Contracts, orders, technical specifications, delivery and acceptance records, production and maintenance records, stock information, correspondence and damage records should be preserved. Originals of digital records, date information and existing attachments should be kept, and records should not be altered. Notices, the need for preservation of evidence and legal filing deadlines should be assessed separately based on the specific facts.

Which businesses do you serve in manufacturing and industry?

We assess the legal needs of manufacturers, contract manufacturers, industrial companies, factory and facility investors, and machinery and industrial product suppliers. The scope of services is determined by the product, the activity, the size of the business and existing risks.

What should be reviewed before purchasing a factory or production facility?

The real estate and its use status, licenses, ownership of machinery and equipment, security, contracts, employees and disputes are reviewed together. A share purchase, a business transfer or an asset-only purchase may produce different results. Financial, technical and environmental reviews are carried out separately with the relevant specialists.

How should a supply contract address the risk of production interruption?

Delivery schedule, quality acceptance, stock and alternative supply terms, price changes, notices and the consequences of delay should be clearly regulated. Force majeure (mücbir sebep) or adaptation (uyarlama) claims are assessed based on the terms of the contract and the circumstances of the event; not every delay automatically removes liability.

Who owns molds, drawings and product designs in contract manufacturing?

Ownership, usage permission and intellectual property rights are assessed based on the parties' contributions, the contract provisions and the applicable rules. It is important to set out from the outset any use outside the production purpose, transfer to third parties, and return conditions at the end of the contract.

What should be done when a product is defective or a recall is involved?

A technical assessment appropriate to the product and the company's role, the necessary notices, traceability records and corrective steps should be addressed together. Contracts, correspondence, test records and the relevant batch information should be preserved, and coordination should be established between the legal and technical teams.

Do you also provide technical inspection or certification services?

The services on this page are legal advisory and attorney services. Technical testing, conformity assessment, occupational safety expertise, environmental measurement, financial audit and certification are carried out by the competent persons and organizations. Coordination with the legal process is provided depending on the scope of the work.

What does ongoing corporate counsel cover?

Review of contracts, management and representation decisions, employee relations, collections, compliance and legal risk monitoring may be included in the scope of services. The frequency of reporting, authorities, special transactions and the scope of litigation work are specified separately in the contract.

Do you handle disputes with buyers and suppliers abroad?

For cross-border transactions connected to Türkiye, we assess matters such as the contract, choice of law, jurisdiction or arbitration, and the enforcement of decisions. Where services are needed under foreign law, coordination with specialists in the relevant country is determined separately.

How can we reach you in case of an urgent production stoppage, workplace accident or official notification?

Contact our client relations assistant directly through the main line or WhatsApp. State the date of the event, the current official notification and any known deadlines. A commitment to respond within 48 hours does not mean that a time limit is suspended or that the matter has been accepted.

How do the consultation, fees and acceptance of a matter proceed?

A response to your request is provided within 48 hours. The scope of the consultation and any fee are communicated before your appointment is confirmed. The scope of services and fee arrangements are clarified; once the necessary agreements, authorization, documents and agreed obligations are completed, acceptance of the matter is notified separately. A consultation or document exchange alone is not acceptance of a matter.
