TAX AUDITS AND DISPUTES

Tax Law and Tax Disputes

Legal assessment, administrative application and litigation follow-up in tax audits, assessments, penalty notices, payment orders and e-attachment acts.

In a tax dispute, the act and the time limit are determined first

Tax law covers the taxation of individuals and companies, tax audits, tax and penalty acts, the collection of public receivables and the routes of application against these acts. The legal consequences of a notice (ihbarname), a payment order and an attachment notice differ.

Güneş & Güneş Law Firm provides legal services from the legal risk assessment before a tax audit, through the report and notice stage, to administrative applications and proceedings before the Tax Court (vergi mahkemesi), the regional administrative court (bölge idare mahkemesi) and the Council of State (Danıştay). In files involving an allegation of a tax offense, the criminal defense is planned separately.

Legal services do not replace financial advisory work such as bookkeeping and preparing tax returns. The event giving rise to the tax, the transaction, records and reports are reviewed, according to the needs of the file, in coordination with financial advisers (mali müşavir), sworn financial advisers (yeminli mali müşavir) and the relevant technical experts.

Review the scope

In tax matters, time limits and collection must be kept separate

The time limits below are an initial check for the acts concerned. The last day to apply is not determined without separately reviewing the notification record, any special provision, the fiscal recess (mali tatil), suspension of operations and the conditions for extension.

Time limit and collection check by act
ActTime limit and applicationLegal effect and points to check
Tax or penalty noticeUnless a special time limit applies, an action before the Tax Court within 30 days from the day following service.Article 27/4 of the Administrative Procedure Law No. 2577 (İYUK) applies to the part of the assessed amount that is the subject of the action; exceptions are reviewed separately.
Payment orderAn action within 15 days from the day following service, under Article 58 of Law No. 6183.The action alone does not stop collection. The conditions for a stay of execution are assessed separately.
Precautionary attachment15 days under Article 15 of Law No. 6183; the basis is the carrying out of the attachment and, for enforcement in absentia, service. The ground and scope of the precautionary attachment are examined. It is not the same as an ordinary attachment in terms of time limit and procedure.
Attachment notice to a third partyFor a notice under Article 79 of Law No. 6183, a written objection to the collection office within 7 days from service. The third party’s debt and the property in its hands are examined. Subsequent litigation routes and time limits are assessed separately.
Conciliation after assessmentFor a penalty within scope, an application within 30 days from the day following service of the notice. The principal tax is outside the scope. The time limit for an action on the principal tax and the application process for the penalty are tracked separately.

An application does not stop all time limits. Petitioning the administration, requesting conciliation, requesting deferral or sending a consultation form does not have the same legal effect. Before an application is made, the time limit and the effect are determined separately for the principal tax, the penalty and the collection act.

The work we handle in tax law

In each heading, the basis of the act, the route of application and related liabilities are addressed together. Disputes concerning income tax, corporate tax, VAT, withholding tax, special consumption tax, stamp tax, fees, banking and insurance transactions tax, motor vehicles tax, property tax, high-value residence tax, inheritance and transfer tax, accommodation tax and digital services tax are assessed within this scope.

Tax audit, audit records and reports

A tax audit is the administrative process that examines whether the tax payable by the taxpayer is correct and, where necessary, forms the basis for assessment and penalty acts. The subject of the audit, the taxation period, the act that starts the audit, production requests, digital records, cross-audits, audit records and the lawfulness of reports are evaluated together.

The main legal services we provide during a tax audit are as follows:

  • Determining the scope, period and legal basis of the audit
  • Legal management of the production of books, records, documents and electronic data
  • Reviewing audit records for their content, statements and evidentiary consequences
  • Preparing the taxpayer’s explanations and written legal opinions
  • Evaluating bank, POS, e-Invoice, e-Archive, e-Ledger, inventory, production and cross-audit data
  • Reviewing the assumptions, comparisons and calculations in the tax technical report and the tax audit report
  • Evaluating the selection of comparables, yield rates, book inventory, forged document and related-person allegations
  • Submitting records and documents in the taxpayer’s favor to the file
  • Comparing pre-assessment conciliation with direct litigation options
  • Building the criminal law defense at an early stage in files where a tax offense report and an opinion are possible

Because statements made and audit records signed during the audit may later be used as evidence in administrative and judicial processes, the technical calculations and the legal defense are prepared without being separated from each other.

A report and the act subject to an action are not the same. Tax audit reports and tax technical reports are mostly preparatory documents for a later assessment. Whether the report or a separate application can be challenged directly is examined according to whether a final and enforceable act exists.

Basis: Law No. 213 (VUK)

Tax assessments and penalty notices

In supplementary (ikmalen), ex officio (re’sen) or administrative assessments, the ground of the assessment, how the difference in the tax base was calculated, the basis of the assessment committee (takdir komisyonu) or the audit report, the event giving rise to the tax, limitation, service and the type of penalty are examined. The principal tax, the tax loss penalty (vergi ziyaı cezası), the irregularity penalty (usulsüzlük cezası) or special irregularity penalty (özel usulsüzlük cezası), and the interest components in the notice may each require a different legal evaluation.

There is more than one route available after an assessment. Depending on the circumstances of the specific case, one of conciliation, penalty reduction, correction, complaint, the mutual agreement procedure or an action before the Tax Court, or the statutory relationship among them, is evaluated. Because choosing one route may affect the right to apply to another, the decision must be made before the time limit expires and after the financial result has been calculated.

The time limit for an action against the principal tax must be protected separately. It is not assumed that a conciliation application concerning the penalty also stops the time limit for an action on the principal tax that falls outside conciliation. Even where a notice contains different requests in the same document, the route to follow is determined for each item.

Basis: Law No. 213 (VUK) · İYUK (Law No. 2577)

Conciliation, penalty reduction, correction and invitation to explain

In tax loss penalties and irregularity and special irregularity penalties, the elements of the act, the addressee of the penalty, the period, repetition, participation, the electronic document obligation, proportionality and the finding on which the penalty is based are examined. The name of a penalty or its presence in a notice does not mean that the act is lawful in every case; however, the removal of a penalty cannot rest solely on an allegation of a formal error either.

Conciliation (Uzlaşma)

In the new conciliation regime after August 2, 2024, the principal tax is outside the scope. Earlier applications within the statutory transition are examined separately. For tax loss penalties and irregularity and special irregularity penalties, the scope, the exceptions and the monetary limit of the relevant year are checked. Pre-assessment conciliation and post-assessment conciliation cannot be used interchangeably without limit.

Under the regulation in force, pre-assessment and post-assessment conciliation apply to certain tax loss penalties and to irregularity and special irregularity penalties exceeding the monetary limit. Because the principal tax is not within the scope of conciliation, penalties tied to the acts in Article 359 of the Tax Procedure Law No. 213 (VUK) and certain invitation-to-explain situations fall outside the scope, and monetary limits may change, eligibility is checked against current legislation.

Penalty Reduction

The penalty reduction provisions of the Tax Procedure Law are evaluated by taking into account the type of penalty, the conditions of application and payment, and consequences such as not filing an action. Reduction and the litigation or conciliation options are addressed not only on the basis of the reduction rate but by comparing the lawfulness of the assessment and the total financial impact.

Correction and Complaint for Tax Errors

In disputes of the nature of a calculation or taxation error, an application for correction and, where the conditions are met, the complaint route may be used. This route is not a general application that replaces a tax action whose time limit has passed for any allegation of unlawfulness. Whether the dispute falls within a tax error as defined in the Tax Procedure Law is determined first.

Invitation to Explain

In an invitation-to-explain letter (izaha davet), the subject of the finding, the relevant tax and period, the time for explanation, the documents to be submitted and the effect of the explanation given on the subsequent audit or penalty process are examined. The possibilities that the explanation is accepted, found insufficient, or that the return is corrected lead to different consequences.

Repentance and Rectification (Pişmanlık ve Islah)

For taxes based on a return, if the statutory conditions are met, the repentance provisions may have consequences in respect of the tax loss penalty. Because the start of an audit, referral to the assessment committee, a report, an invitation to explain and the nature of the act may affect eligibility for this route, suitability is checked before an application is made.

Mistake and change of opinion under Article 369 and the ruling request (özelge) under Article 413 of the Tax Procedure Law are also evaluated according to the nature of the file. The scope and protective effect of an opinion given by the administration to a particular taxpayer are not automatically transferred to another person’s file.

Tax litigation, stay of execution and appeals

In an action filed before the Tax Court, the act subject to the action, the relief sought, subject-matter and territorial jurisdiction, the proper respondent, the date of service, the time limit, the factual events, the legal grounds and the evidence must be set out correctly. Not only the result of the tax audit report but all elements of the assessment or penalty act based on the report are examined.

Our work within tax proceedings:

  • Actions against tax and penalty notices
  • Actions arising from returns filed under reservation (ihtirazi kayıt)
  • Actions against tax refund, offset and rejection acts
  • Actions against payment orders and acts for the collection of public receivables
  • Actions against precautionary assessment and precautionary attachment
  • Applications against e-attachment, bank account attachment and other attachment acts
  • Actions against acts taken against persons liable for tax (vergi sorumlusu), statutory representatives and company shareholders
  • Appeal (istinaf) against Tax Court decisions
  • Further appeal (temyiz) before the Council of State against decisions meeting the statutory conditions
  • Evaluating the financial and procedural consequences of waiving a legal remedy
  • Requests for a stay of execution where necessary
  • Applications arising from non-implementation of a final decision

The effect on collection of a timely action against an assessment is not the same as that of an action against a payment order, attachment, return filed under reservation or other special acts. Where collection does not stop on its own, the conditions for a stay of execution and the possibility of security are addressed separately.

Filing an action does not stop collection in every act. The rule in Article 27/4 of the İYUK applies to the part of assessed taxes and penalties that is the subject of the action. The same automatic effect does not exist in actions against acts taken on returns filed under reservation and against collection acts. For a stay of execution, a manifest unlawfulness and damage that is difficult or impossible to remedy are assessed together.

The possibility of appeal or further appeal before the Council of State against a Tax Court decision depends on the type of dispute, the applicable monetary limit and the transitional provisions. It is not assumed that every decision is open to further appeal. Implementation of the decision by the administration, refund, cancellation and, where the conditions exist, interest claims are followed up; the implementation obligation in Article 28 of the İYUK is also examined separately.

Payment order, e-attachment and precautionary attachment

Once a tax debt reaches the collection stage, the process runs under Law No. 6183 on the Collection Procedure of Public Receivables (Amme Alacaklarının Tahsil Usulü Hakkında Kanun). An action against a payment order differs from an action against an assessment, and the legal grounds that may be raised are limited by law. Claims that the debt does not exist, has been partly paid or is time-barred, and the conditions of service, duplicate enforcement, liability and finality, are examined on the specific file.

In this scope:

  • Reviewing the payment order and the list of underlying debts
  • Determining electronic notification and the time limit for an action
  • Comparing the records of the debt’s origin, finalization, payment and limitation
  • Reviewing e-attachment and attachments of bank accounts, wages, receivables, vehicles and real property
  • Attachment notices sent to third parties and third-party ownership claims (istihkak)
  • Requests for security, precautionary assessment and precautionary attachment acts
  • Requests to narrow an excessive attachment or to lift the attachment
  • Exemption from attachment, sale and liquidation acts
  • Deferral and installment applications
  • Where a special restructuring law is in force, a review of its scope and time limit
  • Limitation period for collection and extinguishment of the debt
  • Options for administrative application, litigation and stay of execution

These items are evaluated. Periodic restructuring laws are not a permanent right; they apply only during the period they are in force and under the conditions of the law. For this reason, restructuring amounts, rates or final application dates, which would quickly become outdated, are not published on this page.

An attachment notice sent to a third party is not a payment order. A seven-day written objection period may arise in a notice under Article 79 of Law No. 6183. For precautionary attachment, the special time limit for an action in Article 15 and its starting point are examined. These documents are not evaluated under the general thirty-day tax action period.

Liability of company managers, statutory representatives and shareholders

Directing a company’s tax debt to a manager, statutory representative, liquidator or shareholder does not mean automatic and unlimited liability. The type of company, the person’s capacity and term of office, the period to which the debt relates, the time the tax duty was to be performed, the enforcement against the company, impossibility of collection or the realization that collection will not be possible, the shareholding ratio, the authority of representation and the notification acts are examined together.

Our work in this area:

  • Liability of limited liability company shareholders for public debts
  • Liability of statutory representatives in joint-stock and limited liability companies
  • Payment orders directed at managers, board members, liquidators and former managers
  • Comparing the dates of taking and leaving office with the debt period
  • Effect of share transfers and management changes on liability
  • Statutory conditions between enforcement against the company and enforcement against the representative or shareholder
  • Reviewing enforcement directed at more than one person for the same debt
  • Effect of company mergers, demergers, changes of type, liquidation and deregistration
  • Actions on payment orders, e-attachment and lifting of attachment
  • Recourse of the liable person who made the payment against the company or other liable persons

Liability is not assessed by looking only at the trade registry record or the period of the debt; the relevant tax and collection legislation and current case law are addressed together.

Article 10 of the Tax Procedure Law (VUK) and Article 35 and repeated Article 35 (mükerrer 35) of Law No. 6183 are different liability provisions. It is determined in what capacity and on which provision the payment order is based. The liability of a limited liability company shareholder tied to the share and the liability of a statutory representative cannot be established on the same ground. In a joint-stock company, merely being a shareholder does not, on its own, mean being a statutory representative.

VAT and other tax refunds, offset and rejection acts

In VAT and other tax refund files, the arising of the right to a refund, the nature of the delivery or service, the deduction and input lists, supporting documents, cross-audit, special rules, security, the tax audit report or sworn financial adviser report, the offset (mahsup) request and the administration’s rejection or partial refund act are examined.

Where a refund request is delayed, rejected, partly accepted or offset against another debt, the options for administrative application and litigation are evaluated together with interest and the consequences of clawback. Because monetary limits and document conditions may change periodically, the legislation of the relevant period is the basis for each request.

Transfer pricing, disguised profit distribution and thin capitalization

In goods, services, financing, licensing and intra-group transactions between related persons, compliance with comparable arm’s length transactions, method selection, comparability, consistency between the contract and actual practice and documentation obligations are examined. Transfer pricing reports, comparables analyses, disguised profit distribution (örtülü kazanç dağıtımı), thin capitalization (örtülü sermaye), interest, exchange differences, and VAT and withholding tax effects are addressed together.

In multinational groups, country-by-country reporting, the master file, the local file, the formation of a permanent establishment and the risk of double taxation are evaluated within the framework of domestic law and the applicable international agreements.

Company transactions, tax compliance and pre-investment review

In company formation, investment, financing, transfer of shares or assets, merger, demerger, change of type, liquidation and restructuring transactions, economic substance and tax consequences matter as much as legal form. A tax law review aims to identify past-period risks, existing disputes, tax debts, incentive and exemption conditions, contractual tax provisions and post-transaction obligations.

In this scope:

  • Tax status assessment and risk matrix
  • Tax consequences of share and asset transfers
  • Merger, demerger, change of type and liquidation transactions
  • Reflecting tax debts and disputes in the contract
  • Tax representations, warranties, indemnity and price adjustment clauses
  • Financing, security, interest and thin capitalization risks
  • Legal review of incentive, exemption and exception conditions
  • Post-transaction return, notification and record obligations

These items are addressed. The aim is not to reduce the tax burden in a manner contrary to law, but to ensure that the transaction is structured in compliance with current legislation, that foreseeable risks are identified and that responsibility between the parties is clearly regulated.

The domestic minimum corporate tax and, for multinational groups within scope, the domestic and global minimum top-up corporate tax are examined as separate regulations. The obligation, exemption and transition conditions and the structure of the group are evaluated together with the company’s financial adviser or sworn financial adviser.

Tax residency, double taxation and cross-border income

In transactions with a connection between Türkiye and abroad, domestic law and the relevant double taxation treaty are evaluated together. A person’s tax residency, full or limited tax liability, the formation of a permanent establishment, the nature of the income and the source country affect which state has the right to tax and to what extent.

Our work in international tax:

  • Tax residency of individuals and companies
  • Disputes over full and limited tax liability
  • Permanent establishment and business profits
  • Dividends, interest, royalties and technical service payments
  • Income of foreign affiliates and branches
  • Foreign tax credit and relief from double taxation
  • Certificates of residence and use of foreign documents
  • Transfer pricing and related-company transactions
  • Application of double taxation treaties
  • Mutual agreement procedure applications
  • Income in Türkiye of Turkish citizens living abroad
  • Türkiye-source income of foreign individuals and companies
  • Translation, certification and service processes for foreign court or administrative documents

The effect of the mutual agreement procedure on the time limit for an action and on collection, and the consequences if the application is accepted, are subject to special rules. The scope and time limit of the agreement under which the application is made are determined file by file.

Legal representation in Türkiye is distinguished from applications that must be made in a foreign country. In matters requiring evaluation of foreign law, coordination with competent legal and tax experts in the relevant country is planned for the specific file. Choosing the language of communication does not mean authority of direct representation in a foreign country.

Real property, inheritance and local tax disputes

The purchase and sale of real property, leasing, capital gains on value increase, title deed fees, property tax, high-value residence tax, municipal revenues and inheritance and transfer tax may each give rise to different obligations. Tax liability, the tax base, market value, the date of acquisition and disposal, the opening of the succession, exemptions, returns and service acts are examined together.

Where necessary, disputes in this area are conducted in coordination with the Real Estate Law, Inheritance Law and Administrative Law practice areas.

Tax offenses, forged documents and allegations of failing to produce records

A report prepared at the end of a tax audit may give rise to a criminal investigation in addition to tax assessment and an administrative penalty for the same event. A tax action and criminal proceedings are subject to different rules on jurisdiction, proof and outcome; however, the same book, document, transaction and technical report may be effective in both files. The defense strategy is built by preserving this distinction and taking into account the interaction between the files.

Our work in tax criminal law:

  • Allegations of issuing or using forged documents
  • Allegations of documents misleading as to their content
  • Allegations of concealing, destroying or failing to produce books, records and documents
  • Allegations of accounting fraud and double books or records
  • Allegations of altering electronic books and documents or making them inaccessible
  • Review of the tax offense report and the opinion of the report evaluation commission
  • Separating the responsibility among the company, managers, employees, financial advisers and counterparties
  • Evaluating intent, participation, continuous offense, effective repentance or penalty reduction conditions
  • Prosecutor’s investigation, statements, expert examination and the prosecution stage
  • Coordinating the evidence in the Tax Court file and the criminal file
  • Appeal, further appeal and legal applications connected with enforcement of the sentence
  • Breach of tax confidentiality and connected allegations of offenses

Payment or restructuring of a tax debt, or the outcome of a tax action, does not automatically end the criminal file in every case. The date of the event, the alleged act, the favorable provisions in force and the special provisions of the Tax Procedure Law are evaluated separately.

e-Invoice, e-Ledger and electronic tax transactions

Electronic document and record systems carry special obligations as to creation, signing, uploading the certificate (berat), storage, production and dates of service. Digital evidence such as system records, user activity, integrator data, the fiscal seal, and bank and POS information may be at the center of a tax audit.

In this scope, tax and penalty acts relating to e-Invoice, e-Archive Invoice, e-Waybill, e-Ledger, the Book-Declaration System (Defter-Beyan Sistemi), electronic notification, payment recording devices, card payments and e-commerce reports are examined. In electronic notification, distinguishing the date on which the document reached the system from the date on which it is deemed legally served is important for correctly calculating the time limit for application and action.

For tax e-notification, the date of reaching the system and the date of service differ. Under VUK Article 107/A, service is deemed made at the end of the fifth day following the date the document was transmitted to the addressee through the electronic notification system. The date a document is read, or the date of notice by SMS or e-mail, is not on its own the statutory date of service. Court notifications and National Electronic Notification System (UETS) or Registered Electronic Mail (KEP) records are examined separately under their own legal regime.

The same type of tax may require review of different documents and transactions in different business models. Sector pages complete the related contract and activity areas of a tax file.

How do we handle a tax file?

As the stage of the file changes, the route to follow and the work undertaken are also clarified. The duration of proceedings or a particular outcome is not guaranteed in advance.

  1. Act and time limit check

We identify the notified document, the addressee, the period, the time limit for application and the collection status.

  2. Review of documents and records

We compare the return, books, contracts, bank and digital records with the report, notice and payment information.

  3. Legal and financial assessment

We examine separately the tax base, the event giving rise to the tax, tax liability, exemption, limitation, procedure and penalty liability.

  4. Comparison of application options

We explain the total financial effect of the litigation, conciliation, reduction, correction, payment and deferral options and their effect on one another.

  5. Application and litigation follow-up

We submit the evidence and legal grounds to the relevant authority and, where necessary, substantiate the request for a stay of execution.

  6. Implementation of the decision and updates

We follow refund, cancellation, lifting of attachment and related files, and inform the client of developments, decisions taken and the necessary next step.

Based in Antalya, legal follow-up across Türkiye

Founded in Kemer on March 18, 1999 by Attorney Umut Güneş and based in Antalya since 2007, Güneş & Güneş Law Firm can provide services in tax disputes in all 81 provinces of Türkiye, depending on jurisdiction, document and representation requirements. Acts that require physical attendance are planned according to the needs of the file.

Online meetings and secure document sharing are available with clients outside Türkiye. Communication in Turkish, English, German and Russian is used within the scope of legal services connected with Türkiye and, where necessary, coordination with local experts.

Which documents should be prepared for a tax file?

For the first contact, brief information that identifies the type of file and the time limit is sufficient. Comprehensive financial records are requested once the acceptance of the matter and the secure sharing method have been clarified.

What to state at first contact

  • The type of document, the issuing administration and the relevant tax period.
  • The date of physical service or the record of the e-notification document reaching the system.
  • Whether the act is in the name of a person, a company, a statutory representative or a shareholder.
  • Whether there is a pending action, conciliation, reduction or payment application.
  • An approaching time limit, a bank account attachment or an urgent effect on operations.

Documents that may be requested during the review

  • Tax and penalty notices, payment orders, attachment/security letters and all notification records.
  • Letters on commencement of the audit and production, audit records, tax audit and tax technical reports with their annexes.
  • Returns, books and berat certificates, invoices, contracts, bank/POS records and payment documents for the relevant period.
  • Conciliation records, correction/complaint petitions, decisions, and action and legal remedy petitions.
  • For a company file, trade registry, representation and term-of-office records, share transfers and signature authority records.
  • For an international file, residency, foreign tax and transaction documents and, where necessary, certification/translation documents.

The information and documents you share are used, in accordance with the obligation of professional secrecy and the principles of personal data protection, solely for the legal assessment of your request. Do not upload tax secrets, trade secrets, identity documents or detailed financial records through the general contact area; use the secure sharing method that will be communicated to you. Review our approach to confidentiality and information security.

Fees and first contact in tax files

The attorney’s fee is determined according to the audit or litigation stage, the type of tax, the number of periods, the volume of documents, the work requested and related files. Which of the administrative application, tax action, appeal, further appeal and criminal defense are included in the service is explained in the agreement.

Court fees and litigation costs, expert or specialist opinion, translation, notary and, where necessary, travel expenses are considered separately from the attorney’s fee. The scope of financial advisory and sworn financial advisory services is determined separately.

For a request that reaches our firm, first contact is made within 48 hours at the latest. The scope, planned duration and fee of the meeting are communicated before the appointment is confirmed. For urgent or time-sensitive matters, please call by phone without waiting for a reply to the form.

Submitting a meeting request does not mean that the file has been taken on or that an application has been made. Acceptance of the service, the necessary authorization and the scope of the work are confirmed separately. No guarantee is given as to the duration of an administrative review or proceedings or the outcome of the file.

Frequently asked questions about tax actions and penalties

What should I do first when I receive a tax or penalty notice?

Keep the notice and the notification record together. Litigation, conciliation or reduction options should be determined separately on the basis of the principal tax, the type of penalty, the period and the date of service. The fact that discussions are under way with the administration does not mean that the time limit for an action stops on its own.

Is the time limit for filing a tax action always 30 days?

No. The general time limit for tax actions with no special time limit is thirty days; there are different rules, such as fifteen days for a payment order and seven days for a written objection to an attachment notice sent to a third party. The type of document, service and the applicable recess or extension provisions are checked together.

Does the time limit start if I did not open an electronic tax notification?

A notification under VUK Article 107/A is deemed served at the end of the fifth day following the date it was transmitted to the addressee through the electronic notification system. The fact that the document was not opened does not, on its own, postpone the time limit. The evidentiary record of the electronic notification should be examined; the date of an SMS or e-mail should not be relied on alone.

Is conciliation possible on the principal tax?

Under the new conciliation regime, the principal tax is outside the scope. Pre- or post-assessment conciliation may be considered for penalties within scope. Earlier applications within the transition relating to the August 2, 2024 amendment and exceptions tied to the type of penalty are examined separately.

If I request conciliation on the penalty, does the time limit for suing on the principal tax also stop?

It is not accepted that the time limit for an action also stops for the principal tax left outside conciliation. Even if the tax and the penalty are in the same notice, the action against the principal tax and the application concerning the penalty must be planned separately.

Does a tax action automatically lift the attachment on my bank account?

No. The effect on collection of an action against an assessment is not the same as that of a payment order or attachment action. The basis of the existing attachment and the act subject to the action are examined; if necessary, a stay of execution and lifting of the attachment are requested.

Can the company’s debt be claimed from a former manager or shareholder?

Capacity, term of office, type of company, the period to which the debt relates and the applicable statutory provision are decisive. Automatic personal liability cannot be inferred without examining the conditions of collection from the company, share transfers and notification. The liability of a statutory representative and of a limited liability company shareholder rests on different rules.

Can correction and complaint be used in every case if the time limit for an action has passed?

No. This route is for calculation or taxation errors as defined in the Tax Procedure Law (VUK). Not every dispute requiring legal interpretation is a tax error; correction and complaint is not a general route that reopens all actions whose time limit has passed.

Can I get legal support before signing an audit record?

Yes. Statements in the record, the records produced and material findings may affect the later assessment and penalty process. A written opinion or objection can be prepared after evaluating the content and the right to explain; accounting and technical records are examined together with the relevant experts.

What can be done when a VAT refund is rejected or delayed?

The basis of the right to a refund, the required documents, the conditions of audit and security, and the administration’s response are evaluated. The administrative application and litigation route suited to rejection, partial refund, offset or no response is determined together with an interest claim, if the conditions exist.

If I pay the tax debt in a forged document allegation, does the criminal file end?

Payment or the outcome of a tax action does not automatically end the criminal file in every case. The alleged act, intent, liability, the tax offense report, the opinion and special reduction provisions are examined. The tax proceedings and the criminal defense are conducted in coordination.

I have a financial adviser; what work will the attorney take on?

Financial advisory service focuses on record-keeping and declaration obligations. Legal services focus on assessing the lawfulness of the act, application and litigation procedure, defense and representation. The financial and legal work the file requires is coordinated together.

Can every Tax Court decision be taken to the Council of State?

No. The possibility of appeal and further appeal is determined by statutory conditions, the type of dispute, the applicable monetary limit and the transitional rules. The route and time limit are examined separately upon service of the decision.

I live abroad; can my tax file in Türkiye be handled?

Depending on the nature of the matter and the authorization conditions, acts may be carried out by proxy. Legal representation in Türkiye is distinct from the representation and financial advice that may be required in a foreign country. The power of attorney, residency, foreign tax and translation/certification documents are determined according to the file.

Does sending a meeting request mean an action has been filed or the matter accepted?

No. A meeting request does not stop the time limit for application and does not on its own establish an attorney–client relationship. Acceptance of the matter is communicated separately after the conflict-of-interest check, the scope of service, the agreement and the necessary authorization are completed. If a time limit is approaching, state it at first contact.
