Legal advisory for foreign investments in Türkiye

As GÜNEŞ & GÜNEŞ LAW FIRM, we provide legal support for investments in Türkiye to foreign individual investors, companies based abroad and Turkish companies with foreign partners.

We do not treat an investment as merely a formation or signing transaction. We assess together the legal due diligence of the company and its assets, the partnership structure, contracts, transfer, delivery and post-investment operating processes.

We advise on matters governed by Turkish law; where foreign law or financial and technical review is needed, we determine coordination with the relevant specialists according to the scope of the matter.

Legal services we offer to foreign investors

We plan the stages of establishment, acquisition, operation and exit from the investment according to its nature.

Company formation in Türkiye

We assess the company type and management model according to the purpose of the investment, the partnership structure and the field of activity. We carry out the legal preparation of the articles of association, representation powers, formation documents and trade registry procedures.

Branch and liaison office

We review company, branch or liaison office options according to the foreign company’s activity goals in Türkiye. Based on the scope of activity, the required permits and the representation structure, we determine the appropriate legal form.

Company acquisitions and share transfers

We carry out legal due diligence on the target company through its partnership, contract, permit, employee and dispute records. We organize the share purchase agreement, transfer conditions, security and closing transactions together.

Partnerships and joint ventures

We tie the partners’ capital contributions, management authority, decision-making structure and profit sharing to a contract. We prepare arrangements for share transfer, exit from the partnership and deadlock situations according to the structure of the investment.

Pre-investment legal due diligence

We review the legal status, obligations and transaction risks of the company or asset. We report the findings in order of importance and determine how they will be reflected in the contract, security and transfer conditions.

Real estate and facility investments

We assess the foreign investor’s legal status, title records, use and permit status. In acquiring hotels, holiday villages, commercial property and production facilities, we coordinate the legal process of sale, transfer and delivery.

Cross-border contracts

We prepare or review investment, supply, distribution, franchise and service agreements. We address language, governing law, jurisdiction, arbitration, payment, security and termination conditions according to the parties’ needs.

Permits and regulatory obligations

We research the permit, license and notification requirements for the planned activity. In company acquisitions, we assess competition law and sector-specific approval requirements case by case and coordinate with the relevant specialists.

Financing and security

We review from a legal standpoint the financing agreements of the investment, share and asset security, and the payment and liability conditions. We work with financial advisers (mali müşavir) and financial institutions to the extent the matter requires.

Foreign managers and employees

We assess the legal aspects of appointing foreign partners, managers and employees, including employment contracts and work permit processes. We address company partnership and work and residence permits under separate headings.

Preventive law and corporate counsel

We provide ongoing legal support on company decisions, signing authority, commercial contracts, personnel relations, collections and personal data protection processes. We address risks at the transaction and decision stage.

Disputes and exit from the investment

In partnership, contract, receivable and administrative disputes, we evaluate negotiation, mediation, arbitration and litigation options. We provide legal support on share sales, transfer of the investment, liquidation and closing transactions.

From the first negotiation to transfer and post-investment follow-up

  1. 01 · Planning and review

The investment objective, the parties, country links and field of activity are determined. Confidentiality and preliminary discussion documents are prepared; the scope of the legal due diligence and the required areas of expertise are clarified.

  2. 02 · Negotiation and contract

The purchase or partnership model, price, payment schedule, security and liabilities are arranged. Required permits, closing conditions and grounds for withdrawal from the transaction are reflected in the contract.

  3. 03 · Transfer, delivery and ongoing support

Signing, payment, share or asset transfer and delivery stages are coordinated. Post-sale commitments, contract transitions and the company’s legal needs during its operating period are followed up.

Preventive law and corporate counsel after the investment

We address the legal needs of the foreign-partnered business from the decision and contract stage onward. We provide ongoing advisory services on the management and representation structure, supply and customer contracts, employee relations, personal data, receivables collection and the prevention of disputes.

The scope of services and reporting arrangements are set out in writing. The responsibilities of the company’s commercial management and of legal services are kept separate; litigation, special work and ongoing advisory fees are clarified in the contract.

Working and case acceptance process

Request and preliminary assessment

The subject of the investment, the parties, objectives and timelines are determined. Conflicts of interest and matters that may prevent acceptance of the case are reviewed.

Agreement and authorization

The attorney fee agreement and scope of services are clarified, and the necessary attorney agreements are signed. The content of the appropriate power of attorney and the list of documents are prepared.

Acceptance and follow-up

When the necessary authorization, documents and any payment or other obligations under the contract are completed, acceptance of the matter is notified separately. A first meeting or document transfer alone does not mean that the matter has been accepted.

Frequently asked questions about foreign investments

Through which structures can a foreign investor operate in Türkiye?

Options such as company formation, partnership in an existing company, and a branch may be considered. The field of activity and permit regime of a liaison office are reviewed separately. The choice is made according to the investment purpose, field of activity, and management and liability structure.

Is it more suitable to form a new company or acquire an existing one?

This choice depends on the target company’s history, permits, debts, contracts and the investment timeline. When an existing company is acquired, past obligations are of particular importance. Legal due diligence findings should be considered together with the financial and commercial assessment.

Does legal due diligence replace financial and technical review?

No. Legal due diligence assesses rights, obligations, contracts and legal risks. Financial, tax, technical and valuation reviews are carried out by the relevant specialists, and the work is coordinated together where needed.

Can investment transactions be carried out without coming to Türkiye?

Depending on the nature of the transaction and the authorization conditions, some stages may be carried out through a representative. The scope of the power of attorney, the authentication and translation requirements depending on the country where it is issued, and the transactions that require personal attendance are determined in advance.

Does an investment or company partnership provide a work or residence permit?

Investment, company partnership, work permit and residence permit are assessed separately. No outcome of a permit can be promised without reviewing the applicant’s status and the current conditions for the planned activity.

Can a foreign investor buy a hotel or tourism facility?

The investor’s status, the acquisition method and the legal status of the facility are reviewed to determine the appropriate transaction structure. A direct real estate acquisition differs from the transfer of an operating business or company shares; title, permits, contracts, employees and delivery conditions are assessed together.

In which language are contracts prepared, and which law applies?

The language of the text, the need for translation, the text that will be authoritative and the governing law are determined according to the parties and the nature of the transaction. Besides the choice of law, mandatory rules and dispute resolution provisions are also assessed separately.

Do you provide company counsel services after the investment is completed?

Yes. Within the agreed scope, we provide ongoing legal advisory on company decisions, contracts, employee relations, compliance and dispute processes. The responsibilities of commercial management, accounting and technical audit are determined separately.

How is a consultation from abroad planned?

Zoom or WhatsApp video consultations are available. Please state your country, city, preferred language and local time. The appointment confirmation states both your local time and Türkiye time; in countries that observe daylight saving time, the date is also taken into account.

When do fees and the acceptance of the matter become final?

We respond to your request within 48 hours; the scope of the consultation and any fee are communicated before your appointment is confirmed. After the scope of the matter and the attorney fee agreement are clarified, the necessary agreements are signed. Acceptance of the matter is notified separately once the necessary power of attorney, documents and any payment or other obligations provided for in the agreement are completed. A consultation or document submission alone does not constitute acceptance of the matter.
