Commercial Yacht Operation in Türkiye: Company Formation, the Tourism Certificate and Operating Permits

Author: Published: About 8 min read

Summary

Company formation, the tourism operation certificate, flag, cabotage, personnel and insurance in commercial yacht operation.

To start yacht chartering or commercial yacht operation in Türkiye, forming a company is not enough on its own. The company’s field of activity, the vessel’s commercial status, flag and registry requirements, the tourism certificate, seaworthiness, personnel and insurance must be planned together. A yacht registered for private use does not become lawful to charter for a fee merely because “private trip” is written in the contract.

The business model must be determined before the permits

Crewed charter, bareboat charter, day trips, management of yachts owned by third parties and mere brokerage of bookings are not the same activity. The number of persons to be carried, the routes, in whose name the service is provided and who actually controls the vessel change the regime that applies.

For example, if a company organizes captained tours with its own yacht, the obligations of the vessel and the operator come to the fore. For a company managing the yachts of other owners, on the other hand, its authority to operate, its authority to collect revenue and the expenses it makes on behalf of the owner must be explained separately. A business that only acts as a broker presenting itself as the lessor creates uncertainty in terms of contract and liability.

What matters in forming the company?

The choice between a limited company and a joint-stock company is made according to the amount of investment, the ownership structure, financing and management needs. The trade registry, the tax registration and the powers of representation are the basic parts of formation. Writing maritime tourism into the company’s field of activity does not replace the administrative operating permits. [1]

A foreign partner is possible; however, forming the company in Türkiye and the yacht’s right to fly the Turkish flag are not the same examination. The conditions on ownership, management and voting in Article 940 of the Turkish Commercial Code (TTK) must be assessed separately according to the vessel and the company structure. A later transfer of company shares may also affect the flag conditions.

In tax planning, the purchase, import, chartering and operating expenses of a yacht are separate transactions. There is no general rule that “forming a yacht company exempts you from all taxes.” If an exemption has document and use conditions, these should be verified before the investment decision.

The vessel’s status and technical documents

Private vessel registration and commercial yacht operating status should not be confused. The type of registration, the vessel’s length, tonnage, flag, purpose of use and area of voyage affect the documents. The existing documents of a yacht to be purchased may not suit the planned new activity.

Seaworthiness and technical inspections are carried out together with life-saving, fire, communication and other equipment obligations. Passenger capacity and crew arrangements should be determined not from the sales brochure but from the relevant technical and administrative records. Modification or an increase in capacity may require a new inspection. [1; 2]

The sale contract should address the case in which the vessel cannot complete the procedures required for the planned commercial use. Otherwise, the investor may face a yacht that is physically usable but cannot be certified for the targeted service.

The tourism operation certificate

Law No. 2634 and the Maritime Tourism Regulation govern the certification of maritime tourism vessels. The application must be made for the correct vessel and operation type. In a commercial yacht application, the vessel’s registration and technical documents, the capacity as operator, the ownership or use relationship and the applicant’s powers are important. [2; 3]

The application lists published by provincial directorates are an aid in preparing the procedure; the current document requirements should be checked with the competent authority according to the circumstances of the business and the yacht. Outdated “Yacht Tourism Regulation” pages should not be used in place of the Maritime Tourism Regulation in force.

The certificate relates to the activity being carried on under certain conditions. When the operator, owner, vessel name, capacity or use changes, notification and updating of the certificate may be required. After certification, inspection and the obligation to continue meeting the conditions remain.

Flag and cabotage restrictions

Providing paid services in Türkiye with a foreign-flagged yacht is different from the vessel entering the country for private use. The Cabotage Law, the tourism legislation and the special permits for foreign commercial yachts must be examined together. The Ministry permits granted to certain large yachts cannot be applied to all foreign vessels. [2; 4]

The fact that the yacht belongs to a foreign company or that the charter contract is signed abroad does not by itself change the administrative nature of the activity actually carried on in Türkiye. The place where the voyage starts and ends, the embarkation of passengers, the marketing and the nature of the consideration are assessed.

Captain, crew and work permits

In commercial activity, personnel qualifications, equipment and working arrangements are determined according to the characteristics of the vessel. The Amateur Seafarer Certificate (Amatör Denizci Belgesi, ADB) is not a general professional captain’s certificate. The special use option in the 2026 regulation for a bareboat charterer of a commercial yacht holding a tourism certificate should not be confused with the regime of employing a paid captain. [5; 6]

The personnel’s employment contract, pay, working and rest hours, and insurance and social security registration should be prepared. For foreign personnel, the recognition of a certificate of competency and a work permit or exemption are separate matters. Having entered on a visa does not by itself confer the right to work. [7]

It should be clear whether the captain is tied to the lessor, the owner or the management company. An unclear employer relationship creates a dispute over liability both in labor claims and in accidents.

Insurance and contracts must be prepared together

Where a policy was issued for private use, using the vessel in commercial charter activity may give rise to a coverage problem. The coverage that is necessary or preferred for passengers, crew, third parties, environmental damage and the vessel itself should be examined separately.

The operator needs to regulate at least the following contractual relationships:

  • The authority of use or management between the owner and the operator.
  • The charter, service or carriage relationship with the customer.
  • The employment relationship of the captain and crew.
  • The relationships with the marina, maintenance, service and supply.
  • The fee and collection authority of intermediaries and booking platforms.

Cancellation conditions, deposits, damage assessment, route changes due to weather, substitute yachts and customer complaints should be consistent across the contracts. A risk assumed in one contract being excluded in another contract or policy may leave an unexpected burden on the investor.

How is the file for starting operations prepared?

Company formation documents, vessel records, the tourism certificate, technical qualification, personnel, insurance and commercial contracts should be tracked on a single transaction timeline. The validity and renewal dates should be recorded as well as the date the certificate was obtained.

StageQuestion to check
InvestmentIs the vessel suitable for the planned service?
Company and flagDo the ownership and representation structures meet the required conditions?
CertificationAre the business and vessel certificates consistent with the same activity?
OperationsDo the personnel, policy and contracts cover the actual service?
ContinuityAre renewals, maintenance and change notifications being tracked?

Before the first booking is taken, the date on which the activity may lawfully begin should be made clear. Giving a firm commitment to provide a service on the basis of permits that have not yet been completed may give rise to customer refunds and compensation disputes.

Conclusion

Commercial yacht operation is an investment that begins with the formation of a company but is not completed by it. The vessel’s status, the operating permit, the personnel and the contracts should be built around the same business model. Ensuring this consistency before the purchase and the first booking decision reduces operating and coverage problems that are difficult to remedy afterwards.

Frequently Asked Questions

Is forming a company enough to start chartering yachts?

No. Documents relating to the vessel and the activity are also required.

Can a private yacht be chartered for a fee?

Private status does not by itself permit commercial activity; the necessary status and permits must be obtained.

Can a company with a foreign partner operate a Turkish-flagged yacht?

The company and flag conditions are examined separately according to the specific ownership structure.

Does the tourism certificate replace all other permits?

No. Technical, port, personnel and other obligations continue.

Can one work as a professional captain with an ADB?

The ADB is not a general professional qualification; the private charterer exception should not be confused with it.

Is a foreign crew member’s certificate of competency a work permit?

No. A work permit or exemption is assessed separately.

Does a private-use policy cover charter activity?

It does not cover it automatically. The purpose of use must be expressly arranged with the insurer.

Must the operator own the vessel?

The operator may rely on an appropriate right of use or operation; the document conditions and the scope of authority are examined.

Do all yacht businesses benefit from a tax exemption?

No. Exemptions depend on the transaction, the documents and the conditions of use.

Can bookings be taken before the permits are complete?

A firm commitment to perform carries serious risk; the start of activity and the refund conditions must be clear.
