Summary

Single and triple penalty rates, the increase for unregistered activity, recidivism, the annulment action, reduction and settlement conditions for the tax loss penalty.

A defence against a tax loss penalty is not built only on the claim that the penalty is high. First it is examined whether a tax loss actually arose, to which period it relates and which act it is linked to. Then the conditions for calculating the penalty by applying a single-fold or triple-fold rate, or a special increase, are assessed. The general period for filing an action against a penalty notice is 30 days. Reduction and settlement options depend on separate conditions. 1 2

The tax loss penalty is a liability separate from the tax principal and the late-payment interest. The existence of a tax difference in one transaction does not show that the penalty calculation is correct in every respect. Conversely, paying the tax later does not in every case remove the penalty for a tax loss that occurred earlier. A sound assessment requires a link between the act, the tax, the period and the sanction.

What is a tax loss and how does it arise?

Article 341 of the Tax Procedure Law No. 213 (Vergi Usul Kanunu, VUK) covers the situation in which tax is not assessed on time or is assessed incompletely because the taxpayer or the liable person did not fulfil their tax obligations on time or in full. A wrongful tax refund also matters within this framework. A later assessment or collection does not by itself change the legal assessment of the tax loss that has already occurred. 1

Is a tax loss the same as a recording error?

A deficiency in a book or document does not in every case mean that the same amount of tax has been lost. For example, recording an income item incorrectly is different from that income not appearing in the return at all. For a penalty to be imposed, the effect of the finding on the tax assessment must be explained. Where there is no tax loss, a separate sanction relating to record-keeping may arise; this does not replace the conditions of the tax loss penalty.

The administration may show by calculation that the incorrect entry reduced the tax base. The taxpayer may argue that the same amount was already taken into account in another account or in the return. The basis of the defence must be the reconciliation of the relevant accounts and their connection to the return. A general statement such as “I always pay my taxes” does not answer a claimed loss for a specific period.

What multiple applies to the tax loss penalty?

Distinction between a single-fold penalty and a triple-fold penalty

Under Article 344 of the Tax Procedure Law, the general penalty is one time the tax lost. Where the tax loss is caused by the acts listed in Article 359, the penalty is three times the tax lost. Persons who take part in those acts are subject to a single-fold penalty. Applying the triple-fold calculation requires that the aggravating act be demonstrated in the concrete case. 1

If an inspection report contains only the words “fake document”, that does not make the defence unnecessary. It must be established in what respect the document is considered untrue, whether the transaction took place and how it relates to the taxpayer. To show that a purchase took place, the invoice may be submitted together with delivery, transport, stock, production and payment records. A bank payment alone does not resolve the whole dispute, and an adverse finding about the other party does not make the other evidence in the file unnecessary. This point is also addressed in the article on the claim of using a fake invoice and the VAT deduction.

Late return and the 50 percent reduction

Under Article 344, the 50 percent reduction may come into question for returns filed after the statutory period, except for those filed after an examination has begun or after referral to the assessment committee. This does not mean that every late return is penalty-free. The date of the return must be placed alongside the date of the examination or referral. The voluntary disclosure provisions are a separate route with their own conditions. 1

Where the taxpayer claims to have filed the return on their own initiative but the administration argues that an examination had begun earlier, the chronology of events, the notices and the acknowledgement of receipt of the return are decisive. A statement prepared afterwards does not replace dated official records.

Special increase for unregistered activity

The provision added by Law No. 7524 requires that, where a taxpayer who should have been registered carried on a commercial, agricultural or professional activity without the knowledge of the administration and thereby caused a tax loss, the penalty calculated under the relevant paragraphs of Article 344 be increased by 50 percent. Later tax assessments for the same tax type and period are also treated under this provision. The increase is not a general rate applied to all taxpayers. 3

In an objection, the nature of the activity, the start date of the obligation to register and the timing of the provision are examined. For example, where an activity is claimed to be occasional, continuity, organisation and commercial purpose must be discussed on the facts of the case. A later, heavier sanction should not be applied retroactively to conduct whose date has not been established.

Which errors should be checked in the penalty calculation?

First, the tax principal is checked for accuracy. The tax base difference and the tax difference are not the same amount. Deductions, exemptions, offsets and prior payments must be assessed within the rules of the tax in question. If the penalty base is calculated on an incorrect tax difference, this may affect all or part of the penalty.

Next, the rate, the increase and, where relevant, recidivism are checked. Looking at the penalties for several periods as a single total can hide which rate was applied to which act. For each period the tax difference, the normal penalty, the aggravating reason and the total should be shown separately.

Is the existence of an earlier penalty enough for recidivism?

For recidivism under Article 339 of the Tax Procedure Law, the finality of the earlier penalty, the time of the later act, the relevant limitation period and the statutory ceiling on the increase must be examined. The mere appearance of an old penalty in the system is not enough. The earlier notice, the notification, any judicial decision and the date on which it became final should be obtained. 1

The administration may show that the earlier penalty became final and that the new act was committed within the statutory period. The taxpayer may show that the earlier penalty was annulled or did not become final, or that the later act occurred earlier. This objection may bring about an assessment of the increase part independently of the merits of the new tax difference.

On what grounds can the tax loss penalty be challenged in court?

Unlawfulness of the tax principal

Where the taxable event, the tax base, the period or the taxpayer status is wrong, the basis of the penalty linked to it is also open to challenge. However, the petition must state clearly which tax act and which penalty are sought to be annulled. A petition that only concerns the penalty does not automatically bring the tax principal into dispute.

Personal nature of the penalty and its link to the act

The sanction must be directed at the correct person. A penalty imposed on a company and a collection action directed at a partner or representative of the company are not the same stage. The status of the person and the basis of the penalty must be explained. A person or entity that claims not to have taken part in the act must demonstrate not only a job title but the concrete authority, records and transactions involved.

Error, force majeure and limitation

Relying on a written statement by a competent authority under Article 369 of the Tax Procedure Law, and changes of view, are assessed under their own special conditions. Relying on an internet article or an oral opinion does not in every case provide this protection. It matters to whom, for which case and on which information the written statement was given. The consequences of force majeure for the penalty are examined under Article 373, and the limitation period for the penalty under Article 374. 1

How are the action, reduction and settlement compared?

The general tax action against a penalty notice has a period of 30 days. The rule on the suspension of collection in Article 27(4) of Law No. 2577 on Administrative Procedure (İdari Yargılama Usulü Kanunu, İYUK) depends on the act under challenge. An action allows strong material or legal objections to be examined by a court; the outcome and the timing cannot be guaranteed in advance. 2 For a separate heading on this subject, see the article on appeal and cassation in tax cases.

Article 376 of the Tax Procedure Law allows a reduction for penalties that meet the conditions. The general reduction rate is 50 percent. The application, payment and not bringing an action are required together. The deadlines for paying the tax principal and the penalty remaining after the reduction are monitored separately. A reduction does not become final merely because a petition has been submitted. 1 For details, see the article on tax penalty reduction.

Settlement is a different administrative route for penalties within its scope. Tax loss penalties imposed for the acts in Article 359 and other statutory exceptions may fall outside settlement. The fact that settlement is closed because of a link to smuggling (kaçakçılık) does not mean that the reduction under Article 376 is closed in every case. Under the new regime, the tax principal is not made subject to settlement. 1 3 4

Example: the tax difference is accepted, the triple-fold penalty is disputed

In a hypothetical case, the taxpayer accepts that a certain expense cannot be deducted but argues that the act within Article 359 did not take place. In that situation the tax principal, the normal penalty and the aggravation are assessed separately. An objection directed only at the triple-fold rate may change the position of the tax principal and the other parts. The scope of the petition must be chosen deliberately. Instead of a sentence such as “the whole penalty is unlawful”, it must be shown which element is unlawful and why.

Decision review: the limits of submitting documents later

The decision of the Plenary Assembly of the Tax Litigation Chambers of the Council of State (Danıştay Vergi Dava Daireleri Kurulu, VDDK) dated October 23, 2024 (E.2023/1711, K.2024/947) shows the importance of documents that were not produced. In the case, some documents were submitted to the court but some purchase invoices were not. The Plenary Assembly quashed the ruling, given after the court had maintained its position, to annul the part of the tax loss penalty that exceeded a single fold and corresponded to the invoices not submitted to the court. 5

It cannot be inferred from this result that “if documents are submitted later, the triple-fold penalty always falls”. Which documents were submitted, at what stage and the reason for not producing them must be examined separately. In the same decision, the other part concerning the special irregularity penalty compares penalties linked to the same act in a different way. The operative effects of the tax loss penalty and the special irregularity penalty must not be confused.

How does a tax penalty action relate to criminal proceedings?

Where there is a criminal investigation or prosecution under Article 359, this is not the same process as the administrative sanction action before the tax court. The competent court, the type of sanction and the elements examined are different. An expert report or decision in one case may be important for another case; however, it cannot be said that the results will be automatically and identically the same in every case. The scope of Article 367 and of the concrete decision is assessed. 1

For this reason, the defences must be kept consistent. When in a tax action it is argued that a transaction is genuine, presenting the same document in another file with a completely different account can undermine credibility. Matching documents and dates across files is necessary for a defence that corresponds to the material truth.

Conclusion

In a tax loss penalty case the first question is whether a tax loss exists, before the penalty rate. Then the nature of the act, the correct addressee, the penalty multiple, the special increase, recidivism and limitation are reviewed. The choice between action, reduction or settlement must be made by examining the penalty notices and the ability to pay separately.

Frequently Asked Questions

If I pay the tax, is the tax loss penalty removed?

Later payment alone does not remove a tax loss that occurred in the past. The distinction between assessment and collection in the section “What is a tax loss and how does it arise?” is important. Back to the explanation

Is every tax loss penalty triple-fold?

No. As explained in the section on the single-fold and triple-fold penalty, the triple-fold rate requires the conditions of the relevant aggravating act. Back to the explanation

If I file a return late, will my penalty be reduced?

The date of referral to the inspection or the assessment committee, and the conditions for voluntary disclosure, change the result. The conditions in the section on late returns and the 50 percent rule must be checked. Back to the explanation

If I have an earlier penalty, does recidivism apply automatically?

The statutory conditions apply, including the finality of the earlier penalty and the time of the later act. The documents needed are explained in the section “Is the existence of an earlier penalty enough for recidivism?”. Back to the explanation

Is a reduction or settlement possible for a triple-fold penalty?

Settlement and the reduction under Article 376 are different regulations. The scope and exceptions in the section “How are the action, reduction and settlement compared?” must be considered together. Back to the explanation
