A reservation of rights (ihtirazi kayıt) is a statement made by the taxpayer, while fulfilling its duty to file a return, that it does not legally agree with a specific tax element. A reservation entered in the proper form can preserve the route to a lawsuit for the disputed part of an assessment based on the return. However, a lawsuit is not opened automatically, and collection does not stop automatically. The timing of the filing, the scope of the reservation and whether the return was filed as voluntary disclosure (pişmanlık) all affect the result. 1 2
This method is particularly relevant where there is doubt about the application of an exemption, the deduction of an expense, the nature of a tax base element or the tax rate. Its purpose is to record the legal objection clearly while complying with the statutory duty to file. Ticking a box on the return does not remove the need to document the reasons for the dispute.
What is a reservation of rights (ihtirazi kayıt) and when is it used?
Article 378 of the Tax Procedure Law No. 213 (VUK) sets out the general limit on a taxpayer's right to sue against the tax base it declared and the tax assessed on that basis; the provisions on tax errors remain reserved. Judicial review of returns filed with a reservation has developed through case law and is reflected in Article 27 of the Administrative Procedure Law No. 2577 (İYUK). 1 2
For example, a company may consider that a particular expense is deductible under the law but, because of an administrative approach, include that amount in its declared tax base. It can make its reservation on that element concrete and consider an action against the resulting assessment. If the dispute concerns only the tax difference arising from that expense, a request to annul the entire return and the entire tax must be separately justified.
Separating a legal objection from a calculation error
Wrong totals, transcription of figures or clear double counting may be assessed under the error provisions of the VUK. The interpretation of an exemption, or the nature of an expense, may require a broader legal review. This distinction determines which route remains available after a return has been filed without a reservation. A correction application is not a general remedy that restores every lost action.
How is the reservation petition prepared?
The return to which the reservation relates, its tax period, the amount of the disputed tax base element and its legal basis must be clear. Writing only "all my rights are reserved" is not enough; the petition must explain which provision should be applied and how that affects the tax result. A clear link must be established between the petition and the electronic return.
- Tax type, period, taxpayer details and the identity of the return.
- The tax base item, rate or taxation approach being objected to.
- The disputed amount and the resulting tax difference.
- The legal basis, the concrete transaction and supporting documents.
- Documents showing that the reservation was recorded together with the return and the assessment.
How is the record of an electronic filing proven?
The return approval, assessment record, reservation petition, transmission time and document registration number should be kept together. It should be checked that the file prepared by the professional adviser is the same as the file approved and sent through the system. A statement that appears in a draft but not in the transmitted return may later create a problem of proof.
The current fields and additional submission methods of the declaration system in use should be followed. A technical acceptance message is not the same as legal validity. The system record should be supported by text making clear which tax element it relates to. A petition sent to the administration through another channel should expressly refer to the return.
When should a reservation of rights be entered?
For legal certainty, the reservation should be recorded together with the filing of the return and within the statutory filing period. Adding a reservation after a return has been filed without one, filing a corrected return after the deadline, or reviving a missed filing deadline through a new filing are not the same process. A later petition should not be assumed to produce the same result.
A return filed within the statutory period
Where a dispute can be identified from the outset and the filing is made within the statutory period, the amount and reasoning should be prepared in advance. For problems that may arise in the electronic system on the last day, transmission records should be kept, and it should be checked whether an official extension affecting the statutory period exists. The fact that a professional adviser was instructed does not by itself show that the return was sent with a reservation.
A corrected return filed after the deadline
Here the reason for the return matters. A correction made in response to the administration's letter or its pressure is not assessed under the same conditions as a late return voluntarily filed by the taxpayer. The content of the letter, the element for which correction was requested, the earlier return and the consequence stated in the letter should all be in the file.
The Constitutional Court (AYM), in its decision in the application of Arbay Petrol and another company, Application No. 2015/15100, dated February 27, 2019, assessed the non-examination on the merits of actions concerning corrected returns filed with a reservation at the administration's direction, under the procedural safeguards of the right to property. This approach has been repeated in later AYM decisions. The decision does not mean that every late return can be sued without conditions. 3
How are the filing deadline and the subject of the action determined?
The general time limit for filing an action before the Tax Court (Vergi Mahkemesi) is thirty days. For a return filed with a reservation, the start date is determined by reference to the formation of the assessment and the notification records; the period is counted from the day following the start event defined by law. In electronic filing, the date on which the assessment record was created is important. Special time-limit provisions, holiday rules and extension rules are examined separately. 2
The subject of the action is determined more by the tax assessment or collection act in dispute than by the text of the return itself. The item to which the reservation relates, its effect on the tax base and the tax amount whose annulment is sought must be clear in the petition. A reservation petition submitted to the administration does not replace a lawsuit; the action must be brought separately, in time, before the Tax Court.
Which documents should be in the lawsuit file?
The signed return, the assessment record, the reservation petition and the record document form the basic file. Contracts, invoices, accounting records and any administrative correspondence showing the substance of the dispute should be added. If the tax has been paid, a bank receipt (dekont) is submitted; a refund and interest claim should be explained as the case requires.
The administration's defence may rest on "its own declaration", "recording after the deadline" or "acceptance as voluntary disclosure". The claimant must show the nature of the dispute and the timing of the record not only by explanation but through official records. A strong argument on the merits does not remove the need to examine the procedural conditions.
Does filing an action stop collection of the tax?
Under Article 27 of the İYUK, actions arising from acts taken on returns filed with a reservation of rights do not stop collection automatically. If a stay of execution is needed, it must be requested separately. Clear unlawfulness and damage that is difficult or impossible to remedy must be explained together and supported by concrete documents. 2
Merely saying that the tax amount is high is not enough. The effect of collection on the business's ability to pay, its existing cash flow and the alleged unlawfulness should be shown. The court's assessment of security is also taken into account. A request for a stay of execution does not mean that collection stops before a decision is given.
Paying the tax does not, in every case, amount to giving up the right to sue. In a timely action, the payment and any subsequent offsets are reported to the court. If the outcome is favourable, the refund and interest are pursued under the legislation governing the scope of the judgment.
Can a reservation of rights be entered with a voluntary disclosure (pişmanlık)?
Voluntary disclosure rests on the taxpayer's own disclosure of the act that caused the tax loss and on fulfilment of the statutory conditions. An action against a return filed on a voluntary disclosure request and carrying a reservation is therefore a narrower area of case law, distinct from an ordinary reservation. It should not be assumed that the two methods together provide the same advantages. 1 4
The Constitutional Court's statement on a return filed with voluntary disclosure and a reservation also separates voluntary disclosure from a corrected return filed at the administration's direction. Accordingly, it cannot be said that every return filed with voluntary disclosure carries a right to sue based on the Arbay approach. The true nature of the transaction, the application chosen and the assessment records must be examined. 4
What should be done if the wrong option was ticked?
When an error is noticed, the status with which the return was entered in the system, whether a voluntary disclosure surcharge has been assessed, and the relevant time limits should be checked immediately. It should not be assumed that a later statement automatically turns the transaction into a different legal route. In this file, a technical recording error must be distinguished from a deliberate legal choice.
Common mistakes in practice
The main problems are: stating the reservation as an abstract sentence directed at all taxes; not keeping the assessment record; treating the return deadline and the action deadline as the same; and assuming that collection stops once an action is filed. Another error is to correct, with the same content, a return that was not challenged within the time limit and to assume that a new period has arisen. The article on how to file a tax lawsuit examines this issue under a separate heading.
The file plan should begin with the legal assessment before filing. The reserved amount should be calculated, a record of the filing obtained, a litigation timetable prepared, and the need for payment or judicial protection regarding collection assessed. In this way, procedure and substance can be presented as a complementary file.
Conclusion
A return filed with a reservation of rights requires the legal objection to be recorded openly, on time and in a provable form. The record alone does not stop the action or the collection. The distinction between a return filed within the statutory period, a return corrected at the administration's direction and a return filed under voluntary disclosure should be preserved; the assessment, the filing deadline and the payment process should be monitored separately.
