Summary

The conditions under which a tax office may demand security under Law No. 6183, the time limits for providing security and for filing an action, the accepted guarantees and the stay of execution.

A tax office’s demand for security does not mean that the taxpayer has a finalized debt in every case. Security may be aimed at safeguarding the collection of a public receivable. However, the administration must set out the underlying provision, the specific ground and the calculation of the amount to be secured. Without determining the legal nature of the security letter, a decision should not be made on within what period and by what route to object.

This article mainly addresses the demand for security within the scope of Articles 9–11 of Law No. 6183. The special security practices under Articles 153/A and 160/A of the Tax Procedure Law (VUK), security in VAT refunds and security for deferral are not subject to the same rules. This distinction is necessary for correctly assessing both the time limit for the action and the consequences of failing to provide security.

In which cases may a tax office demand security under Article 9 of Law No. 6183?

The first paragraph of Article 9 of the Law is based on the commencement of proceedings for the release of a public receivable that touches on the situations requiring the imposition of a tax loss penalty under VUK Article 344 and the acts specified in Article 359. Security is demanded by the collection office in the amount determined on the basis of the initial calculations made by persons authorized to conduct tax examinations.

The commencement of every tax examination does not justify a demand for security in any amount without further explanation. There must be an explainable relationship between the transaction under examination, the receivable to be secured and the initial calculation. An abstract risk assessment must be distinguished from a concrete calculation document.

A debtor with no domicile in Türkiye

The second paragraph requires that the situation of a public debtor with no domicile in Türkiye shows that it endangers the collection of the receivable. Being a foreign national is not the same as not being resident in Türkiye. The absence of a domicile in Türkiye and the conditions showing a danger to collection are assessed together.

For example, a person’s process of disposing of their assets in Türkiye may be examined together with the existing receivable and other guarantees. On the other hand, it cannot be concluded that security may automatically be demanded from every person merely because they hold a foreign passport or run their business from another country. It must be clear on which paragraph the act is based.

What information should be examined in the security letter?

The date and number of the letter, the service information, the statutory basis, the relevant tax type and periods, the principal receivable and its ancillary amounts, and the period given for security should be checked. If the amount demanded is based on the examination report or the initial calculation letter, the date and contents of that document are requested. Any inconsistency between the administration’s reasoning and the calculation annexes is made concrete.

It is investigated whether the amount was determined without taking into account security previously given, taxes paid or other guarantees. Although the securing of the same amount in two different files does not by itself make every act unlawful, it requires explanation in terms of duplicate calculation and proportionality. The review should not be conducted solely on the size of the figure.

Is the period granted for providing security the same as the time limit for the action?

No. Where no special period is specified for security under Article 9 of Law No. 6183, VUK Article 14 applies by the reference in Article 8 of the Law. The General Communiqué on Collection (Tahsilat Genel Tebliği) explains that the period given in the security demand letter must not be less than 15 days. This does not mean that the period will necessarily be 15 days in every security letter or that the same rule will apply to all special types of security.

For an action to annul the security demand act before the tax court, the general time limit for an action, where there is no special provision, is 30 days. The period for providing security and the period for filing an action should be tracked as two separate calendars. It cannot be assumed that the obligation to provide security is also postponed on the ground that the time limit for the action has not yet expired.

Does submitting a petition to the tax office suspend the time limit for the action?

In tax disputes, the special limitation on the application of Article 11 of the Administrative Procedure Law (İYUK) must be taken into account. One should not wait in the belief that an application to the administration for the withdrawal of the security letter or the correction of the calculation will automatically suspend the time limit for the action. The nature of the letter and, if any, the special application provision are examined separately.

If an application is to be made, both the receipt record of the petition and the last day for the action must be tracked separately. The administration’s reply of “we will look into it” is not an automatic extension of time. Nor should it be accepted that sending a new letter will in every case restart a time limit missed against the first act.

Which assets may be offered as security?

Under Article 10 of Law No. 6183, money; unlimited and unconditional bank letters of guarantee; unlimited and unconditional surety bonds issued by insurance companies; and other assets specified in the Law may be considered as security. For movables and immovables offered by the person concerned or by a third party in their favor, the attachment and valuation procedure in the Law is important.

Submitting a photocopy of a title deed is not the same as the security having been accepted. Ownership, prior encumbrances, value and collectability are examined; the necessary act is carried out by the administration. For a bank letter or an insurance surety bond, not only its title but also its duration, conditions, amount and a text acceptable to the collection office should be checked.

Can security be replaced or supplemented?

The Law provides for the possibility of replacing it with another guarantee of the same value. If the security given loses value or the amount of the debt increases, supplementing it or requesting another guarantee may come into play. The calculation and valuation basis of this new demand must also be verifiable.

Personal surety under Article 11 of Law No. 6183 is a separate institution. It is subject to the form and acceptance conditions in the Law; the administration is not obliged to accept every person proposed as surety. Personal surety and a surety bond issued by an insurance company are not interchangeable concepts.

If no security is provided, is a precautionary attachment applied directly?

A security demand and a precautionary attachment are different acts. Article 13(1) of Law No. 6183 regulates the cases requiring a demand for security under Article 9, while Article 13(4) separately regulates situations such as failure to provide the requested security within the specified period or non-acceptance of the surety. It must be determined on which paragraph the act is based.

The stage after completion of the tax examination also matters. The 2024 amendment to the General Communiqué on Collection explains that, after the examination report has been referred to the tax office, a precautionary attachment cannot be imposed solely on the basis of Article 13(1). This explanation does not mean that all other grounds in Article 13 have disappeared. The specific conditions of a different ground relied on by the administration are examined separately.

The fact that an action has been filed against the security letter does not automatically protect the time limit against a precautionary attachment act established afterwards. The date, notification and scope of the attachment order and its enforcement are determined separately. The special 15-day period for a precautionary attachment should not be confused with the general 30-day period for the security letter.

How is an annulment action against a security demand prepared?

The action should target the final security demand act that must be carried out. A letter demanding a specific amount within a specific period is not the same as a mere internal opinion or a preparatory act that does not yet impose an obligation on the taxpayer. The petition states the date and number of the act, its service, the amount demanded and the grounds for annulment.

The main areas of review may be competence, the absence of an underlying ground, inadequacy of the initial calculations, a wrong period or taxpayer, an excessive amount, an unlawful time limit and proportionality. Instead of a general objection such as “I do not accept the tax debt,” it should be explained why the conditions of the protective act itself have not arisen.

If security has been provided, it is not automatically accepted that the right of action has ended. However, the continuation of legal interest, the return or release of the security and subsequent acts are expressly assessed. Reserving legal objections and rights in the letter providing security may help explain the party’s position; it does not by itself extend the time limit for the action.

With what evidence is a stay of execution requested?

A security demand is a collection-security act; it should not be assumed that enforcement will stop automatically once an action is filed. Under Article 27 of the İYUK, a stay of execution is requested by explaining together clear unlawfulness and damage that is difficult or impossible to remedy.

The absence of an initial calculation or the use of a wrong period may be documented in terms of unlawfulness; the closing of a credit line, the inability to pay employee wages or the endangering of the performance of contracts may be documented in terms of damage. The same abstract balance sheet explanation is not enough for every company. The commission cost of a letter of guarantee, its effect on the bank limit and existing cash obligations should be made concrete.

The court may decide in return for security, may not require security, or may reject the request. In an objection to a stay of execution decision, the special procedure and the seven-day period in Article 27 of the İYUK are observed. The legal remedy concerning the merits of the annulment action is assessed separately.

How is security released after annulment or correction?

By determining which act and amount the decision covers, the return of the security, the sending of the necessary letter to the bank or insurance company, and the removal of the entry in the immovable’s record are requested. If there is another debt or another security demand, their legal bases must be shown separately.

If only the amount has decreased as a result of the action, the guarantee is also linked to the new calculation. Compensation for bank commissions or other damage arising from the unlawful act requires a separate review of legal ground, documents, causation and time limit; not every annulment decision automatically results in compensation.

Conclusion

The review of a tax office’s demand for security should be conducted on the basis of the correct statutory ground, the concrete risk, the calculated amount and two separate time limits. A security demand, a precautionary attachment and the final tax assessment (tarhiyat) should be distinguished from one another; the annulment action and the interim protection requests should be prepared according to the conditions of each act.

Can an action not be filed after security is provided?

Providing security does not automatically remove the right of action; the time limit and legal interest are assessed separately. The section “How is an annulment action against a security demand prepared?” explains this. Related explanation

Does challenging the security letter in court also cover a later precautionary attachment?

Not always. An attachment may give rise to a separate act and a special time limit. The distinction in the section “If no security is provided, is a precautionary attachment applied directly?” should be observed. Related explanation
