Signing and Closing Management

Signing authorities, powers of attorney, company resolutions, notarization or apostille procedures, original contracts, the possibility of electronic signature and the counterpart arrangement are verified. If legal binding effect arises with signing and the transfer of shares or assets arises with closing, the documents are prepared accordingly.

In the closing agenda, payment, repayment of debt, release of security, share certificates, share ledger, resignations and appointments, registry, contract consents, licenses, data room copy and delivery confirmations are carried out in sequence. Steps that are not completed and documents to be delivered later are expressly recorded in the closing minutes.

Company Resolutions, Notary, Trade Registry and Official Procedures

Resolutions of the board of directors, the board of managers and the general assembly are prepared in accordance with the articles of association, the power of representation and the statutory quorums. The form and registration procedures required for the share transfer in a limited liability company, share records in a joint-stock company, merger or demerger, capital increase and change of management are determined for the specific file.

The apostille or certification of foreign documents, translation, tax number, power of attorney and registry formats are planned at the beginning of the timetable. Corporate formalities left to the last day are prevented from delaying closing.

Post-Transaction Implementation and Compliance

After closing, registrations, permit notifications, the share ledger, beneficial owner, bank authorities, insurance, contract notices, data access, and policy and authority updates are followed up. The post-closing actions in the legal due diligence report are monitored with the responsible party and the deadline.

The merging of the two businesses’ contract, employee, data, technology and compliance systems is planned so as not to create a new risk of breach. After the transaction is completed, it may not be appropriate for all contracts and policies to be automatically converted into a single form.

Frequently Asked Questions

What is the difference between signing and closing?

Signing is the stage at which the parties conclude the binding transaction agreement. Closing is the stage at which, after the conditions precedent are fulfilled, the transfer of the shares or assets, the payment of the price and the related deliverables are carried out. In some transactions they take place on the same day and in others on different dates.

Is the transfer of shares made in the same way in a joint-stock company and a limited liability company?

No. The type of share, whether it is tied to a certificate, the articles of association, company approval, written form, notary, share ledger and registration conditions may differ. The current records of each company and the nature of the shares subject to transfer are reviewed separately.

What actions may remain after closing?

Trade registry, permit and contract notifications, the share ledger, the release of security, data and authority transfers, employee arrangements, integration, earn-out, escrow and indemnification periods may continue. Post-closing tasks should be monitored with a separate responsibility table.
