Invitation to explain (izaha davet) is a request from the tax authority for an explanation of its preliminary finding; it is not the same document as a tax audit report or a penalty notice. By explaining the matter, the taxpayer can show that no tax loss exists or, where the conditions are met, correct the declaration with a lower tax-loss penalty. It should be understood in particular that this is not a tax reduction the taxpayer can freely apply for and start. [1]
Legal nature of the procedure and how it differs from other obligations
An invitation to explain is not the same process as a tax audit or a taxpayer's voluntary disclosure application. Responding to the preliminary finding, and the declaration and payment obligations that may follow from the outcome of the explanation, are separate stages.
Under what conditions is a preliminary finding made?
The authorized committee reaches the conclusion, based on information and documents, that tax may have been assessed short or late. The conditions include that there is no report (ihbar) on the matter, that no tax audit has been started on it, and that it has not been referred to the assessment committee (takdir komisyonu). A report on another matter is not treated in the same way as the report that is the subject of the preliminary finding.
When an invitation letter arrives, first determine the tax type, the period, the transaction, the assessed amount and the reference number. A bank movement, a land registry transaction or electronic document data is not, on its own, the final tax calculation. No general acceptance or rejection should be given until it is clear which data the authority used to reach which conclusion.
The thirty-day explanation period and the evidence
A written or oral explanation may be given within 30 days of service of the letter; the Digital Tax Office transaction may also be used. The legal date of electronic service must be correctly determined. An explanation submitted within the period is to be assessed by the committee within 45 days at the latest. The taxpayer's response period and the committee's assessment period are separate timelines.
The explanation should not consist only of the sentence "there is no error." The contract, ledger, invoice, bank receipt, title deed, collection period and third-party records should be matched with the subject of the finding. For example, if it is argued that a bank credit was the repayment of a loan, the origin of the debt and its repayment are shown together. In tax law, evidence that explains the real nature of a transaction should be presented consistently.
If the explanation is accepted or found insufficient
If it is accepted that no tax loss exists, the matter is not referred for audit or assessment in respect of the preliminary finding, and the result is notified. This is not a general audit immunity for all of the taxpayer's periods and activities. The finding and amount to which the acceptance relates should be read from the result letter.
If the explanation is found insufficient, within 30 days of service of the result letter a return that was never filed is submitted, or the incomplete declaration is corrected. If the tax and the explanation surcharge (izah zammı) are paid within the same period, the tax-loss penalty may be applied at 20%. Filing the return alone is not enough. Other tax types affected by the finding are also evaluated; correcting a single return may not cover all of the consequences.
Using the preliminary finding reference number in the return filed after the invitation
The preliminary finding reference number links the invitation letter, the explanation, the result and the return. In the electronic return, the relevant explanation and, where needed, the correction option are selected, and the reference is entered in the correct field. Choosing the wrong period or the wrong type of application may lead to the correct amount being sent through the wrong procedure.
A return that takes the place of the explanation may be filed within the first 30 days. However, the box should not be ticked in the program before the amount to be accepted and the legal result are understood. The return, the assessment, the explanation surcharge and the payment documents are kept together.
Why is a preliminary finding on the use of a forged or substantively misleading document considered separately?
Smuggling offenses under Article 359 of the Tax Procedure Law No. 213 (VUK) generally fall outside the ordinary invitation to explain. Where the use of a forged or substantively misleading document is suspected, the special preliminary finding route under Article 370/b applies. For 2026, the 870,000 TL limit, or the condition that the amount does not exceed 5% of total purchases of goods and services even where that limit is exceeded, is assessed by considering the relevant year and earlier findings together. Amounts are taken excluding taxes. The 700,000 TL figure in the 2025 guide is not the current year's amount.
In this special notice, the 30-day period for the declaration and payment is tied directly to the service of the notice; the two-stage timeline of the ordinary explanation does not apply as it is. Application of the 20% penalty under these conditions does not prevent a tax audit or, where necessary, an additional assessment. Whether the document was used, claims of knowledge or participation, and the consequences under criminal law are examined separately in the concrete file.
Relationship with voluntary disclosure, reduction and settlement
After service of the invitation letter, voluntary disclosure (pişmanlık) under Article 371 cannot be used, limited to the matter covered by the finding. Under the ordinary Article 370/a, for the 20% penalty imposed, a penalty reduction or a settlement after assessment may be considered if the conditions are met. For the special penalty under Article 370/b, settlement is closed; the reduction under Article 376 may be examined separately. For details, see the article on filing a return with voluntary disclosure.
Failure to meet the conditions, for example not paying the tax and the explanation surcharge within 30 days, may lead to the reduced penalty being brought up to 50% and the explanation surcharge turning into late-payment interest. In other cases, audit or referral for assessment and the relevant penalty provisions come into play. For this reason, the generalization that "not responding to an explanation request always leads to the same penalty" should not be made.
In the invitation file, the response date, the acceptance or rejection result, the start of a second period if there is one, all affected returns and the payment status should be recorded separately. The concrete act that preserves the period is as important as a well-prepared explanation. For the periods and remedies against a penalty notice, see the guide on how a tax case is opened.
Decision to make before acting and the file to prepare
Determine which period, transaction and finding the letter relates to. Support the explanation with the contract, invoice and payment documents, and do not confuse the explanation period with the return and payment period that follows the result letter.
