GÜNEŞ & GÜNEŞ LAW FIRM

Real Estate and Construction

Legal advice and litigation support for real estate sales, property investments and construction projects.

From the initial legal review to contracts, title transfer and delivery; legal support in zoning, permit, lease and construction disputes.

Real estate and construction law advisory

As GÜNEŞ & GÜNEŞ LAW FIRM, based in Antalya and serving clients throughout Türkiye, we provide legal support to property owners, buyers and sellers, landowners, investors, contractors and project developers.

We handle property sales together with ownership, zoning, contracts, financing connections and delivery conditions. In construction projects, we manage the legal process from drafting the contract to implementation and progress payment tracking, and from delivery to the resolution of disputes.

We determine the scope of services based on the property’s characteristics, the parties’ capacity, the stage of the project and the documents.

Our practice areas in real estate and construction

In each matter, we determine the legal needs by reviewing ownership, contracts and implementation conditions together.

Sales and title deed transactions

When buying and selling residential, land or commercial property, we review land registry records; mortgages, attachments and other restrictions; representation authority; and the property’s current use. We coordinate the legal aspects of the contract, payment, security and title transfer.

Investment and project development

Land and project investments, partnership structures, and the transfer of a property or of a project company are assessed from a legal standpoint. Transaction risks, the obligations of the parties and a contract structure suited to the stage of the investment are determined.

Construction and works contracts

We prepare or review turnkey contracts, land-share construction contracts (kat karşılığı / arsa payı karşılığı) and revenue-sharing agreements. We organize the scope of work, technical annexes, deadlines, security, progress payments and the conditions for ending the contract.

Zoning, construction permits and occupancy

The legal dimension of zoning plans, development and use conditions, construction permits, and occupancy permit (yapı kullanma izni, iskân) procedures is reviewed. Applications and litigation options against administrative acts and sanctions are assessed.

Urban transformation

Contracts, decisions and notification procedures between landowners and contractors are assessed under the law. Sharing arrangements, contractual commitments on rent support, and eviction and delivery conditions are addressed according to the specific project.

Delivery, defective and incomplete work

In claims of late delivery, incomplete work and defective construction, we review the contract, minutes and technical reports. We assess the documentation of deficiencies, notices, and the legal remedies that may be sought based on the facts.

Leases and use of property

We prepare residential and commercial lease agreements and assess disputes concerning the determination of rent, rent adjustment, eviction, security and the return of the property. We determine the legal route based on the parties’ positions and the terms of the contract.

Ownership and land registry disputes

We pursue actions for cancellation and registration of title (tapu iptal ve tescil), dissolution of co-ownership (partition), pre-emption (önalım) and prevention of encroachment (elatmanın önlenmesi). Claims for compensation for unjust occupation (ecrimisil) and for the protection of ownership are assessed based on the file.

Condominium and site management

Management plans, common areas, dues and expense sharing, board decisions and management disputes are reviewed. We provide legal advice on the management of residential, site and commercial buildings.

Acquisition of property by foreigners

The legal status of a foreign individual or company, the nature of the property and the transaction conditions are assessed. Representation, documents, translation and the related official formalities are determined based on the specific purchase.

Expropriation and administrative disputes

Expropriation, de facto expropriation (kamulaştırmasız el atma), zoning plan and parcelling procedures, and administrative decisions affecting ownership are addressed. Application, compensation and litigation processes are assessed on the basis of the relevant documents.

Litigation and dispute resolution

Negotiation, mediation, litigation and enforcement options are assessed according to the nature of the matter. The need for interim legal protection and the preservation of evidence is prioritized alongside time-sensitive procedures.

Real estate sales: review, title transfer and delivery

  1. Pre-transaction legal due diligence

The parties, their authority to act, land registry and use records, zoning and permit status, existing contracts and disputes are reviewed. The legal due diligence is coordinated, where necessary, with financial and technical reviews.

  2. Negotiation and contract

The structure of the sale or transfer, the price and payment schedule, security, conditions precedent, representations and responsibilities are arranged. For transactions involving a foreign party, the applicable law and any necessary procedures linked to the relevant country are addressed separately.

  3. Transfer, delivery and follow-up

The stages of signing, payment and title or share transfer are coordinated. Physical handover, inventory, utility subscriptions and contract transfers, and post-sale commitments are followed within the agreed scope of legal services.

Preventive law for real estate and construction companies

We address the legal needs of investors, contractors and real estate companies not only when a dispute arises, but from the decision and contract stage onward.

Contract and risk management

Standard sales, procurement, subcontracting and service agreements are reviewed. Authority, liability, security and notice arrangements are structured according to the company’s workflow.

Legal oversight of project processes

Progress payments, scope changes, time extensions, delays and delivery correspondence are assessed. Legal coordination with the technical team is provided; the respective responsibilities of technical supervision and legal services are clearly separated.

Company and workplace advisory

Legal support is provided for company decisions, commercial relationships, personnel and collection processes. The scope of regular legal advisory, special transactions and litigation follow-up, and the fee terms, are set out in the contract.

Frequently asked questions about real estate and construction

Which records are reviewed before buying a house, land or commercial property?

First, the ownership information in the land registry, records such as mortgages and attachments, and the authority of the seller or their representative are reviewed. The zoning and permit status is examined as well. Existing tenants, the way the property is used and any contracts are also part of the review. The list of documents varies depending on whether the property is residential, land or commercial.

Which matters are addressed in a land-share construction contract?

The division of independent units, project and technical annexes, term, transfer schedule, security, progress payments, amendments, and delivery and termination conditions are reviewed together. It is also examined whether the contract provisions are consistent with the land registry transactions and with actual implementation.

What should be prepared if a construction project is delayed or delivered incomplete?

The contract and its annexes, payment records, correspondence, delivery minutes, dated photographs and any technical reports can be prepared. Notices, time limits and the need to preserve evidence are assessed based on the specific facts.

Can a foreign investor carry out a transaction without coming to Türkiye?

Some transactions can be carried out with appropriate authorization. Which stages require in-person participation or additional documents is determined separately. The scope of the power of attorney, and the translation or certification requirements that depend on the country where it was issued, are assessed before the transaction.

Does buying real estate grant citizenship or residence rights?

Acquiring property and citizenship or residence applications are separate legal processes. Where a purchase is made for these purposes, the current application requirements and the suitability of the property are reviewed separately; the purchase transaction alone does not mean that an application will be accepted.

Can technical and legal reviews be carried out together?

Depending on the needs of the matter, legal work can be coordinated with reviews by engineers, architects, valuation experts or financial advisors. Technical suitability and valuation assessments fall within the responsibilities of the respective professionals.

Do you provide ongoing legal advisory to contractors or real estate companies?

Ongoing legal advisory can be provided for contracts, project correspondence, company transactions, personnel and commercial relationships. The scope of regular legal advisory, and of separate litigation and special transactions, is clearly set out in the contract.

How can we consult from abroad?

Video consultations by Zoom or WhatsApp are available, and in-person meetings at the office are also possible. Please state your country and city and your preferred local time. When the appointment is confirmed, both the local time and Türkiye time are arranged together.

When will I receive a response, and when will any consultation fee be communicated?

We respond to your request within 48 hours. The scope of the consultation and any fee will be communicated before your appointment is confirmed. For urgent matters or those requiring special timing, please indicate this in your request; you can reach our client relations assistant through the main line or WhatsApp.

Does sending documents or meeting with you mean that you have accepted the matter?

A first contact, a consultation or the sharing of documents does not by itself mean that the matter has been accepted. The scope of services, fees and acceptance conditions are clarified separately; acceptance of the matter is notified within the framework of the necessary contract, authorizations, documents and contractual obligations.

Let’s talk about your property or project.
