The path of challenge against a municipality’s tender to lease a shop, kiosk, hotel or other property is, as a rule, determined by reading the State Tender Law No. 2886 together with Article 20/A of the İYUK. The general filing period for tender acts is 30 days; an objection made to the municipality does not stop this period. Winning a lease tender does not, by itself, give a business opening license or an unlimited right of use.
A significant part of the disputes in lease tenders arises before the day of the tender. Operating experience, financial capacity, the intended use of the property, the lease term and the handover conditions directly affect the decision to bid. For this reason, the legal review should not focus only on who won the tender; the accessibility of the specification and the conditions of participation should also be addressed.
Why must the lease tender be distinguished from the lease contract?
The legal nature of the tender stage
A municipality’s leasing of its property to earn revenue is, unless there is a special provision, assessed under Law No. 2886. The preparation of the specification, the announcement, the evaluation of bidders, the tender result and the approval act may have the nature of administrative acts. The lawfulness of these acts is reviewed in the administrative courts.
A municipality’s renting a vehicle for its own needs or purchasing a service is different. The presence of the word “lease” in the title of an announcement does not necessarily mean that the act is the leasing out of municipal property. Whether the municipality is the lessor or the buyer of services or goods, and which special rules apply, should be determined at the first stage.
The contract stage and separate administrative acts
A dispute about rent, use, repairs or security under the private-law lease contract signed after the tender may fall within the scope of the ordinary courts. By contrast, eviction, license or prohibition acts based on independent public power require a different legal assessment, even if they are issued after the contract.
The consequence of this distinction is as follows: the approach that “the municipal executive committee (encümen) has decided, so the administrative court is always the route” is not sufficient. The basis of the decision, its effect and the request must be examined. The eviction of an existing tenant and the annulment of a new lease tender are also not the same request; an action against one does not automatically stop the other.
Which body decides on the lease?
Article 18(e) of the Municipality Law No. 5393 leaves the decision on leases longer than three years to the municipal council. Article 34(g) regulates the authority of the executive committee (encümen) for leases not exceeding three years. The tender commission and approval provisions of Law No. 2886 and the special laws must be applied together.
First, it should be determined which right the municipality holds over the property. A shop owned by the municipality, a place belonging to another administration and allocated to the municipality, and a place set aside for public use are not in the same legal position. Granting an operating right is also not in every case an ordinary property lease. The authority and the intended use should be clear in the tender file.
If the decision is limited by term, property or intended use, the implementing act cannot exceed these limits. For example, adding to the specification, under another name, a long-term use not provided for by the council is reviewed according to the true nature of the act. A lack of authority is not regarded as cured merely by signing the contract afterwards.
Which provisions of the specification should be reviewed?
Work experience and financial capacity conditions
The municipality may set objective participation conditions that ensure the property is operated properly. However, the conditions must be connected to the nature of the work and proportionate. A requirement of having operated for a certain period in a very specific place, an unnecessarily high turnover or experience conditions that can only be proven with particular documents may narrow competition.
Not every experience requirement is unlawful. The administration may show concrete grounds such as special security, technical capacity or continuity of the service. The bidder’s objection must also explain why the condition is unnecessary, which qualification documents the bidder holds, and whether a less restrictive arrangement was possible. Instead of a general statement that “the specification is tailor-made for one bidder,” the relevant article and its effect should be shown.
Intended use, license and handover conditions
The specification should make clear for which activity the property will be used, the condition of the existing structures, the scope of fixtures and the handover date. Actual occupation of the premises to be leased, an existing tenant or a zoning restriction changes the economic value of the bid. The intended use given in the tender should be compared with the activity for which the property is legally suitable.
The tender or lease contract does not replace the business opening and operating license. Where the activity is subject to zoning, occupancy permit, fire, environmental or special permit conditions, these conditions must be met separately. The bidder should examine how the specification regulates the risk of not obtaining a license and what information the municipality has given about the property.
Rent increases, expenses and the prohibition on transfer
Besides the starting rent, the increase mechanism, the tax and expense burden, maintenance and investment responsibility, and sublease or transfer restrictions also determine the real cost of the bid. A bidder who decides by looking only at the first-year price may overlook the obligations of the later period.
The timing of objections to the specification and the contract matters. It may not be possible to have a condition that was known before the tender declared invalid merely because it later proves economically burdensome. Nevertheless, its presence in the contract does not exempt a provision from review for violation of mandatory law. The annulment of a tender condition and the validity of a contract provision are assessed as different requests.
Tender procedure, estimated value and competition
The distinction between open bid and sealed bid
Under Law No. 2886, the sealed-bid procedure is the rule; other procedures are subject to the conditions in the Law. Application of the open-bid procedure is tied to the monetary limit set for the relevant year. An amount or method used in old announcements therefore does not show that a new tender is also lawful.
The negotiated procedure also cannot be chosen merely for convenience or speed. The provision relied upon must cover the administration and the act concerned. In particular, whether the provision of Article 51(g), which concerns places under the private ownership or under the disposition and control of the State, applies to a municipality’s own property requires separate legal review. A single conclusion cannot be drawn for all leases without seeing the exceptions in special legislation.
Properly assessing the price and the lease term
The monthly or annual rent of the property and the calculation made for the total lease period must not be confused. The specification should make clear which period the price relates to, on which amount the security is calculated and which total is used in choosing the procedure. The bases of the calculation are reviewed within the scope of Article 9 of Law No. 2886.
The value of a hotel or a facility ready for operation cannot be determined solely by comparison with empty shops. Usage capacity, fixtures, location, the maintenance obligation and the potential to earn revenue must be assessed together. On the other hand, treating the entire gross turnover of the business as rental income is also incorrect; expenses and the risk assumed by the operator matter.
Participation of a municipal company
The existence of a municipal company does not by itself make the tender unlawful or lawful. Participation bans, the company’s management and representation relationships, equal application of the specification and any special statutory authority are examined. The fact that a company belongs to the municipality should not by itself be seen as a basis for removing the requirement of announcement, competition or tender.
Time limits in objections and annulment actions
For tender acts, the 30-day period in Article 20/A of the İYUK is the basis. Because Article 11 of the İYUK does not apply in this procedure, asking the municipality for reconsideration does not stop the period. The Public Procurement Authority application system specific to purchases under Law No. 4734 does not apply automatically to a property lease tender under Law No. 2886.
The specification provision, the exclusion from evaluation and the final tender decision may have been learned on different dates. The bidder should clearly identify which act is being targeted and when it was learned. It should not be assumed that waiting for the tender result will in every case restart the period for earlier independent acts. The acquisition of the document is assessed together with the service records, correspondence and tender minutes.
Article 34 of Law No. 2886 contains a separate provision on bidders who are not present at the tender or who do not send an authorized representative. For this reason, the manner of participation in the tender and the stage to which the objection is directed matter. One should not act as if there were an unlimited right of objection in every case; the claim of a person who could not participate because of an unlawful condition must also be examined separately for a concrete interest.
The court, standing and interim legal protection
An application is made to the administrative courts for annulment of a tender act. In determining the competent court, the act’s connection with the property and Article 34 of the İYUK are taken into account. The bidder or the interested party must show how their personal and current interest is affected by the tender act. An existing tenancy does not give a right to block every new tender; however, the effect of the specific act on the existing right may be examined.
Filing an action does not stop the implementation of the tender. In a request for stay of execution, manifest unlawfulness and damage that is difficult to remedy must be reasoned together. Facts such as handover of the property to another person, dismantling of the business or an investment process that is hard to reverse can be explained with dates and documents. In the expedited procedure, no objection can be made to the decision on this request; a direct 15-day appeal route applies against the decision on the merits.
The limits shown by actual decisions
Does the highest bid bind the municipality in every case?
Council of State (Danıştay) 13th Chamber, April 24, 2025, E.2025/466, K.2025/1697: In the Silifke Municipality’s hotel lease tender, the bid exceeded the estimated value. Even so, the authorizing officer’s (ita amiri) refusal to approve the tender was found lawful, taking into account the property’s nature, capacity and economic data. The first-instance court’s annulment decision was reversed and the action was dismissed. The decision was given by majority vote. The result shows that the idea that the highest bidder necessarily acquires the right to conclude a contract does not hold in every case; it does not legitimize arbitrary cancellation.
What it means that there was a single participant
Council of State (Danıştay) 13th Chamber, June 12, 2025, E.2025/1066, K.2025/2270: This decision concerns not a lease but the sale of municipal property. In the auction tender under Law No. 2886, the existence of a single bidder was not regarded as sufficient by itself to conclude that competition did not occur. The tender was found unlawful because of a deficiency in the determination of the price. The general point that can be carried over to a lease file is that the number of participants is examined not alone but together with the other tender conditions. Not all assessments specific to the sale of property can be applied as they are to a lease.
Documents and the structure of the request when preparing the action
| Problem | Documents to collect | Effect to be explained |
|---|---|---|
| A condition narrowing participation | Specification and qualification documents | Which article prevented participation |
| Obstacle to handover or use | Record of findings, photographs, zoning and license information | How use was affected |
| Price and competition | Valuation, bids and minutes | Why the price and the competition did not form soundly |
| Time limit and approval | Service records, tender and authorizing officer (ita amiri) decisions | Which act was learned and when |
Instead of listing all the documents in the petition, it should be explained which document each allegation relies on. The requests of an entrepreneur who could not participate because of a specification condition and of an operator who asks for a rent reduction after signing the contract are not the same. The grounds that the defendant administration may present regarding the nature of the work, public revenue or qualification must also be answered.
As an example, for an operator who could not participate because of a five-year experience requirement, the main issue is not the current rent but whether the condition is proportionate to the nature of the work. For a person who won the tender but was not handed the hotel, the priority may be the handover obligation, the contract and the actual situation. These are illustrative examples; the outcomes vary according to the documents in the file.
What happens after an annulment decision?
Depending on the court’s grounds for annulment, the administration may need to reassess or to organize a new tender. Annulment of the tender does not mean that the claimant will be made the tenant directly. A signed contract, the handover and the rights of third parties must be addressed separately. In claims for the return of security, the price paid and damages as well, the legal basis and the competent judicial forum must be determined.
The result of the tender action may not automatically determine the result of an existing license or eviction act. The independent permits necessary for the business to continue operating, and the time limits relating to them, should be followed separately. When different acts arising from the same event are treated as a single file, the filing period may be lost.
Conclusion
In a municipal property lease tender, the core review should be built on authority, the specification, competition, valuation and the short filing period. The contract and license stages have separate legal consequences. An objection is effective only if it makes the restrictive condition or the tender error concrete and brings the corresponding request to the right court in time.

Frequently Asked Questions
Where is an objection to a municipal lease tender made?
The basis of the tender must be determined. For tender acts under Law No. 2886, the annulment action is filed in the administrative courts; an objection to the municipality does not stop the filing period.
Does the former tenant have priority in the new tender?
An existing tenancy does not by itself give priority in a new tender. If there is a special right or statutory provision, it is examined separately.
Is a business license considered obtained once the tender is won?
No. The license and other permit conditions for the activity must be fulfilled separately.
Can an experience requirement in the specification be annulled?
A condition unrelated to the nature of the work or disproportionate may be the subject of an unlawfulness claim. Not every experience requirement is automatically unlawful.
If the tender is annulled, will the property be leased to me?
No. Depending on the grounds for annulment, a new assessment or a new tender may be needed; the court does not step into the administration’s place and directly select a tenant.
