Summary

Showing that an invoice exists on paper, or that the price was paid by bank, is not enough; actual delivery, recording, VAT deduction, tax penalty and criminal proceedings are examined separately.

In a fake invoice allegation, it is not enough that the invoice exists in form or that the price was paid by bank. Examined together are whether there was an actual delivery or service relationship with the person who issued the invoice, how that relationship is reflected in the records, and which concrete findings the allegation rests on. VAT deduction, tax loss penalty (vergi ziyaı) and a criminal investigation depend on different conditions and cannot be automatically tied to the same outcome. 1 2

The allegation known in practice as “naylon fatura” (so-called “nylon invoice”) may be limited to a single document or period, or it may cover many invoices. The first task of the defense is to separate the disputed invoices, the relevant VAT periods and the grounds the tax administration relies on. Rather than giving a general answer to an unclear list of suppliers, a verifiable explanation should be prepared for each transaction.

What is the difference between a fake document and a misleading document?

For the purposes of Article 359 of the Tax Procedure Law No. 213 (VUK), a fake document is one that records a transaction or situation that did not actually take place as if it had. A document that is misleading in content is one that misstates the nature or amount of a transaction that did take place. This distinction affects the legal characterization of the act and the sanction that applies. The fact that the goods named on an invoice are present in the business does not by itself show that the supplier named on the invoice actually sold them. 1 3

Where goods were obtained from another person and recorded under the invoice of a different taxpayer, it cannot be said that the document problem is resolved merely because the goods exist. Conversely, an adverse finding about a supplier does not justify treating all of the buyer’s transactions as the same without explanation. The transaction, the parties, the period and the link to the document must be established.

Why must issuing and using be examined separately?

Issuing an invoice and recording it in the books so that it produces a tax consequence are different acts. A report prepared about the issuer may contain important data for the user; however, the buyer’s conduct, representation and relationship to the document must be determined separately. The company’s records and the criminal liability of a natural person should not be merged under one heading. The assessment in a tax dispute does not replace the criminal court’s examination of the material and mental elements of the offense. 1 The same topic is also covered in the article taxpayer rights in tax audits.

On what conditions is the VAT deduction disputed?

Under Articles 29 and 34 of the Value Added Tax Law No. 3065 (KDV Kanunu), the right to deduct input VAT depends on a supply of goods or services in the course of the business activity, appropriate documentation and the statutory recording requirements. That an e-document exists in the electronic system does not mean the administration has previously approved that the underlying performance took place. The period in which the deduction was used and the time conditions applicable to that period are also checked separately. 2

The administration may recompute the tax return by removing from the deduction the VAT on the invoice alleged to be fake. In that case, not only the first period but also VAT carried forward to later periods may be affected. In the defense, the start period of the disputed tax, the carried-forward amounts, the calculated tax and any earlier corrections should be shown separately. Whether the same amount has been assessed twice, or added to a transaction of another period, is checked against the calculation.

For corporate or income tax purposes, recognizing an expense as a cost is not the same as a VAT deduction. That a production or sale took place may require examination of the cost; this does not mean that the VAT on a disputed invoice is deductible in every case. The substantive condition and the calculation method of each tax type should be explained separately.

How are findings about the supplier assessed?

On-site inspections (yoklama), business premises, employees, vehicles, warehouses, purchasing and sales capacity, bank movements and counterparty examinations (karşıt inceleme) are evaluated together. That premises were closed at a later date and that there was no activity on the date the invoice was issued are not the same fact. The administration’s criticism of capacity must be tied to the real business model and to concrete delivery volumes in the period under review. 1 3

The Revenue Administration’s (GİB) VAT general implementation communiqué also notes that a taxpayer alleged to have issued fake documents may still have some genuine purchases or expenses. A single positive or negative data point therefore does not produce an automatic result for all documents. It matters that the buyer explains how the relationship with the supplier was established and who made the delivery. If another business’s warehouse, a carrier or a subcontractor was used, its documents should be submitted separately as well. 3

Does payment by bank prove that the invoice is genuine?

A bank payment is an important piece of evidence; it is not conclusive on its own. The sender, recipient, date, amount, description and match with the invoice are examined. If the money came back, was transferred to a third person, formed part of a bulk payment or was set off in a current account, its economic explanation should be shown. The administration may dispute not only the form of the payment but also how the movement is connected to the genuine commercial relationship. For details on the subject, see the article proof and evidence in tax cases.

On the other hand, it is also wrong to treat a bank record as entirely without value. A payment that coincides with a specific delivery, a dispatch record and a stock movement gains meaning within records that corroborate one another. When preparing payment information, unrelated personal transactions may be set aside; however, the transactions needed to assess the dispute should not be hidden by selection.

With which documents can an actual delivery or service be shown?

For purchases of goods, the order and contract are assessed together with the dispatch note (sevk irsaliyesi), the freight invoice, the person who received the goods, the warehouse entry record, the stock card and later production or sales records. For purchases of services, instead of physical stock, the subject of the work, work records, the output delivered, acceptance correspondence and the fact that the service was used are examined. A list of evidence suited to a delivery of goods cannot be applied word for word to every service.

  • Invoice-by-invoice list of date, number, supplier, goods or services, taxable base and VAT.
  • Orders, contracts and contemporaneous correspondence showing that the work was agreed.
  • Records of delivery, transport, warehouse, production or the result of the service.
  • Bank payment document and current account reconciliation.
  • Entry in the statutory ledger, original e-document and the relevant line of the return.

When the file is prepared, the source and creation time of each record should be preserved. A later explanation should not be presented as a document created on the transaction date. Keeping the verifiable electronic record of an e-invoice, rather than only a screenshot, matters if technical examination becomes necessary. If documents are missing, state which institution or third party they should be requested from.

How are the tax penalty and the criminal investigation distinguished?

In a tax loss penalty, the tax loss, the nature of the act and the basis of the applied surcharge (kat) are examined. Where an increased penalty linked to acts under VUK Article 359 has been applied, its grounds must be shown by specific transactions and findings. The defense on the underlying tax and the defense on the conditions of the penalty should be prepared together but with separate reasoning. 1

In a criminal investigation, personal conduct, intent and the safeguards specific to criminal procedure are assessed. A statement such as “the accountant recorded it” or “I was a director of the company but did not know” does not by itself determine the outcome; the division of duties, the person who obtained the document, the approval process and the records of actual management are examined. The petition in the tax case must not contradict the statements made in the criminal file. Paying the tax or correcting the return is not a general route that by itself removes all criminal consequences.

What route should be followed after the notice of assessment is received?

The general time limit for filing an action with the Tax Court against an assessment and penalty is thirty days. The notification, the type of transaction and any special application provisions are examined separately. Waiting for the report must not leave the time limit unprotected. Requesting the report and its annexes, separating the disputed invoices and examining the accounts can be requested specifically in the petition. 4 For details, see the article what to do if the tax technical report is not notified. The article settlement of tax penalties treats this subject under a separate heading.

The effect of the lawsuit on collection is assessed within the framework of Article 27 of the Administrative Procedure Law No. 2577 (İYUK). If the administration has issued a correction request or the taxpayer has filed a corrected return, this may have a separate legal consequence. Making a VAT refund subject to examination is also not always the same as annulment of the assessment; the act taken on the refund and the application route must be determined separately. After an annulment decision, the carried-forward VAT and the assessment and collection records should be arranged in line with the decision. The article stay of execution in tax cases treats this subject under a separate heading.

Conclusion

In a fake invoice allegation, the strength of the defense comes not from a single document but from consistent records that explain the transaction as a whole. The invoice, supplier, delivery, payment and tax record must be linked, and the administration’s adverse findings must be discussed by period and by transaction. VAT deduction, acceptance of expenses, tax penalty and personal criminal liability must each be addressed under its own separate conditions.

Frequently Asked Questions

I paid by bank transfer. Is that enough?

It cannot be said to be sufficient on its own. The delivery and payment must be matched as described in the section “Does payment by bank prove that the invoice is genuine?” Return to the related explanation

Does being an e-invoice prevent a fake document allegation?

No. The electronic form does not by itself establish that the underlying performance took place. The substantive and recording requirements in the section “On what conditions is the VAT deduction disputed?” apply. Return to the related explanation

Does every adverse finding about a supplier bind the buyer?

The link between the finding and the buyer’s transaction and period must be assessed. The section “How are findings about the supplier assessed?” explains the drawbacks of drawing a general conclusion from a single data point. Return to the related explanation

Are a tax case and a criminal file the same?

No. The different conditions explained in the section “How are the tax penalty and the criminal investigation distinguished?” apply; nevertheless, the consistency of factual statements must be maintained. Return to the related explanation
