Summary

Compare settlement, the discount under Article 376 of the Tax Procedure Law (VUK) and lawsuit options for a tax penalty. Learn the 2026 limit, application deadlines and the difference from the tax principal.

When a tax penalty is served, settlement, the discount under Article 376 of the Tax Procedure Law (VUK) and a lawsuit before the tax court do not produce the same result. Settlement is an agreement on the amount of the penalty within the settlement scope, the discount reduces the penalty by a set rate under statutory conditions, and a lawsuit provides judicial review of whether the action was lawful. When choosing, the tax principal, the penalty, interest, ability to pay and the grounds for a lawsuit must be assessed separately. Under the new settlement regime, the tax principal is outside the scope. 1 2

This article compares the options under the legislation checked on October 13, 2026. Transitional provisions must be reviewed separately for earlier applications. There is no single “most advantageous route”: the assessment differs between a file with a strong ground for annulment and a file where the factual findings are accepted but the payment burden should be reduced.

The first distinction: is the tax principal or the penalty disputed?

Is the tax principal subject to settlement?

Following the amendment made by Law No. 7524, the tax principal, both before and after assessment, has been removed from the scope of settlement under the new regime. There are statutory exceptions for the penalties that can be settled. Because the transitional provision may subject earlier applications to the old rules, the date of the application must be checked. 1 2

If the tax principal is to be disputed, a lawsuit against the tax must not be allowed to lapse on the assumption that a settlement request for the penalty is enough. Even where the tax and the penalty appear in the same assessment notice, separate decision lines for the tax and the penalty are useful. The effect of the outcome of a tax lawsuit on a settled penalty must be considered together with the finality provisions of the settlement; no signature should be made on the assumption that the settled penalty is automatically cancelled.

How is the total cost compared?

The discount rate on the penalty alone can be misleading. The tax principal, late-payment interest, the payment date, litigation costs and any possible financing cost must be calculated separately. The amount a settlement commission will offer cannot be guaranteed in advance. Nor can a definite result or a fixed end date be promised for a lawsuit.

In a hypothetical file, the penalty may fall considerably while the tax principal and the interest burden stay the same. On the other hand, the value of a strong legal objection that could remove the tax principal cannot be measured by the penalty discount alone. The decision must be taken together with the evidence in the file and the payment plan.

How does the penalty discount under VUK Article 376 work?

Application and payment conditions

Under the general framework, an application is made to the competent tax office within 30 days of notification of the assessment notice. The tax or tax difference, and the penalty remaining after the discount, must be paid on the due date or within three months from the end of the due date, or a guarantee must be provided as specified in the law and an undertaking to pay given. The condition of not filing a lawsuit is also taken into account. Making an application does not mean that a discount on the tax principal has been obtained. 1

The payment schedule must be part of the application file. The guaranteed option is not an unconditional additional period of three months. A payment deferral should not be assumed without checking the type and acceptance of the guarantee. Failure to pay the undertaken tax and penalty on time may result in the loss of the right to the discount.

The 50% and 75% discount distinction

In the general application of VUK Article 376, half of the penalty is discounted. For procedural penalties and special procedural penalties not exceeding 40,000 TL in 2026, the discount rate rises to 75% under the relevant conditions. This threshold does not provide a general 75% discount for tax loss penalties. The total penalty per act is taken into account. 1 3

For example, merely to illustrate the calculation: if a 75% discount is applied to a 32,000 TL special procedural penalty within the scope, the remaining penalty is 8,000 TL. This example is not a statutory penalty schedule for any violation; it assumes that the special scope and the application and payment conditions are met. The same 75% rate cannot be applied automatically to a tax loss penalty of the same amount.

Does every penalty fall within the discount scope?

Special procedural penalties imposed because the guarantee under the third and subsequent paragraphs of VUK Article 153/A was not provided or was not completed in time fall outside the special scope. On the other hand, for tax loss penalties that are closed to settlement because of a link to smuggling, the discount conditions may be assessed separately. A prohibition on settlement and a prohibition on discount must not be treated as the same. 1 4

Scope and application for post-assessment settlement

Post-assessment settlement arises for penalties within scope that are notified in the assessment notice. The general request period is 30 days from the day following notification. For tax loss penalties, the acts under Article 359 and other exceptions apply; for procedural and special procedural penalties, the monetary limit and special out-of-scope cases must be checked. 1 5

In 2026, the general monetary condition is that the procedural or special procedural penalty exceeds 40,000 TL. An amount of exactly 40,000 TL does not exceed this limit. Communiqué No. 592 includes an explanation that, when determining the scope of post-assessment settlement, the limit valid on the date of notification of the assessment notice is the one to apply. The fiscal year to which the penalty amount belongs and the year of the settlement scope limit are not the same matter. 3 6

Documents needed for the application and the meeting

The assessment notice, the notification record, the application petition, documents showing the power of representation and a reasoned summary of the file should be prepared. If a company’s representative or attorney attends, the power of representation and the authority to settle must be explicit. Attending a meeting as an adviser is different from being authorised to sign the minutes on behalf of the taxpayer.

The petition must be submitted in the proper form to the competent commission or tax office, and a receipt must be kept. Saving an electronic application as a draft must be distinguished from sending it. Even if the application was directed to the wrong commission, the penalty being entirely outside the scope does not produce the same consequences.

When is pre-assessment settlement considered?

Pre-assessment settlement arises for penalties within scope during the examination process. It may be requested from the start of the examination until the final minutes are drawn up; in cases proceeding by invitation, the specific time limits must be reviewed separately. Waiting for the assessment notice before applying may cause this route to be missed. 1 7

Pre-assessment and post-assessment settlement are not two independent rights to try. If settlement cannot be reached or secured in the earlier process, there are restrictions on moving to the later settlement. On the other hand, a timely and properly made withdrawal may be assessed differently. No definite result should be stated before the sequence of the request, invitation, withdrawal and minutes in the file has been established. For details on the subject, see the article on settlement of tax penalties.

The decision made during the examination stage must not be based only on the expected discount, without a full understanding of the assessment of the file, the reasons for the penalties and the grounds of the tax base. The effect of the report findings, the likelihood of a lawsuit against the tax principal and the payment plan must be assessed together.

What happens if settlement is reached or not?

Finality of the settled penalty

For matters determined in the settlement minutes, there are limits on lawsuits and complaints. Under the new regime, no further discount is applied to a settled penalty. Information about a discount on a settled penalty found in older sources must not be carried over automatically to the current file. Before the minutes are signed, the scope, the amount and the power of representation must be checked again. 1 2

Failure to pay a settled penalty on its due date does not automatically void the settlement and revive the former right to sue. It may have consequences for the collection of the debt. This differs from failure to meet the payment condition for the discount under Article 376 of VUK. Settlement must not be signed on the basis of “if I do not pay, I will file a lawsuit again”. 1 5

Lawsuit deadline if no settlement

If a valid post-assessment settlement process does not result in a settlement or the settlement cannot be secured, the relevant minutes and notification are monitored. If the lawsuit deadline has expired or has less than 15 days left, a 15-day period from notification of the minutes is applied under the statutory provision. This period is not automatically transferred to the tax principal outside the settlement. 1

An application outside the scope, or an application without a time limit, cannot be assumed to provide the same protection. The GİB statement of 2026 also indicates that for requests outside the scope, the general 30-day rights run from notification of the assessment notice. The admissibility of the application must be examined at the outset. 5

Can one move from discount to lawsuit, or from settlement to discount?

It is possible to bring a lawsuit within the statutory period by withdrawing the discount request; a discount application does not on its own create a new lawsuit period. Turning to the discount after a lawsuit has been filed is also not unlimited: the GİB statement stresses the conditions for withdrawing from the lawsuit before the 30-day application period expires and before the court has decided. 1 4 This topic is also covered in the article on discounts for tax penalties.

Until the settlement minutes are signed, it is possible to request application of VUK Article 376 by withdrawing the settlement request; there is a separate provision for this. This transition does not mean adding a second discount to a settlement already signed. The stage of the application, the status of the tax principal and the payment conditions must be assessed together. 1

A waiver of a lawsuit is a procedural step with potentially serious consequences. It must not be made merely in the expectation of a certain discount on the penalty, before the practical availability of the discount and the payment conditions have been verified. The petition must state clearly which proceedings are being withdrawn.

Which path should be considered in which file?

File with a strong ground for annulment

Where there are documented objections such as the wrong addressee, an act that did not take place, a concrete calculation error, limitation or the absence of an aggravating condition, the legal value of the lawsuit option should be examined. The rate of discount alone is not a reason to give up these objections. The scope of the tax and penalty under dispute, the stay of collection and the possibility of appeal are also assessed separately. 8

File where the factual findings are accepted

Where the findings are largely accepted and the dispute concentrates on the payment burden, the conditions of the discount and of the settlement can be compared. However, no particular result is guaranteed in a settlement; under the discount too, the payment conditions must be met. If cash flow is insufficient, a “highest discount” that appears advantageous on paper may not be applicable in practice.

File with multiple assessment notices

A separate options table should be prepared for each tax, period and penalty. A settlement scope may exist for one penalty but not for another. A deadline for one act may expire earlier. Rather than dealing with everything under a single heading, a link should be established between the transaction number, notification, last day, option and payment burden.

Conclusion

Choosing correctly between settlement, discount and lawsuit requires first separating the scope of the dispute. The lawsuit timetable for the tax principal, the settlement scope of the penalty and the payment conditions of the discount must be monitored separately. This assessment before an application helps to avoid both loss of time and choices that are difficult to reverse.

Frequently Asked Questions

Can settlement be made on the tax principal?

Under the new regime, the tax principal is outside the scope. The transitional provisions for earlier applications must be reviewed separately. The distinction in the section “Is the tax principal subject to settlement?” should be used as the basis. Back to the relevant section

What is the settlement limit for 2026?

For procedural and special procedural penalties, the general limit is above 40,000 TL. Tax loss penalties and special scope exceptions are assessed separately. See the section “Scope and application for post-assessment settlement”. Back to the relevant section

Is a further 25% discount applied after settlement?

Under the new regime, no further discount is applied to a settled penalty. See the current rule and the distinction for older files in the section “Finality of the settled penalty”. Back to the relevant section

Does a settlement application protect all lawsuit deadlines?

No. The tax principal and out-of-scope applications should not rely on this assumption. The limits described in the section “Lawsuit deadline if no settlement” apply if no settlement is reached. Back to the relevant section

Can I bring a lawsuit after requesting a discount?

Withdrawing from the discount within the statutory period and bringing a lawsuit may be considered. The stage and time conditions described in the section “Can one move from discount to lawsuit, or from settlement to discount?” must be checked. Back to the relevant section
