Corporate Governance, Compliance and Internal Investigation Services for Companies

Corporate governance and compliance law covers a company’s authority and decision-making structure, its statutory obligations, and the processes for preventing, detecting and remedying risks. An internal investigation is the impartial and lawful examination of a specific report or incident.

Güneş & Güneş Law Firm provides legal support from designing the governance structure and compliance program to internal investigations, regulatory reviews and litigation. The type of company, its sector, its countries of operation and the specific facts determine the scope of the work.

Group and sector needs

What Kind of Legal Support Is Needed in Which Situation?

Not every company needs the same policy, and not every report calls for the same investigation method. The first step is to determine the authority, the seriousness of the incident and the approaching time limit together.

On a narrow screen, you can scroll the table horizontally to see the other columns.

Your needInitial legal assessmentTargeted work output
Unclear management decision or authorityReview of corporate bodies, representation, non-delegable duties and conflicts of interest.Authority matrix, decision-making and reporting structure.
New activity or growthA map of obligations based on the company’s sector, countries and business processes.Priority compliance plan, responsible persons and control calendar.

Regulatory review or lawsuitReview of the basis of the request, the competent authority, time limits and defense options.Document submission, defense and dispute strategy.

If there is a report, a data incident or an official request

  • Preserve the records: Do not delete or alter the relevant documents, and do not create records after the fact. A limited preservation and access decision should be determined with the legal and technical team.
  • Determine the time limit immediately: Record the date you learned of the matter and the date of notification. Notice, termination, objection and defense periods may not wait for the investigation report.
  • Protect independence and individuals: Prevent the person against whom an allegation has been made from managing the review; assess the risk of retaliation and of continuing harm.
  • Limit sharing: Do not upload an investigation file, an employee record or a detailed report in an open message to the firm.

A message to the firm is not an official notification or whistleblowing line; it does not stop time limits. If there is a threat to life or an emergency, the competent emergency services should be contacted.

Three topics that should not be confused

Committee and compliance officer

Not every company is required to establish the same committees or to appoint a MASAK compliance officer. The company’s status, field of activity and the scope of the relevant regulation determine this.

Investigation and public authority

An internal review is not a prosecutor’s investigation or a public audit. It does not provide compulsory powers; employee rights and data protection limits continue to apply.

Confidentiality and the duty of disclosure

Engaging an attorney does not exempt every document from disclosure to all authorities. Professional secrecy, the purpose of sharing and requests from competent authorities are assessed separately.

Our Approach

Governance and compliance work is not merely preparing a policy file. Who will make the decision, who will apply the control, and how the outcome will be monitored are determined together. In an internal investigation, the aim is not to confirm a conclusion chosen in advance, but to make the facts, counter-statements and legal options visible.

01

We Understand the Institution’s Structure and Real Risk

The business model, ownership and group structure, regulatory status, chain of decisions, workforce, data flows, third parties and past incidents are reviewed together. Instead of a ready-made template, a framework suited to the institution’s risks and resources is built.

02

We Make Management Responsibility Concrete

It is determined what information the management body, committees, senior management and control functions will receive and when, which decisions they will make, and how decisions will be recorded. Oversight responsibility is not confused with intervention in operational work.

03

We Address the Legal, Human and Technology Dimensions Together

A compliance or investigation problem is not solved by legal text alone. Process design, access authority, the employment relationship, corporate culture, information security and technical systems are assessed together within legal limits.

04

We Set Independence and Confidentiality Limits at the Start

Engagement, conflicts of interest, reporting line, access to information, the attorney–client relationship and sharing limits are determined before the investigation begins. It is taken into account that an attorney’s participation in the process does not automatically exempt every document from disclosure, and that protection depends on the nature of the incident, the purpose and the applicable law.

05

We Track Statutory Time Limits from Day One

Calendars such as the termination periods under the Labor Law (İş Kanunu), data breach notification, notification to the regulatory authority, statute of limitations, contractual notice and insurance notice are tracked separately. It is not assumed that opening an internal investigation automatically stops all time limits.

06

We Make the Basis of the Decision Traceable

The link between source, finding, contradiction, limitation, legal assessment and decision is established. The aim is for a management decision to be explainable later before shareholders, employees, a court, an auditor or a regulatory authority.

07

We Distinguish Local and Cross-Border Rules

A group policy, an instruction from a foreign parent company or an international investigation protocol is not applied as is in Türkiye. Employment law, personal data, cross-border transfer, communications and criminal law limits are reviewed; where necessary, a joint plan is carried out with qualified legal professionals in the relevant countries.

08

We Turn the Outcome into Institutional Learning

An investigation report is not left as a closed file. It is turned into improvement needs in decisions, controls, incentives, policies, training, data and management oversight; those responsible and closing criteria are tracked.

Detailed Service Topics in Corporate Governance and Compliance

You can review the main and detailed service topics under the headings below. The work is planned according to the company’s obligations, the scope of the incident and the assignment undertaken.

Corporate bodies and decision-making structure

Legal Analysis of the Corporate Governance Structure

The company type, ownership structure, group relationships, public listing, regulated sector, countries of operation and management model are reviewed. The duties and reporting lines among the general assembly, board of directors, managers, senior management, committees and control functions are determined.

The existing articles of association, internal directives, organization chart, representation structure and actual decision-making practice are compared. Differences between authority on paper and day-to-day practice are reported in terms of liability, invalid transactions, conflicts of interest and oversight risk.

Articles of Association, Internal Directives and Governance Documents

The articles of association, the internal directive of the general assembly, the working rules of the board of directors, the structure of the board of managers, signature and representation directives, committee charters and governance policies are prepared or updated.

The documents should not make statutory duties and powers impossible to apply in practice; they should be consistent with the company type and registration practice. The effect of a contractual allocation of authority toward third parties and the company’s bodies is assessed separately.

Authority Matrix, Delegation and Segregation of Duties

Authority and approval levels are determined for financial, commercial, human resources, procurement, contract, litigation, data, technology and public relations decisions. Processes in which one person holds the authority to initiate, approve, pay and record are separated on a risk basis.

Delegation of authority does not remove the management body’s non-delegable duties under the law or its oversight responsibility. Powers of attorney, signature circulars, internal directives, bank instructions and system permissions are kept consistent with the same authority architecture.

Delegation of management under Turkish Commercial Code (TTK) Art. 367 is not the same as the power of representation. In a joint-stock company the non-delegable duties under Art. 375, and in a limited liability company those under Art. 625, are protected separately. The effect of internal authority limits on third parties requires a separate legal review.

Duties and Liabilities of the Board of Directors and Managers

The management body’s duties of care, loyalty, regard for the company’s interest, oversight, financial control, risk management, loss of capital, over-indebtedness, books and reporting are assessed for the specific transaction.

A decision protocol is established so that decisions rest on sufficient information, the agenda and attachments are provided on time, dissenting views and reservations are entered in the minutes, and implementation is followed up. A board decision may not by itself remove liability where there is no actual oversight and follow-up.

Board Committees

The audit committee, corporate governance committee, committee for the early detection of risk, and the remuneration and nomination functions are structured according to the company’s public listing, size and the legislation it is subject to.

Committee membership, independence, charter, meeting calendar, access to information, reporting and escalation to the board of directors are put in writing. Establishing a committee does not by itself transfer the board’s ultimate oversight responsibility.

Early Detection of Risk and Enterprise Risk Management

Strategic, financial, operational, legal, regulatory, technology, data, people and reputational risks are defined using a common method. In addition to likelihood and impact, the speed at which the risk may arise, existing controls, the responsible person, tolerance and the escalation threshold are determined.

Risk records are not kept merely as an annual presentation. Critical indicators, incident reports, audit findings and corrective actions are reported to the management body in a measured and regular manner.

TTK Art. 378 provides a special committee obligation for companies whose shares are traded on a stock exchange. For other companies, the case in which the auditor considers it necessary and notifies the board of directors in writing is assessed separately; the same establishment requirement is not assumed for all companies.

Shareholding, groups and family companies

Groups of Companies and Group Governance

Instructions, information, financing, services, data, brand and manager relationships among the parent company, subsidiaries, affiliates, joint ventures and branches are reviewed. How group policies affect the statutory responsibility and decision-making authority of the local company’s bodies is determined.

An approval and contract structure is established for intra-group service and cost sharing, data transfers, joint procurement, security, cash management and reporting. A foreign parent company’s policy is adapted to local law before it is applied directly in Türkiye.

Conflicts of Interest and Related-Party Transactions

A structure of disclosure, recusal, independent assessment, approval and recordkeeping is established for actual or potential conflicts of interest among managers, shareholders, employees, suppliers, advisers and closely related persons.

In related-party transactions, price, terms, the company’s interest, decision quorum, public disclosure, valuation and reporting obligations are reviewed according to the company’s status. Disclosing a conflict of interest does not automatically make the transaction lawful.

Shareholder Rights, Transparency and General Assembly Processes

The rights to obtain information and inspect, to attend the general assembly, to vote, to receive dividends, special audit, minority rights and the principle of equal treatment are built into the governance structure. Information asymmetry among shareholders and the application of privileges are assessed together with the articles of association and the law.

The general assembly agenda, the call, representation, electronic participation, resolution and registration processes are prepared. While trade secrets and personal data are protected, unnecessary restriction of shareholders’ statutory information rights is prevented.

Corporate Governance in Publicly Held Companies

The Corporate Governance Communiqué (Kurumsal Yönetim Tebliği), mandatory and voluntary principles, board independence, committees, investor relations, related-party transactions, common and continuing transactions, and corporate governance reporting are reviewed.

Compliance reports are kept consistent with the company’s actual practice. Explanations under “comply or explain” are not left in general or repetitive wording; the reason, risk, alternative practice and future plan are written accurately.

The scope and exceptions of the Capital Markets Board (SPK) Communiqué No. II-17.1, the company’s group and current Board decisions are checked together. Mandatory principles are distinguished from principles subject to disclosure.

Family Companies and Institutionalization

Family, ownership and management roles are separated; structures are prepared for the family council, the family constitution, the board of directors, professional management, share transfers, succession, dividend distribution, employment and dispute resolution.

It is clearly distinguished which provisions of a family constitution are moral commitments and which gain legal effect through the articles of association, a shareholders’ agreement or a corporate resolution. Generational transition, inheritance and the continuity of the company are planned together.

Compliance program and financial crime risks

Compliance Risk Assessment and Program Design

The company’s products, customers, suppliers, public relations, payment channels, countries, workforce structure, data, licenses and past incidents are reviewed. Risks are identified not by legislative heading but through actual business processes and points of contact.

The program is built from the components of management oversight, responsible persons, policy, controls, training, reporting channels, investigation, monitoring, reporting and corrective practice. The same control is not used for every risk; more intensive controls and records are applied to high-risk processes.

Code of Ethics and Corporate Policies

The code of ethics creates a common framework of conduct on integrity, conflicts of interest, gifts and hospitality, relations with public officials, confidentiality, data, discrimination, competition, company assets, accuracy of records and reporting.

Policies are not written merely as lists of prohibitions. The approving authority, monetary or qualitative limit, exceptions, records, advisory channel, consequences of a breach and the person responsible for updates are specified. Provisions of global policies that conflict with local legislation are adapted.

Anti-Bribery and Anti-Corruption Programs

Relations with the public and private sectors, intermediaries, advisers, commissions, facilitation payments, gifts, hospitality, travel, donations, sponsorships, political contributions, and tender and license processes are reviewed on a risk basis.

Controls are established for third-party onboarding, contracts, payment verification, proof of services, management approval and periodic renewal. Where foreign anti-bribery legislation may apply, coordination is ensured with qualified legal professionals in the relevant country.

Prevention of Money Laundering and Terrorist Financing

Whether the company is an obligated party under Law No. 5549 and the related regulations; and its obligations regarding customer due diligence, beneficial owner, risk management, monitoring, suspicious transaction reporting, continuous information, retention and training are reviewed.

Compliance program and compliance officer requirements are structured according to the obligated group. The confidentiality of a suspicious transaction report and the rules against disclosing that a report has been made are treated separately from ordinary reporting channels and management reporting. The details are covered on the page AML Compliance and Financial Investigations (a page currently available in Turkish only).

Under Law No. 5549 Art. 4/2, the fact that a suspicious transaction report has been made may not be disclosed to anyone, including parties to the transaction, other than the examiners assigned to supervise compliance with obligations and the courts during judicial proceedings. Reporting to the general assembly or in management reports does not lift this special confidentiality rule.

Sanctions, Export Controls and Country Risk

Connections involving parties, countries, products, services, payments, banks, transport and end use are assessed. In addition to the regulations in Türkiye, foreign sanctions and export control rules that may apply because of a contract or cross-border transaction are reviewed with local legal professionals.

A screening result such as a name similarity is not treated as an automatic violation. Identity verification, the sanctions program, scope, license, exceptions, and any blocking or notification obligation are determined in the specific case.

Competition Law Compliance Program

Contact with competitors, pricing, distribution, exclusivity, online sales, information exchange, tenders, trade associations, employee mobility and dominant position risks are reviewed according to the company’s processes.

A management message, a protocol for contact with competitors, a plan for on-site inspections, contract review, training, reporting channels and an internal review structure are established. The details of competition violations, Competition Authority investigations and merger control are covered on the page Competition Law (a page currently available in Turkish only).

Data, employee and counterparty risks

Personal Data and Data Governance

Oversight of data responsibility by the management body is established through a data inventory, access, retention, suppliers, cross-border transfer, breaches, data subject requests and reporting on technical and administrative measures.

A compliance monitoring or internal investigation purpose does not permit unlimited processing of the data of employees and third parties. Processing conditions, the privacy notice, purpose limitation, proportionality, access and destruction obligations are handled in coordination with the page Data Protection and Privacy (a page currently available in Turkish only).

The conditions for cross-border transfer under KVKK Art. 9 are also reviewed for remote access by a foreign parent company and for cloud systems. In a breach notification where personal data have been obtained unlawfully, under Personal Data Protection Board decision No. 2019/10 the basic rule is notification to the Board without delay from the time of learning and within 72 hours at the latest, and notification to the affected persons in the shortest reasonable time. The same notification regime does not apply to every cyber incident.

Cybersecurity and Incident Governance

The duties of the management body and of the information technology, information security, legal, compliance, communications and business continuity teams are determined within a matrix of cyber risk, incident escalation, decision and reporting.

Cybersecurity Law No. 7545, personal data, electronic communications and sector-specific security obligations are reviewed according to the company’s scope. A law firm does not perform technical penetration testing; it manages the consequences of technical findings for notification, liability, contracts and disputes. The details are found on the page Cybersecurity Law (a page currently available in Turkish only).

Employment Law Compliance Program

Hiring, working conditions, pay, performance, overtime, leave, remote work, equal treatment, occupational health and safety, discipline, termination and personnel file processes are reviewed in terms of legislation and actual practice.

Employer policies are aligned with the limits of the employer’s right to direct work, employee privacy notices, the disciplinary procedure, and defense and decision-making authority. Collective bargaining agreements, workplace practice and contractual entitlements are also taken into account.

The six business days and one year in Art. 26 of Law No. 4857 relate to the power to terminate on the basis of conduct contrary to the rules of morality and good faith. The one-year limit does not apply where the employee obtained a financial benefit. When the knowledge arose with respect to the competent authority, and the effect of the investigation, are examined in the specific case; opening a process is not an automatic suspension of the time limit.

Human Rights, Equality and Workplace Codes of Conduct

A structure of prevention, reporting, review and remediation is established for discrimination, harassment, sexual harassment, psychological harassment, retaliation, forced labor, child labor and human rights risks in the supply chain.

Equal treatment and inclusion policies are not left as abstract commitments. Measurable controls are placed at decision points such as hiring, promotion, pay, assignment, performance, termination of the employment relationship and workplace accessibility.

Third-Party and Supplier Compliance Review

Risk classification is carried out when accepting intermediaries, distributors, representatives, advisers, subcontractors, suppliers and business counterparties. Ownership and management structure, beneficial owner, public connections, reputation, sanctions, conflicts of interest, qualifications, scope of services and payment terms are reviewed.

The intensity of the review is determined in proportion to the risk. Contract provisions are supported by mechanisms for verification, records, audit, subcontractors, training, notification, suspension and termination. Periodic monitoring and event-based renewal are applied after onboarding.

In compliance review before mergers and acquisitions, past violations, open regulatory proceedings, intermediaries and control gaps are also assessed. The findings are matched with the transaction documents, closing conditions and the post-acquisition remediation plan.

Ethical culture and sector-specific practice

Ethics Reporting and Whistleblowing Systems

Accessible and secure channels are designed through which employees and, where necessary, third parties can raise concerns. The scope of the channel, responsibility for operating it, options for anonymous or identity-protected reports, acknowledgment of receipt, feedback, escalation and retention rules are put in writing.

No promise of absolute confidentiality or of anonymity in every case is given. Access to information is limited to persons who need to know by virtue of their duties; the prohibition of retaliation is announced and monitored. The reporting channel is kept separate from the general inquiry form and from marketing infrastructure.

Gift, Hospitality, Donation and Sponsorship Controls

Risk-based rules are established for gifts, meals, travel, accommodation, events, donations, sponsorships, social investment and political contributions, based on amount, frequency, purpose, party, timing and public connection.

Prohibition, pre-approval, after-the-fact notification and recording categories are distinguished. Fragmented transactions and repeated benefits to the same person are aggregated; the true purpose and beneficiary of transfers made under the label of marketing or corporate social responsibility are examined.

Sustainability and ESG Governance

A structure is established for management oversight, authority, data ownership, risk and opportunity assessment, report approval and assurance readiness on sustainability matters. Whether the company falls within the mandatory scope of the Türkiye Sustainability Reporting Standards is examined according to the year, thresholds and the nature of the company.

It is ensured that statements on climate, human rights, workforce, supply chain and governance rest on verifiable records. Voluntary reporting, advertising and financing statements are also examined for the risk of misleading disclosure and contractual liability.

ESG refers to environmental, social and governance matters. Sustainability reporting and assurance obligations are determined according to the current scope of the Capital Markets Board (SPK) and the Public Oversight, Accounting and Auditing Standards Authority (KGK) for the company concerned; the same reporting requirement is not assumed for every business. Technical measurement and independent assurance fall within the field of competent experts.

Sector-Specific Compliance Programs

In finance, insurance, energy, tourism, health, pharmaceuticals, food, electronic communications, transport, defense, retail, e-commerce and other regulated fields, licensing, notification, advertising, pricing, consumer, data, record and audit obligations are mapped according to the company’s operating model.

Instead of a single general policy, checklists, approval flows and exception routes that business units can use at the moment of decision are established. Responsibility and an update calendar are set for decisions of regulatory authorities and changes to secondary legislation.

Licensing, customer, data, procurement and employee risks differ in tourism, health, finance, energy, retail, technology and manufacturing. A single compliance document does not replace all permits or sector-specific audits.

Compliance Training and Corporate Communication

Training content is differentiated by risky duty and scenario rather than by title. Different modules are prepared for the board of directors, sales, procurement, public relations, human resources, finance, information technology and high-risk third parties.

Recording attendance is not by itself treated as an indicator of effectiveness. Scenario questions, knowledge checks, behavioral indicators, analysis of results and a repeat program are used. Management’s messages should be consistent with actual decisions and the incentive system.

Monitoring, accountability and improvement

Compliance Monitoring, Testing and Management Reporting

The existence, design and actual operation of a control are examined separately. Sampling, data analysis, transaction testing, exception review, surveys and interviews are used according to the nature of the risk.

The management report shows not only the number of trainings but also reporting trends, review duration, recurring causes, overdue corrective actions, control gaps and residual risk. The reporting gives the decision-maker sufficient information without unnecessarily spreading personal data.

Compliance Unit, Committee and Responsible Persons Structure

The job description, reporting line, budget, access to information, independence and direct access to the management body of the compliance officer or unit are determined. Appointments required by law are not confused with the company’s voluntary compliance structure.

The allocation of duties among the legal, internal audit, risk, human resources, information security and finance units is put in writing. An alternative reporting route is established for situations in which the compliance unit audits its own practice or has a conflict of interest with the subject of the review.

Policy Implementation and Corrective Action Management

Implementation is not considered complete once a policy is published. The process owner, technology requirement, training, transition date, exceptions, audit and reporting steps are tied to an implementation plan.

After a violation or control gap, corrective action is tracked with a responsible person, target date, priority, dependency, evidence and closure approval. Interim measures and permanent solutions are shown separately; delay and risk acceptance are reported to the competent body.

Root Cause Analysis, Improvement and Follow-Up

An investigation is not closed with a decision on individual responsibility alone. Incentives, targets, management conduct, role ambiguity, control design, resources, training, technology and oversight gaps are examined with a root cause method.

The completion and effect of corrective actions are verified separately. Whether a similar risk exists in another unit, company or country is investigated; a closure and residual risk report is presented to the management body.

Establishing an internal investigation

Preparing for Internal Investigations and the Incident Response Protocol

Before a report arrives, protocols are prepared for case intake, urgent escalation, authority, conflict-of-interest check, record preservation, data access, interviews, reporting, discipline, contact with regulatory authorities and corrective action.

It is determined which incidents will be referred to the board of directors, the audit committee, the data breach team, the occupational health and safety team or external legal counsel. The communication channels and decision records to be used in emergencies are defined in advance.

Initial Assessment and Case Classification

The allegation in the report, the parties, time, place, source, likely harm, continuing risk and existing records are reviewed at the first stage. A report may need to be referred to an investigation, a management resolution, an occupational health and safety process, a data breach response or another channel.

The initial assessment is not a definitive decision on the truth of the allegation. Its purpose is to stop urgent harm, prevent retaliation, preserve records and determine statutory time limits.

Investigation Governance, Independence and Conflicts of Interest

The authority commissioning the investigation, the team conducting it, the body that will decide and the persons who will receive the report are determined separately. If the allegation concerns senior management, the legal unit, the compliance officer or a member of the board of directors, an independent reporting line is established.

The prior role, personal relationships, decision responsibility and knowledge of the incident of the team members are disclosed. Independence is ensured not by title alone but by engagement, budget, access to information and freedom to report.

Investigation Plan, Scope and Review Standard

The allegations, the period to be examined, legal questions, data sources, persons to be interviewed, the need for experts, target timeline and reporting format are tied to a written plan. The scope may be expanded or narrowed, with reasons, as new findings emerge.

The standard to be used in the assessment is determined at the outset. A company’s internal administrative review is not a criminal trial; nevertheless, instead of assumptions it should rely on consistent, verifiable and lawfully obtainable records.

Record Preservation, Data Collection and Access

Automatic deletion, document destruction or account closure is suspended, limited to the necessary scope and period. For email, messaging, business applications, access logs, camera footage, financial records and device review, ownership, processing condition, privacy notice, purpose, scope and access authority are assessed.

The collection is recorded with its source, date, method, responsible person and integrity check. Personal accounts and devices do not become an area of unlimited review merely because an investigation has been opened; narrower and more suitable methods are considered first.

  • Scope: The person concerned, data source and date range.
  • Authority and method: Legal basis, access, person responsible for collection and process record.
  • Integrity: Source, time, copying and verification information.
  • Retention: Review of the preservation and the criterion for lifting it.

Document Review and Incident Chronology

The collected records are classified according to the investigation questions. Keyword, date range, person, transaction and subject filters are used in a way that reduces unnecessary data spread.

The incident chronology shows the source, time period, level of certainty and conflicting records. A missing record or silence is not automatically treated as evidence of a particular conclusion. Document review is used to determine the order of interviews and the need for additional data.

Interviews, decision and legal process

Witness and Employee Interviews

The purpose of the interview, the participants, the confidentiality limit, the prohibition of retaliation, the method of note-taking or recording and the follow-up process are explained at the start. Questions begin open-ended, and leading and accusatory language is avoided.

Before a decision is made on the allegation, the person concerned is given information sufficient to understand the accusation and to respond meaningfully. The scope of disclosure is balanced in the specific case in view of witness safety, personal data, trade secrets and the integrity of the investigation.

The employee is told the purpose of the review, the role of the interviewers and the confidentiality limits. The interview record is not treated as equal to the defense process that may be required before termination; the contract, internal policy and legal conditions are checked separately.

Digital Forensics and Technical Expert Coordination

Recovery of deleted files, disk images, mobile devices, server logs, email archives, access analysis, accounting tests or other technical examinations are carried out by competent experts. The law firm does not claim to perform the technical examination; it coordinates the legal scope, the data boundary, the instruction and the use of the report.

The expert’s independence, method, competence, information security and subcontractors are reviewed. Technical findings and legal characterization are kept separate; uncertainties in the expert report are preserved in the conclusion text.

Interim Measures and Prevention of Retaliation

Where there is a risk to life or occupational safety, data loss, continuing harm, pressure, interference with witnesses or retaliation, interim measures are assessed. Measures such as restricting access, changing the reporting line, separating duties or leave are applied without a punitive purpose, proportionately and for a limited time.

For persons who file a report, provide information or take part in the investigation, decisions such as performance, shifts, promotion, pay, exclusion and termination of the employment relationship are monitored. Bad faith is not inferred merely from the fact that an allegation could not be verified.

Unpaid leave, a reduction in pay or a material change in working conditions should not be applied as an advance investigation measure. Within the framework of Labor Law Art. 22, the contract and the specific risk, the necessary procedure, employee consent and lighter alternatives are assessed.

Legal Assessment, Report and Decision

The report shows the engagement, scope, method, sources reviewed, limitations, events, contradictions, legal framework and the conclusion for each allegation separately. Fact, interpretation and legal opinion are not mixed.

The decision belongs to the competent corporate body. Consistency in similar incidents, the seriousness of the violation, intent, management role, repetition, cooperation, harm, policy and employment law rules are assessed together. That an allegation could not be verified does not necessarily mean it is unfounded.

Official Notification, Regulatory Process and Dispute Coordination

Where the incident falls within a personal data breach, workplace accident, crime, market violation, competition violation, money laundering risk or sector-specific regulation, the options of notification, application, voluntary disclosure or cooperation are examined separately.

Legal obligation, time limit, competent authority, scope of disclosure, personal data, trade secrets and the effect on any ongoing investigation are addressed together. Criminal, employment, commercial and administrative disputes, together with insurance and contractual notifications, are coordinated in a single incident plan.

Administrative sanctions, management liability, employment, commercial receivable and damages lawsuits; criminal complaints or criminal investigations; and, where the conditions are met, mediation, arbitration and legal remedies require different procedures. The option of cooperation with the authority, defense rights and special prohibitions on disclosure are assessed together.

What Concrete Outputs Are Obtained at the End of the Work?

Depending on the scope of the work, the following documents and implementation tools may be prepared. It is not necessary to produce all documents for every project; priorities and deliverables are determined at the time of engagement.

Management and accountability

  • Authority and approval matrix; job descriptions of bodies and committees.
  • Protocol for decisions, conflicts of interest and related-party transactions.
  • Management report, agenda and decision follow-up structure.

Compliance and daily practice

  • Legislation/risk map; matching of responsible persons, controls and calendar.
  • Code of ethics, topic policies and a training plan suited to the role.
  • Third-party review and periodic control checklists.

Internal investigation

  • Independence assessment, assignment and review plan.
  • Record preservation instruction, interview plan and incident chronology.
  • Report with supporting and contrary findings, limitations and legal options.

Post-decision follow-up

  • Corrective action, responsible person and completion criterion.
  • Necessary notifications to authorities and dispute calendar.
  • Re-testing of the control and reporting of residual risk.

Internal control, internal audit and other oversight tools

Public review / criminal investigationTo conduct an audit, investigation or sanction process on behalf of the public by statutory authorityCompetent administrative authority, public prosecutor’s office or law enforcementOfficial record, request, defense, decision, indictment or other public act

These structures may exchange information with each other; however, their duties and independence are not the same. If the compliance unit investigates its own practice, or the manager against whom a report is directed controls the review, impartiality is undermined. An internal audit finding may trigger a legal investigation; conversely, not every control deficiency means an employee offense or a disciplinary violation.

Monitoring and improvementIs the program really implemented and are the gaps being closed?Control testing, data analysis, management report and corrective practice

Having ready-made policy texts signed in the company’s name does not produce effective compliance unless actual operations change. Who will carry out the control, how often, with what data and with what record should be determined. That a violation has occurred does not in itself show that the program is entirely worthless; nor does the absence of violations in itself show that the system is effective.

PrinciplePractical requirement
LegalityAuthority, employment law, personal data, communications, criminal law and sector-specific rules are built into the investigation plan.
IndependencePersons with an interest in or duty connected to the allegation are removed from the investigation and decision line.
ConfidentialityInformation is disclosed only to persons who need it by reason of their duties and to the necessary extent; no promise of absolute confidentiality is made.
ImpartialityRecords pointing both ways are examined, without treating the report as true, false or incomplete.
Right to be heard and to explainThe person against whom an allegation has been made is given the opportunity to give a meaningful explanation before a decision.
Proportionality and data minimizationQuestions, data sources, date range, access and retention are limited to the area necessary for the legitimate purpose.
Record integritySource, time of acquisition, processing history and integrity check are recorded.
Acting in timeUrgent risk, statutory notifications and preclusive periods are determined at the start; delay is justified.
Prevention of retaliationThe risk of adverse action for reporting and for taking part in the investigation is monitored and necessary measures are taken.
ImprovementThe outcome is turned into policy and control changes; the implementation and effect of activities are tracked.

How Is an Internal Investigation Conducted?

Steps may proceed in parallel according to the risk of the incident. Necessary protection or statutory notification is not delayed to await the final report.

  1. Receipt of the report or incident: The channel, acknowledgment of receipt, initial information and confidentiality limit are determined.
  2. Urgent protection and time limit check: Life, occupational safety, continuing harm, retaliation, data loss and statutory time limits are assessed.
  3. Initial assessment: The allegation, parties, risk, authority and the appropriate process are classified.
  4. Governance and plan: The commissioning authority, independent team, decision-making body, scope, method and target timeline are put in writing.
  5. Record preservation and collection: Sources are preserved and collected under rules on processing conditions, access, integrity and retention.
  6. Review and chronology: Records are reviewed question by question, and the sequence of events and information gaps are established.
  7. Interviews: Witnesses and persons concerned are heard in an appropriate order; follow-up is carried out for new information.
  8. Assessment and decision: For each allegation, the facts, law, limitations and conclusion are reported; the competent body decides.
  9. Notification, remediation and follow-up: Necessary official or contractual steps are taken; root cause, corrective action and residual risk are monitored.

How Can You Prepare for the First Consultation?

You do not need to have prepared all of the documents. In your first communication, it is enough to state the company’s activity, the general nature of the need and any approaching time limit.

  1. Establishment and governance documents

Company/group structure; articles of association, internal directive, shareholders’ agreement, committees and authority matrix.

  2. Existing compliance structure

Code of ethics, policies, risk and audit reports, training, supplier onboarding and case management procedure.

  3. General framework of the incident

Subject of the allegation, the companies/countries concerned, date of learning, decision-making authority and potential conflicts of interest. Do not write the details in an open message.

  4. Urgent risks and time limits

Official requests, termination/notification periods, possibility of data loss, interim measures taken and continuing harm.

  5. Objective and scope of work

Establishing a program, a review, a specific investigation or a need for litigation; responsible team, language and the need for technical experts.

Preparation file before the consultation

Secure document sharing

Employee records, identity documents, passwords, device copies, trade secrets and detailed allegations are not sent in an open message to the firm. After acceptance of the matter and the conflict-of-interest check, the channel, scope and permissions for sharing are determined.

Acceptance of Engagement, Scope of Services and Communication Arrangements

On whose behalf do we work?

The interests of the company, a shareholder or a manager may not always coincide. The client’s identity, instructions and decision-making authority, the recipient of the report and any potential conflict of interest are determined at the outset. An investigation conducted on behalf of the company does not mean that the personal legal representation of an interviewed employee is also undertaken.

Scope, fee and expert contribution

Analysis of the current situation, program design, a specific internal investigation, ongoing advisory work or a representation assignment are defined separately. The fee is discussed according to the scope in terms of documents/persons/countries, language, urgency and the need for representation. Digital forensics, audit, translation and other expert expenses are explained separately.

After the engagement, the work plan, frequency of communication, secure document channel and authorized contact persons are determined. Matters requiring technical review or foreign law are coordinated with professionals qualified in the relevant field within clearly defined limits of responsibility.

Questions About Corporate Governance, Compliance and Internal Investigations

Is corporate governance only for publicly held companies?

No. There are special and more detailed rules for publicly held companies; however, closed joint-stock companies, limited liability companies, family companies and groups of companies also need a structure of authority, oversight, conflict-of-interest management, risk and accountability.

What is the difference between corporate governance and compliance?

Corporate governance refers to who manages and oversees the company and how; compliance refers to the system established to ensure that activities are carried out in accordance with the law, the code of ethics, contracts and internal rules. In an effective structure, the two areas support each other.

Is every company required to appoint a compliance officer?

No. The obligation to appoint varies according to the field of activity, the nature of the company and special regulations. Even where there is no mandatory appointment, a compliance responsibility and reporting line suited to the size of the risk can be established.

Are internal control, internal audit and compliance the same function?

No. Internal control refers to the measures within business processes; compliance to the management of legal and ethical risks; and internal audit to the independent assessment of governance, risk and controls. Even if duties overlap, responsibility and independence should be kept separate.

What is an internal investigation?

It is the competent, impartial, planned and documented examination of an allegation of a violation or a risky incident within the company. It is not a criminal investigation or court proceeding; it does not replace the powers of public authorities.

Does a report show that a violation has occurred?

No. A report is a source of information that needs to be assessed. The sincerity of the reporting person, the truth of the allegation and the responsibility of the person against whom the allegation is made are not accepted in advance.

Can a manager against whom an allegation has been made run the investigation?

It is not appropriate for the impartiality and credibility of the decision. The engagement and reporting line should be established by a competent body or committee that is not affected by the allegation.

Are anonymous reports reviewed?

Being anonymous is not in itself a reason for rejection. An initial assessment is made according to how concrete the allegation is, its verifiable sources, the seriousness of the risk and the possibility of obtaining additional information.

Can absolute anonymity be promised to the person making a report?

An absolute promise should not be given in any case. A judicial or administrative request, the right of defense, urgent risk and the applicable law may require identity to be disclosed. Nevertheless, access to information can be limited to persons who need to know by virtue of their duties.

How is protection provided against retaliation?

The prohibition of retaliation is stated in the policy; decisions on duties, performance, pay, shifts, promotion and termination after a report are monitored. Protection does not create immunity for knowingly making false statements or for an independent violation.

Can an employer review a corporate email account?

Not in every incident and not without limits. The legitimate purpose, processing condition, prior notification, necessity, proportionality, whether narrower methods exist and the scope of access are assessed together.

Can records on a personal phone or account be reviewed?

That a device or account is personal calls for a more intensive privacy assessment. A company instruction alone does not grant general and unlimited access authority; the legal basis, ownership, consent, necessity and narrower methods are examined in the specific case.

Can camera footage or audio recordings be used?

Whether the recording was lawfully obtained, the privacy notice, purpose, retention period, nature of the area and access authority are examined. An audio recording may be a heavier interference; usefulness alone is not a sufficient legal basis.

Should the deletion of records be stopped when an investigation begins?

A necessary and proportionate preservation decision can be taken for records relevant to the matter. The decision should specify the data sources, persons, period, the person responsible and the criterion for its end, and should not turn into indefinite retention of all unrelated data.

Can an employee be forced to give a statement or to accept a particular outcome?

The scope of an employee’s duty to provide information and cooperate arising from the employment relationship depends on the specific case. A statement should not be obtained by threat, deception or an advance admission of guilt; the risk of criminal liability should be assessed separately.

Can an attorney or representative attend the interview?

This is determined according to the employment contract, the collective bargaining agreement, internal policy, the purpose of the interview and the applicable law. Instead of automatic acceptance or rejection, the request is decided with regard to fair process, confidentiality and the conduct of the investigation.

Can the interview be recorded by audio or video?

Recording is not a mandatory investigation method. Secret or routine recording should not be made without examining the legal basis, privacy notice, purpose, necessity, retention, access and participants’ rights. Narrower methods such as a signed note or an interview summary can be considered.

With whom is the whole investigation report shared?

The report is shared to the necessary extent with the competent body and those who need access by virtue of their duties. An unlimited file containing unrelated personal data is not transferred even to the decision-making body; where necessary, different access levels, separate annexes and anonymized summaries are used. Statutory information and disclosure obligations are assessed separately.

Is every investigation conducted by an attorney confidential or privileged?

No. Professional secrecy, the protection of attorney–client communication and the duty of disclosure vary according to the purpose of the document, with whom it is shared, the place of the dispute and the applicable law. Sharing limits should be planned at the outset.

Can a court or public authority request investigation records?

Yes. The authority, scope and procedure of the request, its effect on personal data and trade secrets, and the possibility of objection or limitation are examined. A mere “confidential” label does not invalidate a legally authorized request.

How long does an internal investigation take?

It varies according to the number of allegations, the scope in terms of persons and countries, the volume of data, technical review, interviews and official processes. A target timeline is set; urgent measures and statutory time limits are managed without waiting for the final report.

Do the termination periods under the Labor Law wait during the investigation?

The six business days and one year in Art. 26 of Law No. 4857 relate to the power to terminate on the basis of conduct contrary to the rules of morality and good faith. The one-year limit does not apply where the employee obtained a financial benefit. When the knowledge arose with respect to the competent authority, and the effect of the investigation, are examined in the specific case; opening a process is not an automatic suspension of the time limit.

Can an employee’s duties be changed while the investigation is ongoing?

An interim measure may be necessary to prevent a continuing risk; however, the measure should not amount to advance punishment. The contract, pay, working conditions, equality and proportionality are assessed together.

Is the company required to report every violation to a public authority?

There is no general, single answer. The obligation to report is determined by the type of violation, the sector, the company’s status, the persons harmed and the applicable regulation. Options for voluntary disclosure or cooperation can also be examined separately.

Can a suspicious transaction report made to MASAK be disclosed within the company?

Under Law No. 5549 Art. 4/2, the fact that a suspicious transaction report has been made may not be disclosed to anyone, including parties to the transaction, other than the examiners assigned to supervise compliance with obligations and the courts during judicial proceedings. Reporting to the general assembly or in management reports does not lift this special confidentiality rule.

Can an internal investigation be conducted for a competition law risk?

Yes. Records relating to contact with competitors, price information, distribution restrictions or tenders can be reviewed. Because of on-site inspections, active public investigations and application options, the scope and the record preservation decision should be established together with the competition law team.

Does the law firm itself carry out the digital forensics examination?

The law firm can coordinate the legal scope, the data boundary and the use of the report; technical collection and analysis are carried out by an independent expert with appropriate competence. Roles and responsibilities are clearly separated in the engagement.

Can investigation data be transferred to the parent company abroad?

A transfer does not become lawful automatically because there is an intra-group request. The transfer condition, purpose, necessity, data category, recipient, appropriate safeguards and local employment law limits are examined; where possible, a narrower method such as a summary, anonymization or local review is used.

Can third parties be included in the scope of the investigation?

They can, depending on the contract, the right of audit, data protection, the duty to cooperate and the status of the person concerned. A company’s authority over its employee is not the same as its authority over a supplier or customer.

Can internal investigation findings later be used in a lawsuit?

They can be used according to lawful acquisition, the nature of the document, reliability, processing history and the relevant procedural rules. An internal report does not replace the court’s independent assessment.

If the allegation is not verified, is improvement still carried out?

Yes. Even if the violation of a particular person is not verified, a need for improvement may arise in respect of the reporting line, policy language, controls, role ambiguity or workplace trust. This improvement should not be presented as the responsibility of the person against whom the allegation was made.

Should the board of directors see the details of every case?

No. The board of directors needs to receive the risk, trend, significant case, delay and corrective action information necessary for oversight. Names and sensitive details can be limited unless necessary for the decision.
