Summary

The stamp tax base, rate, exemptions, contractual penalties and refunds after termination in contracts and supplementary protocols. Correction and litigation routes.

Whether a contract is subject to stamp tax is not determined by its title alone or by the fact that the parties are merchants. Whether there is a taxable instrument, its signature and evidentiary character, the transaction it contains, a determinable sum of money and the exemptions that may apply are assessed together. The later non-performance or termination of a contract does not, in every case, cause the tax already paid to be refunded automatically.

A significant share of disputes arises from an incorrect tax base, duplicate calculation for the same transaction, the nature of a supplementary protocol and overlooked exemption conditions. The review should not be confined to the main contract; annexes, amendments, referenced documents, and assessment and payment records should be read together.

Which contracts are subject to stamp tax?

The starting point is Article 1 of the Stamp Tax Law No. 488 (Damga Vergisi Kanunu) and Table (1) annexed to it. Instruments that have the qualities required by the law and are listed in the table are taxed. Electronic documents created using an electronic signature are not outside its scope either. On the other hand, it cannot be said that every e-mail exchange or unsigned draft will be taxed in the same way merely because it concerns a commercial matter.

Calling a document a “protocol,” “memorandum of understanding,” “order” or “undertaking” is not decisive on its own. Under Article 4, its provisions and meaning are examined together with, where necessary, the other documents it refers to. Changing the title does not remove a taxable transaction; nor should a draft that is merely called a contract be treated as a subject of tax before it meets all the conditions.

Signature, counterparts and the parties’ liability

Liability to the tax, as a rule, concerns those who sign the instrument; there are special provisions for transactions with public offices and for instruments drawn up in a foreign country. The fact that an instrument was signed abroad does not by itself mean that no stamp tax will arise in Türkiye. The conditions of presentation in Türkiye, assignment or benefiting from its effect are examined separately.

Under Article 5, drawing up more than one counterpart of an instrument subject to proportional tax does not require the same tax to be repeated for each counterpart; the rule is different for the counterparts of instruments subject to fixed tax. A photocopy, a certified copy, a separately signed counterpart and an independent new contract are not the same concept. In a claim of duplicate payment, it must be shown which document was taxed and in what capacity.

How are the stamp tax base and rate determined?

In proportional tax, the basis is the determinable sum of money that the instrument contains or that can be calculated from the figures in it. If the total price can be found from the unit price and quantity, the absence of a total amount at the end of the document does not by itself show that there is no determinable sum. On the other hand, it is also incorrect to add all possible future sales to the tax base on a hypothetical basis.

In general, the rate is 9.48 per thousand for agreements and undertakings containing a determinable sum of money, and for lease agreements it is 1.89 per thousand of the rent according to the term. Whether the transaction falls under a special tariff line, a zero-rate provision or an exemption must also be checked separately. A single general rate does not apply to every contract.

Sample calculation and annual cap

Hypothetically, in a services contract containing a determinable sum of TRY 1,000,000 that is subject to the general rate of 9.48 per thousand without any exemption, the stamp tax calculated is TRY 9,480. This example cannot be carried directly over to a lease agreement or to a contract subject to a special provision. In contracts in foreign currency, the date of the document and the exchange rate basis to be applied are also determined separately for converting the tax base into Turkish lira.

For 2026, the statutory cap on the tax charged on each instrument is TRY 29,115,961.10. The cap does not make a transaction that is not subject to tax taxable; it concerns limiting the tax that is calculated. Automatically applying the 2026 cap to a document from another year is not correct.

Supplementary protocol, price increase and extension of term

For amendments that increase the price of the main contract, taxation of the increased amount arises under Article 14. The calculation relating to taxing the entire original price anew must be kept separate from that relating to the amount of the increase. Whether the document merely gives an explanation, contains a new undertaking, or extends an existing obligation is important.

For example, if the price of a contract subject to the general rate rises from TRY 1,000,000 to TRY 1,300,000, the increase of TRY 300,000 is examined on the assumption that the conditions relating only to the price increase are met. However, if the supplementary protocol also contains an independent new job or an undertaking by another party, the arithmetic difference alone is not sufficient.

A contract that has reached the cap and a change of term

Where tax has been charged on the main contract at the maximum amount, the law contains a special rule for the case where only the price increases and the other provisions remain unchanged. It cannot be argued that all supplementary protocols are free of tax without these conditions being met. Documents showing that the first assessment reached the cap and that the amendment is limited to the price are required.

An extension of the term is also reassessed within the scope of Article 14. A price increase, a new obligation for an additional period and automatic renewal provisions in the contract should not be treated as the same. Tax should not be calculated at random on the basis that the business relationship continues, without determining what the new instrument or amendment on which the taxation is based actually is.

Multiple transactions in one instrument and contractual penalties

Article 6 distinguishes between mutually independent transactions and transactions that are linked to one another and arise from the same principal matter. While separate taxation of independent transactions may arise, the rule of the transaction requiring the highest tax applies to linked transactions. Undertakings added by a third party and suretyship/guarantee arrangements must be examined separately.

A contractual penalty (cezai şart), withdrawal compensation or similar undertakings that serve as a sanction under the contract are not taxed separately, because of the special provision of the law, unless they are the subject of a separate contract in their own right. It is therefore not correct to automatically add all penalty amounts to the contract price. On the other hand, the position of an independent compensation or undertaking document is assessed separately.

How is a stamp tax exemption documented?

The exemptions in Table (2) annexed to the law and in special laws are examined by instrument and by transaction. The fact that one party benefits from an incentive does not mean that all the contracts it makes are automatically within the scope of the exemption. The subject matter of the contract, its connection with the relevant activity, the parties and, where necessary, a valid exemption certificate are assessed together.

It should not be assumed that obtaining an exemption certificate later automatically covers all earlier instruments. The time and amount limits, the validity of the certificate and the conditions required by the special provision are important. A private ruling (özelge) issued to another taxpayer cannot be used as a general exemption certificate binding on everyone without examining the facts and legal conditions.

Is the stamp tax on a terminated contract refunded?

Because the event giving rise to the tax in stamp tax is connected with the instrument, the parties’ giving up the work does not by itself show that the tax was unwarranted from the outset. The termination date, the period during which the contract was benefited from, the document for which the tax was paid, and any special refund provision must be assessed separately. The tax position of a separately drawn termination document is also a different matter.

There is a special provision for the cancellation of a public tender as a result of certain application or judicial processes. The relevant provision of the current Table (1) envisages a refund relating to the part of the contract concluded with the tendering authority, on the basis of the tender decision, for which the benefit of the contract has not been obtained. This conditional provision cannot be interpreted as an unlimited right of refund upon termination of all private-law contracts.

Scope of the Constitutional Court decision

The decision of the Constitutional Court (AYM) of 13 December 2022, E.2022/125, K.2022/162, concerns the rule that prevented the refund of stamp tax on a contract in the context of a public tender. The subject of the decision, its reasoning and the subsequent text of the law must be read together. A generalization in the form of “the AYM had the tax on all terminated contracts refunded” is not accurate.

In a refund request, the tender cancellation decision, the contract, the payment document and the calculation of the portion benefited from and the portion not benefited from are important. For a private contract, it is additionally investigated whether there is another ground for refund, such as duplicate payment, an incorrect tax base or a genuinely applicable exemption.

Penalties, correction and litigation routes

In the case of an incomplete declaration or payment, the principal tax, interest and penalty are separate items. The tax loss penalty (vergi ziyaı cezası) and the sanction for procedural irregularity do not rest on the same conditions. How the assessment determined the nature of the document, the date it was drawn up, the tax base and the rate should be examined. Whether the other signatory has made a payment is also investigated with regard to duplicate collection.

If there is a tax error, correction and, depending on the conditions, the complaint route under Articles 116–126 of the Tax Procedure Law (VUK) may be considered. Not every legal dispute based on the interpretation of a contract is a tax error. This application should not be used as a general route that reopens all past litigation periods.

The general time limit for filing a lawsuit against a tax/penalty notice (ihbarname) is 30 days from the day following notification. For assessments based on a person’s own declaration, Article 378 of VUK and the matter of a reservation of rights (ihtirazî kayıt) are separately important. It should be borne in mind under Article 27 of the Administrative Procedure Law (İYUK) that a lawsuit filed against a declaration submitted with a reservation of rights does not by itself stop collection. The needs for filing a lawsuit, payment and a stay of execution are assessed within the same timetable.

Conclusion

A correct stamp tax review starts from the legal nature of the instrument and extends to the tax base, rate, exemption and the effect of amendments. Termination alone does not give rise to a refund; the special provision on public tenders is also applied within its scope. By examining the main contract, annexes and payment documents together, duplicate or excess tax and the correct route of application can be determined.
