A corporate tax return is not produced by multiplying the balance-sheet profit by a single rate. The accounting result is adjusted under the tax legislation; exemptions, losses and deductions are assessed; the correct rate is applied; the result is compared with the minimum corporate tax; and taxes that may be credited are deducted. The basis for each stage must be documented separately. The return software performing the calculation does not show that the data entered is legally correct.
Legal Nature of the Practice and How It Differs from Other Obligations
Commercial profit shown in the accounting records is not, in itself, the corporate tax base. Expenses not accepted under the law (KKEG), exemptions, prior-year losses and return deductions are assessed in separate stages according to their legal bases.
First, the Taxpayer and the Period Are Determined
Besides capital companies, cooperatives, state economic enterprises (iktisadi kamu kuruluşları), economic enterprises (iktisadi işletme) of associations or foundations, and joint ventures (iş ortaklığı) may fall within the scope of corporate tax. Legal personality, exemption and the concept of an economic enterprise are not the same thing. For example, the tax position of an economic enterprise of an association that carries on continuous commercial activity with payment may differ from that of the association itself.
The ordinary filing period for income earned in calendar-year accounting periods in 2025 was April 2026. Special accounting periods, liquidation, mergers and certain income of non-resident taxpayers follow different periods and procedures. Therefore, the generalisation that "all companies file on the same day every year" is not appropriate. Announcements of time extensions must also be monitored. [1; Corporate Tax Law Articles 1–4, 14]
From Accounting Profit to Tax Profit
Expenses not accepted under the law are added to the commercial balance-sheet profit; the relevant exemptions and other adjustments are applied. Matters such as the limitation on financing expenses, thin capitalisation (örtülü sermaye), transfer pricing and passenger car expenses may require separate working papers. An expense recorded in the accounts that is not accepted for tax purposes is not disregarded in the accounts; it is corrected in the tax computation.
How the inflation adjustment applies, by period and by category of company, must be checked against the current legislation. Carrying the previous year's closing template forward with all its cells may overlook period-specific exemption and deferral provisions.
Exemptions and Deductions Must Be Documented
Items such as gains from participations, sales of immovable property and shares, foreign-source income, research and development, donations and cash capital increases are subject to different conditions. For each item, the legal basis, calculation, supporting documents and later-period conditions must be recorded. Concealing in the accounting result deductions that the return requires to be shown separately makes control more difficult.
Changes to legislation made during 2026 have affected some areas since the guide dated March 2026 was published. For special deductions such as transit trade and qualified service centres, the current Article 10 of the Corporate Tax Law (KVK) and the period of application of Law No. 7582 are examined separately. The year of publication of a guide alone does not show that it contains all changes made until the end of the year.
Deducting Prior-Year Losses in the Corporate Tax Return and Period Conditions
Losses may be offset on conditions such as being shown separately in each year's return and not being carried forward for more than five years. The order in which old losses are used up and their expiry dates must be monitored. In transfers of companies, the transfer of losses is subject to additional limits such as the equity of the transferring company and continuity of the business; acquiring a company does not confer the right to use all of its losses freely.
The offsetting of normal corporate tax losses must be kept separate from the disputed practice concerning the domestic minimum corporate tax. Where the same amount produces different results in two calculations, the reasons are clearly shown in the working file.
Rate, Minimum Tax and Crediting
Once the rate applicable to the activities is determined, the normal corporate tax is calculated. The domestic minimum tax check is performed on a separate base with its own deductions. Afterwards, the tax paid as provisional tax, tax paid by withholding and, where the conditions are met, foreign tax crediting are assessed. An amount assessed but not paid is not regarded as the same as a tax paid and credited.
From Commercial Profit to the Corporate Tax Base and Tax Payable
Where commercial balance-sheet profit is 2,000,000 TL and expenses not accepted under the law are 200,000 TL, the tax computation before the other adjustments starts from 2,200,000 TL. This amount is not the final tax base. Exemptions, losses and deductions are applied separately; after the rate and minimum tax check, the tax payable is reached through crediting. Showing each stage separately makes visible which choice or error changes the result.
Before Return Approval: Reconciling Financial Statements, Tax Calculation and Payment Records
| Area | Reconciliation |
|---|---|
| Financial statements | Ledger, trial balance (mizan), balance sheet and income statement |
| Tax adjustments | KKEG and special account schedules |
| Advantages | Exemption and deduction documents |
| Prior periods | Tracking of loss and incentive use |
| Tax | Normal and minimum calculation; crediting of payments |
| Result | Return, assessment and bank payment record |
Is a Return Unnecessary If There Is a Loss?
No. Subject to the taxpayer status and any specific exemption, a loss is also the subject of the annual return. Accurately declaring the loss is important for its later offsetting.
Is the Process Complete Once the Return Is Sent?
Submission, approval and checking of the assessment, and payment are separate stages. Keeping the documents and monitoring exemption conditions that extend over later years also continues.
Resident and Non-Resident Tax Liability and the Distinction Concerning Economic Enterprises
Whether the company's legal seat or place of business is in Türkiye is important in assessing resident (tam mükellef) status. Being a company with foreign shareholders does not by itself mean non-resident (dar mükellef) status. For a non-resident taxpayer, earnings obtained in Türkiye and the link through a workplace or permanent representative are examined separately; the worldwide income of a foreign company is not automatically carried into the Turkish return.
Associations and foundations and the economic enterprises attached to them must not be treated as the same tax entity. The absence of a profit purpose does not, by itself, prevent a paid and continuous commercial activity from forming an economic enterprise. For cooperatives, the articles of association, actual practice and transactions with non-members are tested separately. A name containing "association", "foundation" or "cooperative" does not replace a general exemption document.
Each Corporate Tax Exemption Applies Under Its Own Legal Conditions
Gains from participations, gains from a foreign subsidiary or branch, share premium (emisyon primi), fund gains, education enterprises, industrial property rights and sale-and-leaseback transactions each have their own conditions. The shareholding ratio, the holding period, the foreign tax burden, transfer to Türkiye and the permit documents for the activity vary by exemption. The presence of a heading for a given matter in the guide does not show that the taxpayer qualifies for that exemption.
The restriction on deducting expenses related to exempt income from other taxable income must also be considered. Reducing normal income by the loss of an exempt activity may go unnoticed if only the accounting totals are examined. In the return working file, for each exemption, income, expense, net result, legal basis, period and documents are kept separately.
Transfers, Foreign Losses and Limits on Crediting
Use of prior-year losses received through a transfer or division may depend on special conditions such as the equity of the transferring company and continuity of the business. A merger agreement stating that all debts and rights are transferred does not make the tax loss freely transferable without limit. For foreign losses, documentation, audit and the condition that the income is not exempt income in Türkiye are important.
Withholding and provisional tax to be credited must match the correct period and tax identification number of the company. Crediting of foreign tax is also subject to an upper limit and proof requirements. A low calculated tax does not mean that all withholdings will be refunded in cash without documents. A refund or crediting application may require separate documents after the return has been filed.
Transactions to Be Reviewed Separately at Period End
In liquidation, merger, transfer, division and special accounting period situations, the standard calendar-year filing timetable does not apply as it stands. Related-party transactions, thin capitalisation and transfer pricing adjustments, and the related annexes to the return must also not be overlooked. A correct trial balance total does not show that these legal annexes and adjustments have been completed.
The 2026 Deduction for Certain Services Provided Abroad
The deduction for service earnings under KVK Article 10/1-ğ was set at 100% by Presidential Decision No. 11257 for the income and earnings of tax periods beginning on 1 January 2026. The decision entered into force on 30 April 2026. The 80% rate in the former guide should not be carried over unchanged to 2026 earnings within this scope. [Corporate Tax Law]
This provision does not cover all sales to foreign customers. Conditions are considered together, such as the services being those listed in the law, the customer's foreign status, the service being used exclusively abroad, the invoice being issued in the name of the relevant customer, and the entire earnings being transferred to Türkiye by the date on which the annual corporate tax return must be filed. Education and health services are subject to additional permit and supervision conditions.
The deduction is calculated not on the full sales revenue but on the earnings obtained from the eligible activity. Direct and shared expenses must be allocated. A 100% deduction must not be read as meaning that other computations, including the domestic minimum corporate tax, are automatically reduced to zero; the minimum tax provisions of the relevant period apply separately.
Decision Before Action and the File to Prepare
Prepare an account schedule that reconciles the return with the financial statements. For each exemption and deduction, show the document, period and usage limit; calculate normal tax, minimum tax and crediting separately. After return approval, also check the assessment and payment records.
