| Situation | Route to consider | Deciding distinction |
|---|---|---|
| Dispute over a transaction with an investment firm | Documented application to the firm; depending on the transaction, Borsa Istanbul, the Turkish Capital Markets Association (TSPB) or the judicial route. | Transmission and execution of the order, the contract, customer status and acceptance conditions. |
| Violation of legislation or market abuse | Application to the SPK with information, documents and transaction records. | A regulatory review is not the same as a decision awarding compensation for loss under private law. |
| Refund, loss or contract claim | The competent court; mediation or valid arbitration where the conditions are met. | Breach, loss, causation, responsible parties, time limit and type of claim. |
| Firm unable to deliver cash or instruments | A compensation decision and, where its conditions are met, the YTM. | The YTM does not generally insure market price losses or investment advisory losses. |
| Suspension of fund transactions or liquidation | SPK and KAP decisions concerning the fund in question and the liquidation process; in addition, a review of rights and responsibilities. | Fund code, order date and time, value date, unit record, reconciliation and the basis for payment. |
In applications to the TSPB and Borsa Istanbul, the field of competence, the preliminary application to the firm, standing and time limits are determined under the current rules. It is not assumed that a complaint or a consultation request suspends all litigation and application time limits.
Our work is not based solely on reviewing an issuance document or the amount of a loss. The transaction structure, permits, corporate resolutions, fund documents, information given to investors and evidence records are assessed together. Legal duties are distinguished from the responsibilities of independent audit, financial analysis and valuation.
The status of the issuer, investor, fund, founder, manager and service providers is determined, along with the instrument, market and objective.
A calendar of disclosures, applications, orders and the exercise of rights is prepared. Urgent protection and the risk of losing evidence are prioritized.
Company records, permits, contracts, the prospectus, financial reports and transaction records are assessed together.
Corporate body resolutions, contracts, applications, and defense or litigation documents are prepared with an allocation of authority and duties.
Transactions with the SPK, Borsa Istanbul, the Central Securities Depository (MKK), Takasbank, auditors and other parties are monitored in a calendar showing the responsible person and date.
Post-transaction disclosures, investor rights, fund changes, legal remedies and the implementation of the decision are followed.
By opening the heading that suits your need, you can review the scope of the service and the important legal distinctions.
The nature of the planned activity, product, platform or financing model is assessed under Capital Markets Law No. 6362 and secondary legislation. The duties of the issuer, the offeror, the investment firm, the portfolio management company, the fund founder, the custodian, the distributor and the technology provider are separated; permit, approval, notification and membership requirements are determined.
In activities such as order transmission, transaction intermediation, portfolio intermediation, individual portfolio management, investment advisory, intermediation in public offerings and custody, the scope of authority is examined. Services provided from abroad to persons resident in Türkiye, and targeting, promotion and customer acceptance methods on digital channels, are assessed separately.
The status of companies whose shares trade on the exchange, or that are treated as publicly held because of the number of shareholders, is addressed together with the articles of association, registered capital, management, financial reporting, independent audit, KAP, investor relations and corporate governance obligations.
Before a public offering, the company structure, capital and share groups, privileges, subsidiaries, key contracts, permits, litigation, collateral, related-party transactions, intellectual property rights and regulatory risks are reviewed. Conversion, amendments to the articles of association, corporate body resolutions and legal due diligence reports are tied to the transaction calendar.
A legal review is carried out so that the prospectus, the issuance document, the notice of sale to the public (tasarruf sahiplerine satış duyurusu) and their annexes are complete, consistent, understandable and current. Risk factors and legal disclosures are tied to verifiable records; the allocation of liability among the issuer, the offeror, the lead brokerage firm and other responsible parties is assessed.
In publicly held or privately held companies, share issuances are planned together with the methods of capital increase against payment (bedelli) or without payment (bedelsiz), allocated sales (tahsisli) and sales to qualified investors, and with rights to subscribe for new shares, premium, share groups and the provisions of the articles of association. The steps of the trade registry, the SPK, the MKK, Borsa Istanbul and KAP are turned into a coordinated calendar.
In mixed transactions that combine the public offering of existing shareholders’ shares with a share issuance, the authority to sell, restrictions on the shares, the pricing and allocation arrangement, prospectus disclosures, the description of the use of proceeds and the shareholder structure after the sale are examined.
The method to be used in a public offering, in a sale to qualified investors without a public offering and in an allocated sale is addressed, together with investor groups, collection of demand, allocation, distribution and refund arrangements. Communications before approval and promotions during the sales period are checked for consistency with the prospectus and the legislation.
The listing application, choice of market, trading conditions, free float, actual circulation, Borsa information requests and decisions on trading sequence are followed within a legal calendar. The interdependent steps of the Borsa rules and the SPK application are separated.
In bonds, commercial paper (finansman bonosu), capital-like debt instruments and structured debt transactions, the issuance limit, the resolutions of the authorized corporate bodies, the series issuance document (tertip ihraç belgesi), investor group, interest or yield structure, collateral, early redemption and default provisions are prepared or reviewed.
In lease certificates based on ownership, a management contract, sale and purchase, a joint venture, a work contract or a mixed structure, the relationships among the originator, the fund user and the asset leasing company are structured. Asset transfer, cash flow, investor rights, default and liquidation scenarios are clarified in the legal documents.
The underlying asset, pricing method, exercise condition, cash settlement, market making, early termination and investor risks are examined from a legal standpoint. Care is taken that the product’s name reflects its economic and legal nature correctly and that the promotion and issuance documents do not conflict.
In issuances abroad, the sale in Türkiye of a foreign capital market instrument, depositary receipts, Eurobonds and dual listings, the applicable law, sales restrictions, jurisdiction, tax coordination, language, investor class and public disclosure requirements are examined.
In asset financing fund, mortgage finance institution, asset-backed or mortgage-backed security and collateralized security structures, the receivables to be transferred, true sale, service provider, collateral pool, cash flow and investor rights are examined.
In share-based or debt-based crowdfunding, the listing of the platform, the conditions for the entrepreneur and the venture company, the campaign information form, investment limits, the use of the funds collected, and custody and reporting obligations are addressed.
The establishment, activity, listing, customer assets, transfer, capital adequacy, internal systems, information systems and record-keeping of platform and custody service providers are assessed within the framework of Law No. 6362 and Communiqués Nos. III-35/B.1 and III-35/B.2. Whether a crypto asset also has the nature of another capital market instrument is examined separately.
On the dematerialized issuance of shares, debt instruments and fund units, the consistency between the MKK infrastructure and the legal documents is reviewed with respect to ISIN, entitlement, attachment and pledge records, corporate actions, general assembly and dividend processes.
A resolution-and-disclosure check is established for financial reports, material events, board of directors resolutions, capital transactions, mergers and demergers, tender offers, related-party transactions and other disclosures. The aim is for the text to be published on time by an authorized person in a manner that is accurate, clear, sufficient and not misleading.
Whether information qualifies as inside or ongoing information is assessed under the conditions of legitimate interest, not misleading investors and ensuring confidentiality. The decision to defer, confidentiality lists, access restrictions, monitoring of developments and the subsequent disclosure are recorded.
Policies and closed-period mechanisms are prepared for the access of managers, employees, advisers, service providers and related persons to information and for their transactions in their own accounts. In suspicious transactions, orders, communications or information sharing, transaction records are preserved; administrative and criminal risks are examined together.
The board structure, independent members, committees, the investor relations department, disclosure policy, remuneration, donations, dividend distribution, stakeholders and general assembly processes are assessed according to the corporate governance principles that apply.
The identification of the related party, board assessment, valuation, the vote of independent members, public disclosure and general assembly requirements are reviewed before the transaction. Legal support is provided in setting up a threshold and reporting system for regular commercial relationships.
General assemblies of publicly held companies, electronic participation, representation, agenda, information document, dividend distribution policy, dividend advances and buyback programs are prepared by applying the provisions of capital markets law and company law together.
The acquisition of management control, mandatory or voluntary tender offers, exemption applications, the tender offer information form, price, collateral, time period and payment steps to investors are assessed. Closing conditions in the share transfer agreement are aligned with the regulatory calendar.
Whether a transaction is significant, the materiality criteria, board of directors and general assembly resolutions, dissent, the exit-right price, the exercise period and public disclosure obligations are determined.
In squeeze-out and sell-out rights that may arise after a threshold decisive for voting rights is exceeded, shareholding records, the price for exercising the right, the application, the announcement, making funds available and the share transfer steps are examined.
In merger, demerger, asset transfer, share exchange and control transactions, company law, SPK regulations, Borsa rules, public disclosure, valuation, investor rights and competition clearance processes are planned together.
Legal application and compliance support is provided for establishment and activity permits, share ownership, managers, organization, capital adequacy, internal control, risk management, inspection, information systems, outsourcing and share transfer transactions.
The umbrella fund internal regulations (içtüzük), the fund prospectus, the investor information form, the issuance of fund units, the fund’s investment strategy, risk value, fees and distribution model are prepared or reviewed according to the legislation and the actual operating structure.
The names, investment strategies, portfolio limits and investor disclosures of funds attached to debt instrument, equity, precious metals, fund basket, money market, participation and variable umbrella funds are addressed.
Index tracking, the fund portfolio, authorized participants and market making, the creation and redemption of fund units, Borsa transactions, public disclosure and investor documents are coordinated from a legal standpoint.
Sales of hedge fund units to qualified investors are examined, together with investor status, risk disclosures, performance fees, liquidity and distribution channels. The term hedge fund (serbest fon) does not mean unregulated or risk-free management.
A private fund (özel fon) is a separate category relating to the allocation of fund units to predetermined persons or institutions. Not every private fund is treated as a hedge fund merely because of its name; the fund type, the sales conditions and the investor restrictions are determined from the documents.
Fund establishment, sales to qualified investors, investments in immovable property and real-estate-based rights, valuation, land registry transactions, developer and operator contracts, portfolio custody and conflicts of interest are assessed together.
Investments in venture companies, shareholdings and debt instruments, investment agreements, shareholders’ agreements, convertible instruments, valuation, follow-on investment and exit provisions are aligned with the fund documents.
In the portfolio management, custody, fund operating expense, investment limitations and public disclosure processes of pension investment funds, the intersection of Law No. 4632 and the capital markets regulations is examined; the allocation of duties with the relevant institutions is determined.
The establishment, conversion, public offering, portfolio, management, privileges, valuation and disclosure obligations of investment companies are addressed. The legal and operational differences between the company structure and the fund structure are clarified at the outset of the transaction.
The segregation of fund assets from the assets of the founder and the manager, the supervisory function of the portfolio custodian, cash and asset movements, instructions, reconciliation and breach notices are examined at the contract and procedure level.
The conformity of the selection of the valuation institution, price sources, net asset value, error correction, management and performance fees, total fund expenses, financial reports and independent audit disclosures with the legal documents is ensured.
A control matrix is created for the assets in which a fund type may invest, concentration, group risk, liquidity, repo, lending, margin trading, derivatives and leverage limits. In case of a breach, correction, notification and investor communication are planned.
Distribution agreements, the processes of the Türkiye Electronic Fund Trading Platform (TEFAS), customer classification, appropriateness and suitability tests, risk notices, remote customer onboarding and marketing communications are examined.
In the offering of foreign fund units in Türkiye and the marketing of domestic funds abroad, permits, investor targeting, local representation, sales restrictions, disclosure language, data transfer and dual regulation risks are assessed.
Information and document requests from the Board, oversight and audit processes, administrative fines, trading bans, criminal complaints, measures and regulatory defenses are managed with a legal calendar. In disputes between an investment firm and a customer, an issuer and an investor, a fund and a fund unit holder, and among shareholders, applications to the appropriate institution, litigation, arbitration or other means of resolution are assessed.
Against administrative fines imposed under Law No. 6362, the administrative judicial route under Article 105/4 is assessed. The same application procedure is not assumed for other decisions, measures and criminal acts; the decision and the notification document are taken as the basis.
That an investment has lost money does not by itself show that liability has arisen. On the other hand, misleading or incomplete disclosure, unauthorized transactions, orders contrary to instructions, breach of contract or breach of the custody and management duty require separate examination.
Prospectus liability, the investment services contract and fund management are not subject to the same liability regime. The outcome of an administrative or criminal investigation is assessed without assuming that it replaces all the requirements in a civil action.
Redemption of a fund unit is examined together with the time of the instruction, price calculation and value date rules, the fund documents and, if any, special SPK decisions. Closing to transactions, liquidation, interim payment and final payment are different stages.
The existence of a liquidation process does not mean that the whole principal or any particular yield will definitely be paid. The decision applicable to each fund and each investor record must be read separately.
Within the framework of its statutory conditions and the compensation decision, the YTM system covers certain claims relating to an investment firm’s inability to fulfill its obligation to pay cash or deliver capital market instruments. Losses arising from market price movements and from investment advisory are not within the same protection.
Segregation of fund assets, deposit insurance, a liquidation payment and YTM compensation are different legal institutions. The rights holder, the firm, situations outside coverage, the current upper limit and the application conditions are examined separately.
A single screenshot of the trading screen may not explain the whole dispute. The relevant version of the contract, disclosures, appropriateness and suitability records, order time, customer instruction, account movement and custody record are assessed together.
Review and document sharing are carried out with regard to professional secrecy and the protection of personal data. No account access credentials are requested, nor is access to another person’s account.

Calling a document a “share,” “bond,” “fund,” “token” or “investment contract” does not by itself determine its legal nature. The rights provided, the method of issuance and sale, the investor’s economic expectation, the management and repayment mechanism, the possibility of secondary trading and the regulatory scope must be examined together.

Sensitive financial records, access passwords or comprehensive transaction files should not be sent in a general message to the firm; after the conflict-of-interest and file acceptance check, a secure method should be used.
Do not postpone an urgent application because of missing documents. Brief information is sufficient in the first message; detailed documents are shared through a secure channel after the conflict-of-interest and matter acceptance check.
Advisory work, applications, litigation, appeals and the implementation of the decision are determined as separate stages. The engagement and the authority of representation are clarified in writing.
The attorney’s fee is explained separately from court fees, application costs, and expert, valuation, translation, security and other expenses. Fees are set according to the nature of the file.
A responsible contact person, information at important stages and a secure document flow are determined. For institutional files, the frequency of reporting is arranged separately.
Güneş & Güneş Law Firm was founded in Kemer on March 18, 1999 by its founding attorney, Umut Güneş. It has carried on its professional activity from its base in Antalya since 2007. Transactions of issuers, investment firms, fund founders and investors that are connected with Turkish law in Türkiye’s 81 provinces are planned according to jurisdiction, the central application systems of the institutions and the conditions of representation.
In files involving foreign investors, group companies, cross-border issuances and foreign funds, the conditions for permits, sales, documents, notification and the implementation of the decision in Türkiye are assessed separately.
Turkish, English, German and Russian communication is supported by online consultations and secure document sharing. Where a foreign-law opinion and local representation abroad are required, coordination with authorized professionals in the relevant country is arranged within a defined scope.
No. Securities are a part of capital market instruments. The concept of a capital market instrument may also include derivative instruments and other instruments the Board determines within this scope.
No. Shares may be issued by different methods, such as a public offering, an allocated sale or a sale to qualified investors. The documents, approvals and sales rules that apply vary with the method.
No. Approval of a prospectus is not investment advice, a surety for the issuer’s financial condition or an assurance of returns. Investors should assess the approved documents and their own risk position.
The timing, content, target audience and sales method of the communication matter. Promotion that is based on an unapproved document, or that is incomplete or misleading, may create regulatory risk; a legal review should be carried out before the campaign begins.
Law No. 6362 and the related regulations provide different bases for the issuer and, depending on the specific transaction, for other responsible parties. Liability is assessed taking into account the section of the document, fault, causation and the special provisions of the law.
Obligations may differ according to the company’s market, group, size and the criteria in the relevant regulation. The current classification and exceptions should be checked in every reporting period.
Information that has not been disclosed to the public and that is capable of affecting the value or price of a capital market instrument or investors’ investment decisions may be inside information, depending on the specific conditions. The source, certainty, materiality and disclosure status of the information are examined together.
If the conditions in the legislation are met, deferral may come into question in order to protect the issuer’s legitimate interest. The deferral must not mislead investors, and confidentiality, an authorized decision and a record-keeping system are required.
No. Inside information, material events, transaction notifications, closed-period policies and the rules on market-distorting conduct must be taken into account. The company policy and the current legislation should be checked before a specific transaction.
Not always. The same event may require a separate procedure before the SPK, Borsa, MKK, the trade registry, the competition authority or another institution. A KAP disclosure does not by itself replace these steps.
Acquiring management control of a publicly held company in the manner defined in the legislation may give rise to an obligation to make a mandatory offer. Acting in concert, indirect control and exceptions are examined in the specific transaction.
Conditions such as eligibility, attendance at the general assembly, a negative vote and recording the dissent in the minutes, as well as the exceptions in the legislation, are important. The current regulation is checked on the basis of the transaction and the date of exercising the right.
As a rule, an investment fund is a pool of assets without legal personality; however, the legislation may contain limited special provisions for certain funds and transactions. The fund, the founder and the portfolio management company should not be confused with one another.
The segregation of fund assets is one of the fundamental elements of investor protection. The special protective provisions in the Law and the related regulations regarding attachment, pledge, the bankruptcy estate and liquidation are applied according to the specific case.
As a rule, hedge fund units are sold to qualified investors. Investor status must be verified at the time of sale in accordance with the relevant regulations.
The assets in which a fund may invest and the activities it may carry out are subject to special regulation. Real estate development, operation and service relationships should be structured having regard to the fund’s permitted activity limits.
Whether a venture investment can be made through shares, debt instruments or mixed instruments depends on the type of fund, its prospectus and the current portfolio rules. The investment agreement should be reviewed together with the fund documents.
Yes; however, the subject of the amendment may require Board approval, an announcement, investor notification or a specific effective-date calendar. Material strategy or fee changes should be assessed separately before the transaction.
Unless the fund’s structure and the relevant regulations permit it, statements that create an expectation of a certain return or of no loss for the investor should not be used. If a guarantee or protection claim exists, its basis, provider, scope and conditions must be clear in the documents.
No. Targeting investors in Türkiye, the language of promotion, the method of access, customer acceptance and the sales process may give rise to permit requirements and sales restrictions. The mere fact that the server is located abroad is not a sufficient distinction.
No. Bringing crypto asset service providers under capital markets regulation does not automatically make every crypto asset a security. The rights the asset provides and the relevant special regulations are assessed separately.
Under the Law and the related regulations, a breach of the duty to provide information and documents may have administrative or criminal consequences. The scope of the request, the time limit, confidentiality and the accuracy of the answer should be handled through legal coordination.
For administrative fines imposed under Law No. 6362, Article 105/4 provides the administrative judicial route. Subject-matter and territorial jurisdiction, the time limit and the need for a stay of execution are examined together with the decision and the notification document; other types of act are assessed separately.
Not in every file. The firm’s internal complaint route, the mechanisms in TSPB or Borsa regulations, an arbitration clause, consumer law and the general courts are assessed according to the specific relationship. Time limits and evidence records must be preserved.
No. Loss arising from market risk is distinguished from loss arising from a legal violation. The contract, disclosures, transaction records, the act of the responsible party and its connection with the loss are assessed. The outcome of liquidation or litigation cannot be guaranteed in advance.
The SPK’s review of compliance with legislation is not a decision awarding compensation for loss under private law. The application to the institution and the appropriate judicial or other route of resolution and time limits are assessed together.
Merely having placed the instruction is not enough. The fund code, date and time, value date, execution or cancellation record and the relevant Board decision are decisive. Fund default or non-disclosure of the price may also be significant.
No. YTM protection has a statutory scope and compensation decision conditions. Market price movements and investment advisory losses are not within the general scope of protection.
An investment fund unit is not the same product as a bank deposit. A bank’s acting as distributor does not by itself provide deposit insurance or an assurance of returns; the fund, custody and liability structure are examined separately.
The scope of the transaction or dispute, the parties, the volume of documents, and the institutional and judicial stages are determined. The attorney’s fee is explained separately from application, litigation, audit, valuation, translation and other expenses.
Content version: October 3, 2026. Legislation, thresholds, time limits and institutional decisions that may change should be reassessed on the date of the transaction.
Briefly describe your position as an investor, issuer, fund founder or institutional representative, and the transaction or dispute. If there is a fund code, an institutional decision, a notification or an approaching transaction date, state it in your first communication.
